Dear Sir:
Thank you for your offer of $60,000 and we appreciate the East Side Location and
retaining the same land rental rate.
I am sure you are aware that at the present construction cost $60,000 will not replace the
WS Aviation facility. It is my understanding that the FAA has approved a grant of
$85,000 to purchase the J&S Aviation leasehold (see attached letter). Will you make the
full amount available to J&S Aviation?
To make this work in addition to $85,000 J&S Aviation will require the following
considerations from the City of Sebastian:
To save on site work and paving cost, the relocation site to be on the end of runway 31 as
it is located on the end of runway 27 now.
The City to prepare and approve the site plan at no cost to J&S Aviation.
To issue the building permit at no cost.
To transfer all impact fees from the old building to the new or handle the matter as a
relocation not new construction.
The City to relocate the fuel tank or give J&S Aviation the old tank for relocation.
To provide for storm water discharge.
To provide easements for utilities and a paved road access.
The City to waive any other fees or charges that I can not think of.
These considerations will cost the city very little and will make a great deal of difference
to J&S Aviation.
Due to tax considerations the relocation must be considered an "involuntary conversion",
my accountant is looking into details at this time and I am sure you will assist with any
documentation he needs.

Lease Termination Costs
With respect to your application dated September 20, 2002, we. have reviewed the costs
proposed for the termination of the City of Sebastian's (City) lease agreement with J & S
Aviation. We have determined that the eligible amount for federal participation is
$85,000, since this amount is supported by an appraisal.
The City Attorney has outlined additional costs that may be incurred should the City
need to pursue other legal remedies to terminate the lease agreement. A determination
on the additional costs cannot be made since there is no documentation that the
appraised value is not sufficient. if the City incurs additional casts during the lease
termination process, feel free to submit appropriate documentation to this office for
review so that we may make an eligibility determination under the subject project:
If additional costs are determined eligible and there are 'fundg awe l�abl-e, 'the grant
agreement may be amended by up to 15% of the original gran: amount.
