A RESOLUTION OF THE CITY OF SEBASTIAN, INDIAN RIVER COUNTY,
FLORIDA, PERTAINING TO THE SEBASTIAN MUNICIPAL AIRPORT;
AUTHORIZING THE MODIFICATION OF OBLIGATIONS UNDER AN AIRPORT
LEASE BETWEEN NATIONAL APERTURE, INC. AND THE CITY OF SEBASTIAN;
PROVIDING FOR THE REPEAL OF RESOLUTIONS IN CONFLICT HEREWITH;
AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Sebastian owns certain real property at the Sebastian Municipal
Airport; and
WHEREAS, National Aperture, Inc. is a bona fide leaseholder at the Sebastian
Municipal Airport; and
WHEREAS, National Aperture, Inc. requests a lease modification to their Airport lease.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF
SEBASTIAN, as follows:
SECTION 1. Consent. The City of Sebastian hereby consents to National Aperture's
request and hereby approves the First Amendment of Airport Lease Agreement between the City
of Sebastian and National Aperture, Inc.
SECTION 2. Time. The City Manager is authorized to make adjustments as necessary
relating to the lease.
SECTION 3. Conflicts. All resolutions, parts of resolutions, consent orders, or other
documents in conflict are hereby repealed.
SECTION 3. Effective Date. This Resolution shall take effect immediately upon its
adoption.

FIRST AMENDMENT OF AIRPORT LEASE AGREEMENT BETWEEN
THE CITY OF SEBASTIAN AND NATIONAL APERTURE, INC.
THIS FIRST AMENDMENT of that certain AIRPORT LEASE AGREEMENT
("Lease") by and between the CITY OF SEBASTIAN ("Landlord") and National Aperture
Inc. ("Tenant"), dated 11 July 2013, provides as follows:
WITNESSETH:
WHEREAS, the Landlord is the owner of certain property at the Sebastian
Municipal Airport; and
WHEREAS, the Landlord agreed to lease such property under the Lease to Tenant;
WHEREAS, Tenant wishes to modify said Lease; and
WHEREAS, Tenant and Landlord are mutually agreeable to said changes;
NOW, THEREFORE, in consideration of the mutual covenants hereinafter provided, the
receipt and sufficiency of which are hereby acknowledged, the parties have agreed as
follows:
Section 2. LEASED PREMISES. The Lease is hereby amended to add the
following phrase to the end of the first sentence as follows:
", in addition, Tenant hereby rents from Landlord that portion of real
property which is described more particularly in Schedule °1B" affixed hereto and made
part hereof by reference."
Section 4. RENT. The Lease is hereby amended to add the following immediately
after the first sentence as follows:
"For the leased premises `B": approximately 1476 sqft @ $8.80 sqft/year.
Payment in quarterly installments and Consumer Price Index (CPI) adjustments apply as
above with reference to leased premises "A."
All remaining terms and conditions of the initial Lease shall remain in full force and
effect.

Schedule "B"
Lease Agreement between the City Of Sebastian and
National Aperture, Inc.
1. Leased premises shall include a `wing' at the Sebastian Municipal Airport
Administration Building currently known as the "Airport Administration
Wing." This space is approximately 1476 square feet, more or less.
2. An approximately 10' X 10' office adjoining the lobby area of the
administration building is included to be a shared space with Airport
Administration. This area is identified as the "Mail/Copy room."
3. Premises are furnished.
4. Utility charges shall be prorated according to square foot usage.
5. Common Area Maintenance (CAM) shall be at no charge to the Tenant.
6. Lobby/reception area shall be considered a common/shared space with
other building tenants.
7. Tenant shall have use of a locked Conference Room/Library adjacent to the
lobby of the administration building with appropriate notice to the
Landlord.
8. Tenant shall have use of conference facilities in the Emergency Operations
Center (EOC) Wing of the Airport Administration Building with
appropriate notice to the Landlord.
