THIS AGREEMENT, made this _3_ day of 1995 by
and between
INDIAN RIVER COUNTY, FLORIDA, a political
subdivision of the State of Florida, the address of which
Is 1840 25th Street, Vero Beach, FL 32960 (hereafter
COUNTY),
and the
CITY OF SEBASTIAN, FLORIDA, a municipal corporation
of the State of Florida, the address of which is 1225
Main Street, Sebastian, FL 32958, (hereafter CITY),
WITNESSETH:
WHEREAS, public water is furnished to the Sebastian Lakes area by the
CITY; and
WHEREAS, wastewater service was provided to the Sebastian Lakes area
by Sebastian Lakes Utility Company; and
WHEREAS, Sebastian Lakes Utility Company desires to cease providing
wastewater service to the Sebastian Lakes area; and
WHEREAS, the COUNTY and the CITY find it is in the public interest
for the COUNTY to provide wastewater service to the Sebastian Lakes area;
NOW, THEREFORE, for and in consideration of the premises and other
good and valuable consideration, the receipt of which is hereby
acknowledged, the COUNTY and the CITY agree as follows:
1. Service Area. The COUNTY shall provide all wastewater service which
is required or needed to the area described in Schedule "A" and shown
on the map designated as Schedule "Al," which area shall be treated
during the term of this agreement for all intents and purposes as the
COUNTY's service territory.

2. Term of Agreement. The term of this agreement shall be for a period
of thirty years from the date of this agreement and shall automatically
be renewed for a period of thirty years unless a Notice of Termination
is given by either party eighteen month prior to the expiration of this
agreement.
3. Rates Impact and Connection Fees. The COUNTY shall charge the
wastewater customers in the service area a reasonable rate for the
wastewater service which shall be set by the COUNTY in accordance
with and consistent with the rates, impact and connection fees which it
charges all other customers of its wastewater utility system.
4. Payment of Connection Fees. The COUNTY on the execution of this
agreement will be paid the sum of $178,570.00 by Sebastian Lakes
Utility Company for 70 equivalent residential units (ERUs) of wastewater
capacity used by the existing customers in the service area. Any
additional wastewater capacity required in the service area must pay the
rates, impact and connection fees, if any, charged by the COUNTY.
5. Maintenance. The COUNTY shall provide for the maintenance, operation
and repair of the lift station and extension of the line from the lift
station to the force main for the wastewater system in the service area.
6. Assessment. Since the ability to extend service lines is crucial to the
sound development of an efficient utility system, the CITY shall hold
special assessment hearings pursuant to its home rule powers or
Chapter 170, Florida Statutes, when requested to by the COUNTY. If,
after the public hearing, the CITY fails to levy the special assessment,
the CITY will reimburse the COUNTY the costs the COUNTY incurred
in developing the assessment roll as a prerequisite for the public
hearing.
7. Service Standards. The COUNTY agrees to comply with all applicable
state, regional, and federal requirements and rules applicable to the
provision of wastewater services to the public.
8. Notice Provision. All notices, requests, consents, and other
communication required or permitted under this agreement shall be in
writing and shall be (as elected by the person giving such notice) hand
delivered by messenger or courier service, or mailed by registered or
certified mail (postage prepaid) return receipt requested, addressed to:

9. Severability. If any provision of this agreement is held to be invalid
or unenforceable by a court of competent jurisdiction, the other
provisions of this agreement shall remain in full force and effect.
10. Entirety. This agreement represents the entire understanding and
agreement between the parties and no other agreements, either oral or
written, exist between the parties.

agreement on the date first above written.

Schedule "A"
Service Area: All the real property located within the area
which is bounded on the northwest by County
Road J512 (Fellsmere Road), on the East by
Laconia Street from County Road 1512 to
Granduer Avenue, on the South by Granduer
Avenue from Laconia Street to Larkspur Street,
on the East by Larkspur from Granduer Avenue
to Genesee Avenue, and Genesee Avenue on the
South from Larkspur extending West in a
straight line from Genesee Avenue to County
Road 512 (Fellsmere Road).
The Sebastian Lakes Service Area Is depicted in the map
which is attached as Schedule "A1."

SUBJECT: Meter Reading at Sebastian Lakes
I met with Ron Stafford of Renfro Realty (242-4884) and Nick
Zahn, meter reader at Sebastian Lakes, at 10 AM at the Sebastian
Lakes Clubhouse. Ron wanted me to meet with Nick after I told Ron
that Nick was not reading the meters correctly. He was not
including the stationary zeros at the right of the odometer or
register wheels on the meter.
We looked at the Clubhouse meter. Nick read it as 5929
gallons. I told him that he did not include the two stationary
zeros and that the meter reading was 592,900 gallons. We then
looked at a meter at the unit nearest to the Clubhouse. Nick read
that at 14101 gallons. I told him that he forgot to include the
two stationary zeros. The reading was 1,410,100 gallons. We went
to the library and read the meter there. It's reading was 218,910
gallons. The library meter has only one stationary zero.
Last, I showed Nick and Ron the master meter off of Laconia
St. Unfortunately, it was under 15" - 18" of water and could not be
read.

SUBJECT: Sebastian Lakes As -Built Drawings
This morning at 11:00 AM, I met with Ron Stafford, Asset
Manager of RENFRO Realty, Melbourne, F1. (407) 242-4884 regarding
as -built plans of the water and sewer systems at Sebastian Lakes.
One of the groundskeepers had encountered a water service line and
Ron wanted to know if as-builts were available for him to locate
the service line prior to running into them.
Since I had a spare set from Caulfield -Wheeler, Surveyors,
Boca Raton (407)392-1991), I gave him a print of the following:
1. Sebastian Lakes Sanitary Sewer System As -Built -
Dated 11/12/93
2. Sebastian Lakes Water Distribution System As -Built -
Dated 11/12/93
I told Ron that although the location of the sewer laterals
was determined via televising the sewer mains, in many instances
the ends of the laterals were not found. Therefore, no offset
distance was shown on the as -built drawings. The ends of the
laterals found were marked by a cast iron cover set in concrete.
Most likely these are buried over and possibly could be located by
probing or using a metal detector. However, our Dept. does not
have the manpower to do this.
