Dear Mayor Gallaher and Members of the City Council:
Enclosed is a proposal for a resolution for water
and wastewater franchise for the Villages of Lake Dolores
by Lake Dolores Utilities and Cable Television Systems, Inc.
We would request the City to begin the procedure for
approval of this system. Pleasq advise if you need further
information or documentation and advise us of when the
public hearing is and other meetings where this franchise
will be discussed so we can have a representative present.
Thank you. We would request that this matter be placed
on the agenda for the July 2nd workshop meeting.

2. Legal Description:
See Exhibit 'A'
3&4. This application is for both sewer and water service
area. The sewer service will be provided by an on-
site Sewer Treatment Plant and the water will be
furnished at the property line by General Development
Utilities. The water will be distributed thru-out the
site by an eight inch looped system with fire hydrants
placed in accordance with code requirements and in
accordance with National Board of Fire Underwriters.
The fire hydrants have been installed for the first
phase and the remainder of required hydrants are
stored on site.

5. We have included location maps of the vicinity,
Exhibit 'B' and a list of property owners and
their address. (Exhibit 'C').
6. Enclosed are the permits for the following: (Exhibit'D').
1. Wastewater collection system.
2. Wastewater treatment plant.
3. Water distribution lines.
7. Construction of the facility has been substantially
completed and operation and maintance of the facility
have been started in accordance with D.E.R. require-
ments.
Financing for the total project as well as the Utility
Facility is provided by MERRITT COMMERCIAL SAVINGS
AND LOAN ASSOCIATION, BALTIMORE, MD.
See attached financial agreement letter. (Exhibit 'E')

.. 28-5.201 Initiation of Formal Proceedings.
(1) Initiation of formal proceedings shall be made by petition to
the agency responsible for rendering final agency action.
The term petition as used herein includes any application or
other document which expresses a request for formal
proceedings. Each petition should be printed, typewritten or
otherwise duplicated in legible form on white paper of
standard legal size. Unless printed, the impression shall be
double-spaced and indented.
(2) All petitions filed under these rules should contain:
(a) The name and address of each agency affected and each
agency's file or identification number, if known;
(b) The name and address of the petitioner or petitioners,
.. and an explanation of how his/her substantial interests

perform the work or operate the facility shown on the application
and approved drawing(s), plans, and other documents attached

specifically described as follows:
., Construct: A 0.120 MGD contact stabilization wastewater treatment
plant with flow equalization, tertiary filtration, disinfection by
chlorination and effluent disposal to groundwater via two (2)
percolation pond cells with an area of 19,375+ square feet each
(38,750 square feet - total). The treatment plant may be
constructed in two (2) phases of 0.060 MGD each. Flow shall be
limited to the capacity of the completed phase.
Location: County Road 512, west of Sebastian, Florida.
Treatment Required: Secondary treatment and basic disinfection.
Operators Required: This is a Class C, level II treatment plant
which requires the service of Class C (or higher) certified
operators on-site two (2) hours per day, five (5) days per week,
as a minimum.

1. The terms, conditions, requirements, limitations, and restrictions set forth herein are "Permit Conditions" and as
such are binding upon the permittee and enforceable pursuant to the authority of Sections 403.161, 403,727, or
403.859 through 403.861, Florida Statutes. The permittee is hereby placed on notice that the department will
review this permit periodically and may initiate enforcement action for any violation of the "Permit Conditions"
by the permittee, its agents, employees, servants or representatives.
This permit is valid only for the specific processes and operations applied for and indicated in the approved
drawings or exhibits. Any unauthorized deviation from the approved drawings, exhibits, specifications, or condi-
tions of this permit may constitute grounds for revocation and enforcement action by the department.

As provided in Subsections 403.087(6) and 403.722(5), Florida Statutes, the issuance of this permit does not con-
vey any vested rights or any exclusive privileges. Nor does it authorize any injury to public or private property
or any invasion of personal rights, nor any infringement of federal, state or local laws or regulations. This
permit does not constitute a waiver of or approval of any other department permit that may be required for other
aspects of the total project which are not addressed in the permit.
4. This permit conveys no title to land or water, does not constitute state recognition or acknowledgement of title,
�. and dues not constitute authority for the use of submerged lands unless herein provided and the necessary title or
leasehold interests have been obtained from the state. Only the Trustees of the Internal Improvement Trust Fund
may express state opinion as to title,
F", This permit does not relieve the permittee from liability for harm or injury to human health or welfare, animal,
plant or aquatic life or property and penalties therefor caused by the construction or operation of this permitted
source, nor does it allow the permittee to cause pollution in contravention of Florida Statutes and department
rules, unless specifically authorized by an order from the department.
The permittee shall at all times properly operate and maintain the facility and systems of treatment and control
(and related appurtenances) that are installed or used by the permittee to achieve compliance with the conditions
_ of this permit, as required by department rules. This provision includes the operation of backup or auxiliary
facilities or similar systems when necessary to achieve compliance with the conditions of the permit and when re-
quired by department rules.
.The permittee, by accepting this permit, specifically agrees to allow authorized department personnel, upon pre-
sentation of credentials or other documents as may be required by law, access to the premises, at reasonable
times, where the permitted activity is located or conducted for the purpose of:
Via. Having access to and copying any records that must be kept under the conditions of the permit;
.b. Inspecting the facility, equipment, practices, or operations regulated or required under this permit; and
c. Sampling or monitoring any substances or parameters at any location reasonably necessary to assure compliance
with this permit or department rules.
Reasonable time may depend on the nature of the concern being investigated.
If, for any reason, the permittee does not comply with or will be unable to comply with any condition or limita-
tion specified in this permit, the permittee shall immediately notify and provide the department with the follow-

The permittee shall be responsible for any and all damages which may result and may be subject to enforcement
action by the department for penalties or revocation of this permit,
9. In accepting this permit, the permittee understands and agrees that all records, notes, monitoring date and other
information relating to the construction or operation of this permitted source, which are submitted to the depart-
ment, may be used by the,department as evidence in any enforcement case arising under the Florida Statutes or
department rules, except where such use is proscribed by Sections 403.73 and 403.111, Florida Statutes.
10. The permittee agrees to comply with changes in department rules and Florida Statutes after a reasonable time for
compliance, provided however, the permittee does not waive any other rights granted by Florida Statutes or depart-
ment rules.
• 11• This permit is transferable only upon department approval in accordance with Florida Administrative Code Rules
17-4,12 and 17-30,30, as applicable. The permittee shall be liable for any non-compliance of the permitted acti-
vity until the transfer is approved by the department.
12. This permit is required to be kept at the work site of the permitted activity during the entire period of con-
struction or operation.
13. This permit also constitutes:

( ) Determination of Prevention of Significant Deterioration (PSD)
( ) Certification of Compliance with State Water Quality Standards (Section 401, PL 92-500)
( ) Compliance with New Source Performance Standards
14. The permittee shall comply with the following monitoring and record keeping requirements:
a. Upon request, the permittee shall furnish all records and plana required under department rules. The reten-
tion period for all records will be extended automatically, unless otherwise stipulated by the department,
during the course of any unresolved enforcement action.
b. The permittee shall retain at the facility or other location designated by this permit records of all monitor-
ing information (including all calibration and maintenance records and all original strip chart recordings for
continuous monitoring instrumentation), copies of all reports required by this permit, and records of all data
used to complete the application for this permit. The time period of retention shall be at least three years
from the date of the sample, measurement, report or application unless otherwise specified by department rule.

c. Records of monitoring information shall include:

the date, exact place, and time of sampling or measurements;
- the person responsible for performing the sampling or measurements;
- the date(s) analyses were performed;
- the person responsible for performing the analyses;
the analytical techniques or methods used; and

SPECIFIC CONDITIONS:
1. Sampling and analysis of the treatment plant shall be in
accordance with Chapter 17-19, Florida Administrative Code
(F.A.C.). Effluent analysis shall include nitrate as N, at the
same sampling frequency as required for BODS and TSS.
2. Groundwater monitoring shall be performed in accordance with
the attached Groundwater Monitoring Plan Implementation Schedule.
3. The effluent disposal facilities discharging to groundwaters
shall be operated and maintained at all times so as to prevent
., overflow or seepage of effluent to adjacent ground surfaces or
runoff to surface waters.
4. The boundary of the zone of discharge shall be 100 feet from
the site (wetted disposal area) boundary or to the installation's
property boundary whichever is less. The zone of discharge shall
be the volume underlying the surface within this boundary to the
base of the unconfined aquifer.
5. Properly executed operation reports of treatment plant
performance shall be provided to the Department of Environmental
Regulation and your local pollution control office monthly. The
flow, pH and chlorine residual must be shown as well as the other
_ required parameters as stated above.
6. Operational difficulties shall be immediately reported to both
the local pollution control program and to the Department of
Environmental Regulation.
7. The permittee shall submit the prescribed application and
supporting data for an operation permit no later than 60 days
prior to expiration of this permit.
8. Waste sludge disposal shall be in accordance with Rule 17-7,
Part IV, Florida Administrative Code, (F.A.C.). Sludge which has
not been analyzed pursuant to Rule 17-7.54(1) and (2), F.A.C.
shall be disposed of at approved sanitary landfills or as
otherwise provided in Rule 17-7.54(6), F.A.C.

SPECIFIC CONDITIONS:
9. This permit will allow a period of operation following
completion of construction, to make minor changes, adjustments
etc., to obtain test data to verify that the facility meets design
standards, and to obtain an operation permit.
10. The applicant shall retain a professional engineer registered
in the State of Florida, to observe construction of the project
and to assure conformity to the application, plans and
specifications as approved. Upon completion of construction, the
engineer shall provide the Department with a certification of
completion of construction and record drawings in accordance with
Rule 17-6.140, F.A.C.
11. Baffles shall be provided in the filter backwash/chlorine
contact tank to prevent short circuiting; two (2) baffles are
considered minimum.
12. The effluent delivered to the effluent disposal system shall
be adequately chlorinated at all times so as to maintain 0.5 mg/l
total chlorine residual after a minimum contact period of 15
minutes (based upon peak flow).
13. This permit does not cover any of the structural engineering
aspects of this project.

GROUNDWATER MONITORING PLAN IMPLEMENTATION SCHEDULE
The Monitoring Plan as proposed in the application and supporting
documents satisfies the requirements set forth in Florida
Administrative Code Rule 17-4.245(6)(d) subject to the following:
., 1. The Monitoring Plan must be implemented within ninety days of
the date of this letter (17-4.245(6)(f) F.A.C.).
2. Initial sampling of the treatment plant effluent (as specified
below) shall be performed and the data submitted to the department
as part of the application for an operation permit.
3. Sampling and testing methods shall be in accordance with
17-4.246 F.A.C.
4. Quarterly groundwater sampling shall include total dissolved
solids, nitrate as N, turbidity, total coliform, pH (field
measurement) and chloride, at a minimum. Also report the
groundwater level relative to a known datum and to ground
surface.
5. Enclosed are quarterly monitoring report forms for each well.
.. In order to facilitate entry of this data into the State computer
system, always specify your facility GMS number, your well name
and number, the corresponding well computer number and the type of
well (background, intermediate or compliance) on the quarterly
^" reporting form. Be sure to keep the original copy of the enclosed
quarterly reporting form for each well, so that you will have the
necessary information to properly fill out future reports.
6. The effluent stream shall be sampled initially for the primary
and secondary drinking water standards and also for the minimum
.. criteria. The analyses required for the minimum criteria are the
Pestici6es and PCB's (EPA Method 608), Base/Neutrals, Acids and
Pesticides (EPA Method 625) and Purgeables (EPA Method 624). The
methods can be found in the EPA Test Methods - Methods for Organic
Chemical Analysis of Municipal and Industrial Wastewater - EPA
600/4-82-057 July 1982. Based on the results of these analyses
the department may select additional parameters for quarterly
.. monitoring of the wells.
7. The six (6) monitoring wells included in this monitoring plan
are the.background wells lA (shallow) and 1B (deep), the,
intermediate wells 2A (shallow) and 2B (deep), and the compliance
wells 3A (shallow) and 3B (deep).

(1) A general permit is hereby granted for the construction of an extension
to a public drinking water system that has been designed in accordance with the
standards and criteria set forth in Florida Administrative Code Rule 17-22.
(2) This general permit is subject to the general conditions of Rule
17-4.54 (see reverse side) and the following specific conditions:
(a) The permittee or his engineer of record shall file with the department
upon ocmpletion of the work a copy of the plans and specifications for the system
"as built".
(b) Before the system may be placed into service, a certification of con-
struction completion by the engineer of record and a copy of satisfactory bacter-
iological results taken on two consecutive days from the new water main on Lands-
downe Drive near Barger Street, on Laconia Street near Landsdowne Drive, at the
County laud 512 entrance, at the clubhouse and near Buildings 6, 14, 35, 41 and 47

clearance be issued.
(c) This general permit does not relieve the permittee of the responsibil-
ity for obtaining a dredge and fill permit where it is required.

Dear Sirs:
We are pleased to advise you that Merritt Commercial
Savings & Loan Association (the "Lender") has approved the
request of Sebastian Lakes Associates (the "Borrower") for
construction financing (the "Loan"), the proceeds of which shall
be applied by Borrower as set forth below to construct sixty-
four (64) townhouses on a tract of•land located in Sebastian,
Florida and described in detail in Exhibit "1" attached hereto
(the "Property") (the construction of the sixty-four (64)
— townhouses on the Property shall hereinafter be referred to as
the "Project"). The terms of the Loan are as follows:
1. LOAN AMOUNT AND TERMS.
The Lender will lend to the Borrower the sum of four
Million Seven Hundred Fifty Thousand Dollars ($4,750,000.00) for
use in connection with the construction of sixty-four (64)
townhouse units on the Property. The principal amount of the
Loan, together with any unpaid accrued interest, shall be
payable e.1ghteen (18) months following the closing on the Loan
as defined hereinafter. Interest only shall be payable monthly
as set forth hereinbelow.
2. INTEREST.
Interest shall be due and payable on the first day of each
month on the actual Loan balance outstanding during the previous
month at an annual rate equal to two percent (28) over Maryland
National Bank's prime rate of interest determined as of 5:00
p.m, on the last Friday of the previous month. All interest

payments shall be calculated on the basis of a 360 day per diem
calculation, spread over a 365 day year.
- 3. BORROWER.
Borrower shall be Sebastian Lakes Associates, a Florida
General Partnership.
4. COMMITMENT LOAN FEE.
At closing, two percent (28) of the gross Loan amount
shall be paid by Borrower to Lender as a non-refundable Loan
origination fee, -which amount shall be deducted from the gross
Loan proceeds.
5. MATURITY DATE.
The maturity date shall be eighteen (18) months following
closing.
6. SECURITY.
The Loan shall be secured by a recorded second mortgage,
subject only to Lender's recorded first Mortgage, in form and
content satisfactory to the Lender, covering the Property. The
Mortgage shall prohibit any transfer, sale or alienation of, or
subordinate lien or encumbrance upon the Property as well as any
transfer, sale, alienation, pledge or other hypothecation of any
of the common stock of the Borrower except as provided herein,
without the Lender's prior written consent.
Additional security for the Loan shall be provided by a
security agreement and financing statements evidencing same, in
forms acceptable to the Lender, creating a first priority
interest in and lien upon the following personal property:
(a) All fixtures and all other personal property, now or
hereafter used in the construction, maintenance, or operations
of, or having any use in connection with, the Property;
(b) All present and future leases and contracts for the
sale of the Property, the improvements thereon, or any part
thereof and all deposits thereunder, and all present and future
accounts, instruments (promissory notes and mortgages), and
chattel paper received by Borrower and arising in connection
with the sale of the mortgaged premises, the improvements
thereon or any part thereof; and

(c) All present and future contracts or undertakings
between Borrower (or Borrower's agent or predecessor) and any
architect, engineer, contractor, developer or any third person
rendering services or materials to Borrower in connection with
'the Project.
7. CLOSING DATE.
The Loan shall close no earlier than November 300 1984,
and no later than December 31, 1984, at -such time and place as
may be mutually agreed upon by the parties hereto. Borrower
shall give Lender at .least fifteen (15), days prior written
notice of the date on which it wishes to close the Loan.
8. USE OF PROCEEDS.
The proceeds of the Loan are to be used as follows: (a)
to pay the costs and expenses (including attorney's fees and
expenses) incurred by or on behalf of the Lender in connection
with this commitment, preparing the Loan for settlement and
settling the Loan, and to pay all costs and expenses incident to
the filing or recordation of any document or instrument in
I connection with the Loan; (b) for the construction of sixty-
four (64) townhouse units on the Property. Application of the
Loan proceeds for such uses shall be restricted to the
categories set forth in Exhibit "2" attached hereto, in such
amounts as provided below unless otherwise agreed to in -writing
by Lender.
The allocations set forth above were established on the
basis of the pro -forma provided to Lender by Borrower and are
not intended to be unalterable. Borrower and a representative
of Lender shall meet every quarter following initial funding to
review the actual performance of the Project and modify the
allocations set forth for each category described above, if
necessary.
9. COST BREAKDOWN/PROJECT BUDGET.
The Borrower shall furnish Lender prior to disbursement of
any Loan funds a breakdown of all estimated Project costs,
including, but not limited to, the cost of. the co:,struction and
building costs and management, marketing, field and

administrative expenses, in form satisfactory to Lender. On the

basis of such cost breakdown, Borrower agrees to prepare and
furnish to Lender at or prior to closing hereunder, a Project
_ budget and cash flow projection projecting future income and
expense by quarter for the Project, to be reviewed at lest
quarterly and compared against the actual experience of the
Project.
10. PROJECT REPORTS.
- Within twenty-five (25) days after the end of each
calendar quarter, the Borrower shall provide Lender with a
written statement of income and expenses for the preceding
quarter, year-to-date and project -to -date, and a balance sheet
of the Borrower as of the end of such period, prepared in
accordance with generally accepted accounting principles
consistently applied and in form and detail satisfactory to
Lender. To facilitate this financial reporting and management
process, Borrower agrees to maintain during the life of the
Project separate, fully segregated books and records for the
Project showing all items of income and expense according to
generally accepted accounting principles and standards, which
books and records shall be made available for inspection by
Lender or Lender's agent at Borrower's place of business during
normal business hours as Lender may reasonably request.
11. RELEASE PAYMENTS.
Individual improved lots may be released from the lien of
the Mortgage debt upon payment of the net proceeds from the sale
of such lots by the Borrower to the Lender.
12. TRUST AGREEMENT.
Following closing on the Loan, the balance of the Loan
proceeds shall be placed in a separate Trust account with Lender
pursuant to the terms of a certain trust agreement to be entered
into between Lender and Borrower at the time of closing (the
"Trust Account"). Loan advances shall be made from such Trust
Account in accordance with the terms hereof and of such Trust
- Agreement.
13. EXCULPATION.
It is expressly understood that there shall be no personal
recourse or liability on the part of the Borrower, the partners

of the Borrower or the officers or shareholders of any such
partner, in whole or in part, for any sums advanced under this
_ Loan commitment and that Lender's sole recourse shall be to the
Property and collateral securing the Mortgage under the terms
hereof.
14. PROJECT PROCEEDS.
All cash proceeds received by the Borrower from the sale
_ and settlement of individual lots from time to time shall be
applied as follows: first to the payment of direct settlement
expenses (i.e. transfer taxes, documentary stamps, etc.); next
against any accrued but unpaid interest on the Loan; next
against the principal balance of the Loan..
15. APPRAISAL.
Borrower shall furnish Lender with an appraisal of the
fair market value of the Property, which shall be in compliance
with Lender's loan -to -value requirements. Such appraisal is to
be prepared at Borrower's expense and to be satisfactory to
,Lender, in its sole discretion.
16. CREDIT.
The credit history of the Borrower has been reviewed by
the Lender through established credit reporting agencies and by
other means deemed necessary by the Lender and is satisfactory
to the Lender.
17. THIRD PARTY BENEFICIARY.
No one other than the Borrower shall derive any rights,
benefits or privileges from this commitment nor is it intended
that anyone be deemed a third party beneficiary of this
commitment.
18. LENDER ASSIGNMENT.
The Lender shall have the right to assign, sell, or obtain
a participation interest in the subject loan at any time.

19. BORROWER ASSIGNMENT.
.. Borrower may not assign this commitment nor the proceeds
of the Loan without the Lender's prior written consent, and
without such consent, there shall be no right to designate a
payee of the proceeds of the Loan.
20. DISBURSEMENTS (WITHDRAWAL REQUESTS).
�* The Loan proceeds shall be disbursed to the Borrower as
follows: At the time of closing all settlement funds, expenses
and the like shall be disbursed upon ieceipt of the security
documents described in Paragraph 6. After closing, the
Borrower, from time to time, shall furnish to Lender for its
review and its approval a percentage of completion draw schedule
based on the herein described cost breakdown certifying the
percentage of work completed during the relevant time period,
and certifying that the remaining undisbursed Loan funds are
sufficient to complete the development and construction of the
-• Project. All requests for payment shall be on standard AIA
Request for Payment forms, or such forms as Lender shall provide
to Borrower, signed by the Borrower and the progress inspector
_ and addressed to Lender's attention. Lender shall have the
right, in its discretion, at the Borrower's expense, to require
an inspector of the Lender's choice to inspect the Project prior
_ to the advancement of funds pursuant to the draw request.
21. CHANGE ORDERS.
Any deviation from the site development plans, building
plans and designs and/or specifications submitted to the Lender
must first be approved in writing by the Lender.
22. RELEASE OF LIEN.
Lender, at its discretion, may request partial or final
releases signed by all subcontractors and materialmen doing work
or supplying materials at any.time during the term of the Loan.

23. ADVERTISEMENT AND SIGNS.
The Lender shall have the right and is hereby granted per-
mission to erect an appropriate sign on the site indicating that
it is furnishing financing on the subject property and may issue
press releases to this same effect.
24. NEGATIVE COVENANTS.
During the life of the Loan, the Borrower shall not,
without the Lender's prior consent: (a) incur, assume or permit
to exist an indebtedness, including without limitation, any
guarantee indebtedness (except indebtedness to tl;e Lender and
current trade indebtedness); (b) make or permit to exist any
loan to any person, corporation, association or further entity
of any kind; (c) become or be liable as lessee with respect to
any lease of any property, real, personal or mixed other than
finance leases approved in writing by the Lender in advance and
in the Lender's sole discretion.
25. CROSS DEFAULT.
Should the Borrower be in default on any loan or agreement
with the Lender, at any time during the term of this commitment,
then this commitment will become null and void at Lender's
election. Should the Borrower be in default on any loan or
agreement with the Lender at any time after the settlement of
this Loan, then this Loan, at the discretion of the Lender,
shall also be in default.
26. TITLE INSURANCE.
A title policy protecting the Lender's interest shall be
issued effective as of the date of record of the Lender's mort-
gage without exception that would be objectionable to the
Lender. The form, amount and corporate surety shall be
acceptable to the Lender.
27. SUBCONTRACTORS AND SUPPLIERS.
All agreements between Borrower and the general contractor
and major subcontractors for the Project shall be subject to
Lender's prior review and approval. Lender shall be entitled to
receive a tentative list of suppliers and subcontractors upon
demand.

28. HAZARD AND LIABILITY INSURANCE.
The Lender shall be furnished hazard and liability and
builder's risk insurance policies that will adequately protect
the Property to be pledged as security herein and the normal
operation of said Property. All policy forms, amounts, and
— insurers must be satisfactory to the Lender and receipt of
payment for a period of one (1) year must be supplied to the
Lender prior to settlement of the Loan.
29. WAIVER.
A waiver by the Lender of any of the terms and conditions
contained herein shall .not constitute a .continuing waiver of
said terms and conditions.
., 30. TERMINATION.
The Lender may terminate this commitment if, at any time
prior to initial disbursement of the Loan: (a) any material
misrepresentation has been or is made in connection with the
Loan by the Borrower or any other person or entity connected
with the Borrower; (b) any adverse change has occurred or shall
— occur with respect to the condition, financial or otherwise, of
the Borrower or any other person or entity connected with the
Loan or with respect to any property which is to secure the Loan
or with respect to any other source of repayment of the Loan; or
(c) the Borrower or any other person or entity connected with
the Loan shall be or become insolvent, a debtor in any case
under any chapter of the United States Bankruptcy Code or the
subject of any arrangement, reorganization, liquidation,
receivership or insolvency proceeding. In the event of
termination of this commitment pursuant to this paragaraph,
Borrower shall be liable to Lender for the cost and expenses
incurred by Lender in the preparation of this commitment and of
the Loan documents contemplated hereunder.
31. APPLICABLE LAW.
_ This Loan Commitment and all aspects of the Loan and its
repayment shall be governed and limited by the laws of the State
of Maryland and by applicable federal laws, rules, and
regulations.
32. SURVIVAL.
The terms and conditions of this commitment shall survive
the settlement of the Loan and shall remain in full force and

effect as if fully set forth in the applicable Mortgage or
related documents unless specifically excluded or contradicted
by the mortgage or related documents. Non-compliance with said
terms and conditions shall constitute a default at the
discretion of the Lender.
T 33. EMINENT DOMAIN CONDEMNATION.
Should all or any part of the Property be condemned or
taken through eminent domain proceedings, all or such part of
any award or proceeds thereof, as the Lender in its sole
discretion may determine in writing, shall be applied to the
payment of the mortgage debt and all such proceeds are hereby
assigned to the Lender.
34. LOAN DOCUMENTATION.
The Loan shall be documented by a Second Mortgage,
security agreement, trust agreement, financing statements and
such other documentation as may be required by Lender, in its
- sole discretion, in form and content satisfactory to Lender and
l to be prepared by Lender's counsel in accordance with the terms
hereof. The Borrower hereby agrees that Lender's obligation to
fund the Loan shall be conditioned on Borrower's acceptance and
execution of such documents.
This commitment supercedes any and all prior
understandings whether oral or written, and all previous
commitments with respect to the Loan and may be modified only by
an instrument in writing signed by the Lender and the
- Borrower. Acceptance of this commitment by the Borrower shall
be indicated by the Borrower's duly authorized agent signing the
enclosed counterpart of this letter and returning the fully
signed counterpart to the Lender on or before September 11,
1984. Otherwise, the Lenders hall have no obligations
hereunder. Time is of the essence.
35. ACCEPTANCE.
This commitment must be accepted by Borrower by the
execution and return hereof on or before November 1, 1984.
Acceptance of this commitment shall constitute the unconditional
agreement of the Borrower to pay all fees, expenses; and charges
of the Lender, whether heretofor or hereinafter paid or in-
curred, in connection with this commitment, preparing for the
making of the Loan and making the Loan, including, without limi-
tation, the commitment Loan fees hereunder, the fees and
expenses of the Lender's counsel, the cost of judgment and

pending litigation reports, examining of Uniform Commercial Code
financing records, all recording, transfer and filing fees,
taxes, documentary stamps and other taxes, fees and expenses,
whether or not any of the transactions contemplated by this
commitment are consummated. The Lender shall not be required to
pay any premium or other charge or any brokerage fee or
commission or similar compensation in connection with the
transactions contemplated by this commitment. Acceptance of
this commitment shall constitute the unconditional aareement of
the Borrower to defend, indemnify and hold the Lender harmless
from and against any and all claims for any fees, charges,
commissions, taxes and compensation in connection with the Loan,
including any action brought by Borrower, court costs and
attorney's fees, it being understood that the Loan will be made

The department gives notice of its intent to issue a permit to construct a
cvmunity public water system to serve the proposal 650 -unit villages of take
Dolores located on the west side of U.S. Highway 11 near the intersection of Bristo.3
Street and Strartoe Avenue swath of Sebastian, Florida. The water plant will serve
175 units initially in Phase I until it is upgraded to include a standby well and
auxiliary power with automatic startup capability.
A person whose substantial interests are affected by the Departnent's proposed
permitting decision may petition for an administrative proceeding (hearing) in
accordance with Section 120.57, Florida Statutes. The petition must conform to the
requirements of Chapters 17-1.03 and 28-5, Florida Administrative Carle, and most be
filed (received) in the office of General Counsel of the Department at 2600 Blair
Stone Road, Twin Towers Office Building, Tallahassee, Florida 32301, within fourteen
(14) days of publication of this notice. Failure to file a request for hearing within
this time period shall constitute a waiver of any right such person may have to

June 27th. Due to the abundance of paperwork and details, I
have been unable to do the necessary research and to comfortably
make my recommendations to the City Council.
Since the City Attorney will not be returning until July 15,

The City Council of the City of Sebastian, Florida, will hold
a Public Hearing, on Wednesday, August 21, 1985, at 7:00 p.m.,
in City Council Chambers, 1225 Main Street, Sebastian, Florida,
to consider the following:
Sebastian Lakes Utility Company has requested a
utility franchise, in their subdivision, Sebastian
Lakes, for a period not exceeding twenty (20) years.
The e Tegal description to be embraced by the franchise
is attached, Exhibit A, for your inspection.
Since you are the owner(s) of the surrounding property, within a
three hundred (300) foot radius, you are hereby notified of the
Public Hearing.
If you should have any objections we would appreciate your so
advising us, either by mail or at the hearing. All interested
parties may appear at the hearing and be heard with respect to
the proposed request for utility franchise.

The City Council of the City of Sebastian, Florida,
will hold a Public Hearing on Wednesday, August 14, 1985,
beginning at 7:00 P.M., in City Council Chambers, 1225 Main
Street, Sebastian, Florida, to consider an application to grant
utility franchises for the following:
Lake Dolores Utilities & Cable Television Systems Inc.,
for a period not to exceed 20 years, on an area of
land, described in Exhibit "A" with the proposed rates
as outlined in Exhibit "B".

2. Legal Description of the Franchise area -
See Exhibit 'A'
3. & 4. This application is for both water and sewer at Sebastian Lakes
and sewer service at the Sebastian School.
The sewer service will be provided by an on-site (Sebastian
Lakes) sewer treatment plant and the water will be provided at
the property line of Sebastian Lakes by General Development
Utilities. The water will be distributed thru-out the Sebastian
Lakes site by an eight inch looped system with fire hydrants
placed in accordance with code requirements and in accordance with
the National Board of Fire Underwriters. The fire hydrants have
been installed for the first phase and the remainder of the
required hydrants are stored on site.
5. We have included location maps of the vicinity, Exhibit 'B' and
a list of the property owners and their addresses Exhibit 'C'.
6. Enclosed are the permits for the following: (Exhibit 'D')
A. Wastewater collection system (Sebastian Lakes)
B. Wastewater treatment plant (Sebastian Lakes)
C. Water distribution lines (sebastian Lakes)
D. Sewer force main permit for Sebastian School is in the
process of permitting
7. Construction of the facility has been substantially completed and
operation and maintenance of the facility has been started in
accordance with D.E.R. requirements.
Financing for the total project as well as the utility facility is
provided by MERRITT COMMERCIAL SAVINGS AND LOAN ASSOCIATION,
BALTIMORE, MD.. See attached financial agreement letter (Exhibit
'E')

overriding public health, safety and welfare considerations

the public convenience, to promote aesthetic considerations, to
promote planned and efficient use of limited right of way space,
and to protect the public investment in right of way property;
WHEREAS, The City of Sebastian finds it in the public
interest to ensure that high quality water and sewer service is
maintained through a responsive complaint procedure;
WHEREAS, Grantor is desirous of having made available to its
citizens, in return for valuable consideration, certain water
and sewerage facilities of sufficient size and capacity to serve
its citizens at reasonable rates, and constructed in such a
manner so that at such time as the Grantor may desire to purchase
said facilities, that prospective purchasers of revenue bonds of
the Grantor to be used in acquiring the funds to make such

SECTION 118. Construction Schedule.
Grantee shall proceed expeditiously to construct such part
of the plant and systems as shall be necessary to serve water and
wastewater demands in the area covered by this franchise as
needed, and to maintain said plants and other facilities in a
sufficient capacity to handle the requirements of the then
utility service demands in the area covered by this franchise.
All of the facilities to be owned and operated by Grantee
shall be planned and designed by professional engineers of the
State of Florida. The contract or contracts for the construction
of all facilities shall be awarded by Grantee to reputable
contractor or contractors. The Grantee shall have the right to
examine and concur in the design of all facilities, but
concurrence shall not be arbitrarily or unreasonably withheld.
Failure by Grantor to advise the Grantee in writing of. .its
non -concurrence in the design of any facilities and to assign in
writing Grantor's specific reason or reasons for such
non -concurrence within ten (10) days after Grantee has submitted
to Grantor such design shall be deemed a concurrence by Grantor
in such design.
SECTION 119. Capacity to Serve.
Grantee will, at its own expense, provide the necessary
capacity to service the area.
SECTION 120. Rates.
The rates and charges for use of said facilities by the
Grantor, and its successors, and the inhabitants, property owners
and corporations within the limits of this franchise, shall at
all times be reasonable and subject to such regulations as may be

NOTICE OF PUBLIC HEARING
The City Council of the City of Sebastian, Florida,
will hold a Public Hearing on Wednesday, August 14, 1985,
beginning at 7:00 P.M., in City Council Chambers, 1225 Main
Street, Sebastian, Florida, to consider an application to grant
utility franchises for the following:
Lake Dolores Utilities & Cable Television Systems Inc.,
for a period not to exceed 20 years, on an area of
land, described in Exhibit "A" with the proposed rates
as outlined in Exhibit "B".
All interested parties may inspect the proposed
application for franchise in the City Clerk's Office, City Hall,
and may appear at the hearing and be heard with resepct to the
proposed franchise.
Anyone who may wish to appeal any decision which may
be made at this hearing will need to ensure that a verbatim

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY
OF SEBASTIAN, FLORIDA, GRANTING AN EXCLUSIVE
FRANCHISE TO LAKE DOLORES UTILITIES and CABLE
TELEVISION SYSTEMS, INC., A FLORIDA CORPORATION,
TO OPERATE AND MAINTAIN A WATER DISTRIBUTION
SYSTEM AND SEWAGE COLLECTION SYSTEM
WITHIN A PORTION OF THE CITY OF SEBASTIAN,
FLORIDA; SETTING FORTH CONDITIONS AND PRIVILEGES
ACCOMPANYING THE GRANT OF FRANCHISE; PROVIDING FOR
RATES AND CHARGES, AND FOR SERVICE STANDARDS.
WHEREAS, The City of Sebastian finds it in the public
interest to ensure that THE VILLAGE OF LAKE DOLORES adequately
provided with high-quality water and sewer (wastewater) services:
WHF&EAS, The City of Sebastian finds it in the public
interest to retain regulatory authority over the water and sewer
utilities, to the extent allowed by law, because of the
overriding public health, safety and welfare considerations
associated with the provision of this service.
WHEREAS, The City of Sebastian finds it in the public
interest to retain control over the use of public rights of way
by water and $ewer utilities to ensure against interference with
the public convenience, to promote aesthetic considerations, to
promote planned and efficient use of limited right of way space,
and to protect the public investment in right of way property;
WHEREAS, The City of Sebastian finds it in the public
interest to ensure that high quality water and sewer service is
maintained through a responsive complaint procedure;
WHEREAS, Grantor is desirous of having made available to its
citizens, in return for valuable consideration, certain water
and sewerage facilities of sufficient size and capacity to serve
its citizens at reasonable rates, and constructed in such a
manner so that at such time as the Grantor may desire to purchase
said facilities, that prospective purchasers of revenue bonds of
the Grantor to be used in acquiring the funds to make such
purchase can be ,assured that the facilities are adequate and
satisfactory and will produce revenues capable of retiring said
revenue bonds;
WHEREAS, Grantee has indicated to Grantor that it is willing
to undertake the installation and operation of such facilities
under a franchise from Grantor; and
WHEREAS, the provision of such water and sewerage facilities
is in the best interest of the health, welfare and safety of
Grantor's citizens.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF
SEBASTIAN, FLORIDA as follows.
SECTION 101. Definitions.
A. "Grantee" shall mean the Lake Dolores Utilities
and Cable Television Systems, Inc., its successors and assigns.
B. "Grantor" shall mean the City of Sebastian, its
successors and assigns.
C. This Ordinance shall be known as the VILLAGE OF
LAKE DOLORES WATER and WASTEWATER SYSTEM FRANCHISE.
SECTION 102. Grant of Authority.
Grantor ,hereby grants to Grantee the right to construct,
maintain lift stations, force mains, manholes, sewerage treatment
plant and other appurtenances, upon, along, under and over the
roads, easements, ways and streets within the limits of this
franchise, as its business may from time to time require in
accordance with established practice with respect to water and
sewerage construction and maintenance for the purpose of
providing adequate sewerage collection and treatment services to
-Grantor and its successors and to the inhabitants within the
limits of the'franchise.
SECTION 103. ,. Limits of the Franchise.
All persons, firms or corporations within and limited to the
areas described and designated in Exhibit "A" to this Ordinance
are hereby granted the privilege and right to received from the
Grantee water and sewerage services and all services incidental
or necessary with respect thereto, and the Grantee shall not
refuse to provide' such sewerage services to any person, firm or
corporation whomsoever for any reason whatsoever.
SECTION 104. Duration of Franchise.
The term of this franchise shall commence with the effective
date of this ordinance and shall continue and remain in full
force and effect for the period of 20 years; provided however,
that should the Grantee fail to complete and put into operation
the water distribution and sewerage collection and disposal
system within the phase 1 area afore -mentioned (first 172, units)
on or before one (1) year from the effective date hereof, or
should be Grantee thereafter surrender or abandon the operation
and maintenance thereof, or fail to complete and put in operation
the whole system within Ten (10) years from the effective date,
or fail to comply with any of the provisions hereof, then in
either of said events this franchise shall be forfeited, and the
Grantor shall be entitled to purchase by voluntary agreement, or
take by condemnation or by power of eminent domain, in accordance
with the then existing law, all property used and useful in the
exercise of this franchise, situated within the limits of this
franchise.
SECTION 105. Grantor Supervision.
The foresaid construction, maintenance and operation of said
sewerage facilities, both as to those portions of the same
located within the limits of the franchise, shall be subject to
the approval of Grantor and the plans and specifications for all
of such construction shall first be approved by the same before
construction is commenced. Grantor or its employees, officers or
agents' shall have the right to inspect the above-mentioned
sewerage facilities at any reasonable time.
SECTION 106. Franchise Consideration.
Within thirty (30) days after the first anniversary date of
this grant and within thirty (30) days after each succeeding
anniversary date of this grant, the Grantee, its successors and
assigns shall pay to Grantor or its successors an amount which
added to the amount of all taxes, licenses, building permits and
other impositions levied or imposed by the Grantor upon the
Grantee's water and sewerage property, business or operations for
the preceding tax year, will equal 3 percent (38) of the
Grantee's revenues from the sale of water and sewage collection
and treatment services to residential and commercial customers
within the limits of this franchise for the twelve (12) months
preceding the applicable anniversary date.
SECTION 107. Assignment.
It is mutually agreed that the, subject to the approval of
Grantor, the Grantee has the right to mortgage, lease, convey,
transfer or assign all of the property which it owns, including
any and all equipment, pipes or appurtenances utilized in
connection with the sewerage collection system and sewerage
treatment plant, subject to the following conditions:
That thirty (30) days written notice of Grantee's intention
to do so shall be communicated to Grantor, together with the
original signed document evidencing said conveyance, lease,
mortgage, assignment or transfer which shall indicate the name of
the person or persons or legal entity to whom said land has been
sold, mortgaged, leased, assigned or transferred; and in addition
thereto, said deed, lease, mortgage, trust deed, assignment or
other instrument, shall contain language which shall indicate to
the lessee, mortgagee, assignee or transferee that said
conveyance, lease, mortgage, assignment or transfer is subject to
the terms of Vhis franchise and all of the obligations and duties
contained herein; and that said lessee, mortgagee, assignee or
transferee shall, by accepting a conveyance, lease, mortgage,
assignment or transfer of the sane, agree to assume the
obligations of this franchise as part of the consideration
therefor.
SECTION 108. "As Built" Drawings.
Upon the completion of all construction of the water and
wastewater treatment plants and distribution and collection
systems, the project engineer for the Utility shall certify,
under seal, that the system has been constructed substantially
in accordance with the plans and specifications previously
approved and that the systems meet all of the standards required
by the City. The certification shall include submission to the
City of two sets of "as built" (as defined by the City) drawings,
consisting of one set in reproducible vellums and one set of
regular blueline prints; ind that the systems meet all of the
standards required by the City, including pressure and leakage
tests, chlorination and bacteriological tests, infiltration and
exfiltration tests.
SECTION 109. Rate Adjustment.
It is recognized by the parties that the rate charged by
Grantee for the disposal of Grantor's sewage and the providing of
water under this agreement represents recovery of variable costs
and fixed costs, as well as amortization of return on Grantee's
investment in the respective systems. Over the term of this
agreement, it is recognized that variable costs may fluctuate.
With the possibility of this fluctuation in mind, the
parties agree that at the end of any three (3) year term hereof,
either party may, upon the advice of its consulting engineer,
request a rate revision for the next ensuing three (3 ) year
term, to reflect changes in variable costs. Such variable costs
shall include energy, water, chemicals and labor used in the
normal operation of the systems. The consulting engineers of
each of the, parties shall meet and determine whether a rate
adjustment is justified after reviewing all such costs.
In the' event the engineers cannot agree on a rate
adjustment, they shall, by agreement, appoint a disinterested
engineer who shall review the cost figures and shall determine
whether a rate adjustment is justified, and if so in what amount.
Such determination shall be binding upon the parties, however,
in no event shall a rate adjustment for any three (3) year term
exceed twenty percent (20%) of existing rates. Rate increases
are subject to the approval of the City Council after public
hearing thereon.
SECTION 110. Systems Cost Data.
As construction of said facilities progresses and when the
construction is completed, Grantee shall furnish the Grantor
annually within thirty (30) days after the anniversary date of
this grant, proof of the costs and expenses of such construction.
If Grantor seeks to purchase the facilities as is hereinafter set
forth, said cost or expense of figures or cost or expense items
shall not be -:conclusive as to a reasonable purchase price but
shall be evidence thereof.
SECTION 111. Financial Reports.
The Grantee shall submit to the Grantor annual financial
statements showing its financial condition and its operations for
the preceding year, including customer accounts, operational
expenses, gross and net income. Grantor may use these data to
determine the earning capacity of the facilities, the
reasonableness of its rates, and the advisability of Grantor
purchasing the facilities, and for other lawful.purposes.
SECTION 112. RIGHT TO PURCHASE.
Grantor shall have a right to purchase the facilities of
Grantee at any time during the life of this franchise.
SECTION 113. Restoration.
The Grantee shall restore all streets, alleys, sidewalks,
highways, easements,. bridges, and other public places to their
original coAdition after excavation or other disturbance by
Grantee. In case any obstruction caused by Grantee shall remain
longer than three (3) days after notice to remove same, or in
case of neglect of the Grantee to protect dangerous places by
proper- guards, ithe 'Grantor may remove the obstruction or
alleviate the danger and charge the Grantee for cost incurred
thereby.
SECTION 114. Subordination Provision.
The construction, maintenance and operation of the said
facilities shall be subject to all of the ordinances of the
Grantor relating to construction and zoning.
SECTION 115. Indemnity.
The Grantor shall in no way be liable or responsible for any
accident or damage that may occur in the construction, operation
or maintenance by the Grantee of the systems hereunder, and the
acceptance of this Ordinance shall be deemed an agreement on the
part of the Grantee to inddmnify the Grantor and hold it harmless
against any and all liability, loss, cost, damage or expense,
which may accrue to the Grantor by reason of the neglect, default
misconduct or strict liability of the Grantee in the
construction, operation, or maintenance of its facilities
hereunder.
SECTION 116. Severability.
If any part of competent jurisdiction shall determine that
any provision hereof is invalid, illegal, unenforceable, or
otherwise prohibited, or if any federal or state governmental
agency shall establish or interpret any law, rule or regulation
by which any provision hereof become invalid, illegal,
unenforceable or otherwise prohibited, such portion shall be
deemed a separate, distinct and independent provision and such
holding shall not affect the validity of the remaining portions
hereof; except that the Grantor may declare this franchise
terminated if it finds the invalidated provision to be an
essential part of this franchise.
SECTIONP7. Service Standards.
Grantee will maintain and operate all of said facilities in
good working order in accordance with established engineering
practices and recommendations at all times, and will, at its
cost, make such ,additions and improvements to its plants and
facilities as are necessary to provide adequate service to all of
the area covered by this franchise. The provision, is subject to
all other provisions of this franchise pertaining to the
construction of facilities.
SECTION 118. Construction Schedule.

SECTION 119. Capacity to Serve.

SECTION 120. Rates.
The rates and charges for use of said facilities by the
Grantor, and its successors, and the inhabitants, property owners
and corporations within the limits of this franchise, shall at
all times be reasonable and subject to such regulations as may be
provided by law. The initial water and wastewater rates shall be
as set forth in Exhibit "H" hereto.
SECTION 121. Public Nuisance Prohibited.
Said systems shall not be constructed, maintained and
operated so as to cause pollution of any kind to the waterways,
wetlands or ground water aquifers within the limits of the
franchise area and said facilities shall not emit dust, dirt,
smoke, noise, odor, fumes, or vibrations in quantities and
constitute a public or private nuisance or substances which
possess an abnormal explosion hazard.
Grantee shall landscape the plants to be erected by it so as
to screen the facility from view in an attractive manner and
shall maintain the same in an attractive manner at all times.
SECTION 122. Rule Making.
The Grantee may issue from time to time necessary rules and
regulations relating to the maintenance and operation of its
facilities and relating to the time, manner and place of
collection of its authorized charges and rates, and the Grantor
will further assist therein by enacting such ordinances as shall
reasonably the necessary and in the public interest in order to
aid the assist the Grantee in collecting its authorized charges
and rates and prevent tampering with, injuring or destroying the
Grantee's property or interference in any way with the operation
of the Grantee.
SECTION 123. Complaints.
All complaints shall be resolved by Grantee within
twenty-four (24) hours. Grantee shall, upon request by Grantor,
supply Grantor with copies of all complaints and indicate the
dispostion of each. Such records shall be available for
inspection by Gfantor at all times during business hours
specified herein. The form shall indicate the day and hour on
which the complaint was received and the day and hour on which it
was resolved. When a complaint is received on the day preceding
a holiday or on a Saturday, it shall be serviced on the next
working day. The Grantee shall establish procedures to insure
that all customers are notified as to the complaint procedure.
SECTION 124. Monitoring Performance and Compliance.
In order to fully implement the provisions of this
franchise, a panel for the review of the quality of services
provided for in this contract shall be created to consist of
three (3) members, one (1) member representing the Grantor, one
(1) member representing the Grantee, and third independent member
chosen by the previously named two members. It shall be the
function of` this committee to review, report and make
recommendations to the Grantor regarding the quality of services
provided for herein. For the purpose of this function, "Service"
shall be defined as the performance of the duties, tasks and
obligations of the Grantee enumerated herein and the performance
of such other duties, tasks and obligations as are generally and
reasonably regarded as incident to the safe and satisfactory
discharge of responsibilities in the water and sewer industry.
SECTION 125. Termination of Service.
Grantee shall have the right to discontinue service to any
consumer who is found to, have violated any valid rule and
regulation prescribed by Grantee under this franchise and
approved by the Grantor or who shall fail to pay, within sixty
(60) days after the same comes due, any charges legally made by
the Grantee for services supplied. Grantee shall not be obligated
to renew service after such discontinuance, unless and until the
customer shall have reimbursed Grantee for its expense incurred
in the discontinuance and renewal of service.
A consumer whose service has been discontinued at one
residence, or place of business, will not have the right to
require serviceto be renewed at another residence or place of
business until all demands of the Grantee for legitimate charges
and expenses against said consumer shall have been met.
SECTION 126. Fire Hydrants.
In consideration of the rights and privileges herein
granted,
Grantee shall install fire hydrants along the water mains located
within the geographical limits of this franchise at locations as
will meet the standards specified by City ordinances.
SECTION 127. Taxes.
If during the life of this franchise, or any extension
thereof, Grantor shall elect to levy a tax upon the charge made
by Grantee to its customers for the sale of water or sewerage
wastewater Grantee shall collect the amount of such tax from its
customers for use and benefit of Grantor at the time of
collecting the price charged for the sale of water. All such
taxed levied and collected during the preceding month shall be
reported and paid over on or before the fifteenth (15th) day of
each calendar month to Grantor less any administrative costs,
agreed to by Grantor from tinw to time, incurred by Grantee in
the collection of such tax.
SECTION 128. Renewal 6 Replacement Account.
Two and on half percent (2 1/28) of the gross receipts of
the Utility shall be placed in an interest bearing renewal and
replacement account for purposes of renewal and/or replacement of
the capital assets of the water and/or wastewater system of the
Utility. Additionally, the Utility shall initially fund said
account with two thousand dollars ($2,000) which will also be
reserved for capital maintenance items. Interest shall
accumulate in said account until the account reaches twenty five
thousand dollars ($25.,000.00); thereafter interest shall be paid
to the Utility annually. SAid funds shall be used as a sinking
fund and applied only for renewal and/or replacement of the water
and/or wastewater system by the Utility as the need arises; the
percentage required to be placed in the renewal and replacement
account may be amended after review by the City as necessary to
maintain a sufficient account balance taking into account the
general condition of the system. The City is granted the right
to make necessary repairs using said funds in the event of
default on the part of the Utility in maintaining proper quality
standards.
SECTION 129.• Contractual Agreement.
It is specifically agreed by and between the parties hereto
that this franchise shall be considered a franchise agreement
between the Utility and the City and as such contractural
instrument recognized under the Statutes and Laws of the State of
Florida. This franchise agreement is not intended to create
rights or actions running in favor of third parties, except as
herein specifically provided.
SECTION 130. Default of Franchise.
If the Utility fails or refuses to promptly faithfully keep,
perform and abide by each and all of the terms and conditions of
this franchise, then Council shall give the Utility written
notice of such deficiencies or defaults and reasonable time
within which the Utility shall remedy the same, which notice
shall specify the deficiency or default. If the Utility fails to
remedy such deficiency or default within a reasonable time, the
Council may thereafter schedule a hearing concerning the same
with reasonable notice thereof to the Utility, and after such
hearing at which all interested parties shall be heard, the
Council may levy liquidated damages of up to fifty dollars ($50)
per day that said deficiency or default exists from the date of
said hearing held by the Council and the Council may further
limit or restrict this franchise or franchise territory or may
terminate and cancel the same in whole or in part if proper
reason thereby are found by the Council. If the Council enters
an order pursuant to such hearing and the Utility feels aggrieved
by any such oder, the Utility may seek review of the Council's
action by filing a petition for Writ of Certiorari in the Circuit
Court of the County.
SECTION 131. Execution of Franchise.
If any word, sections, clause or part of this resolution is
held invalid, such portion shall be deemed a separate and
independent part and the same shall not invalidate the remainder.
Within a reasonable time after the city has notified the
utility of its intent to terminate the franchise and to acquire
the system, the franchise holder shall convey all of its
facilities together with all easements to the city. Said
conveyance by the utility shall be without encumbrance. At this
time the franchise holder shall convey unencumbered all of its
facilities together with all easements, to the city, without
charge as to all property contributed to the utility, provided
further, however, that the city shall have the right to purchase
the remaining "assets of the utiltity based on the average of the
net original cost and a price as computed and agreed upon by
three (3) competent and qualified appraisers. The city shall
select an appraiser, the utiltity shall select an appraiser, and
these two appraisers shall mutually agree upon and select a third
independent appraiser and these three appraisers shall arrive at
the value of the utitlity and the sales price involved. However,
the city shall not be required to purchase and no value will be
placed on additions or extensions to the system which were paid
for as contributions-in-aid-of-construction by .any person, firm
or corporation other than the utiltity. At the end of the
franchise period, the city shall not be required to pay to the
utiltity any amount for goodwill and the appraised value shall be
based entirely upon physical assets only, and provided further
that in the event said board of appraisers cannot agree as to the
price to be paid by the city, then the city may file appropriate
condemnation proceedings under Florida law. Any franchise
granted by the city shall include the above requirement.

Dear Honorable School Board Members:
Be assured that the City of Sebastian and my administrative staff
are doing all possible to expediate sewer service to the Sebastian
Elementary School. To assure protection for both the Indian River
County School District and the City of Sebastian certain bases must
be touched prior to finalizing approval of the franchise extension
request submitted by Sebastian Lakes Utilities Company. Part of
this process includes the evaluation of rate data and franchise
verbage. In order to effectively complete this process certain
information must be presented by the utility company in accordance
with City of Sebastian ordinances which govern utility franchises.
Since the City Council's agreement to consider a franchise extension
request to serve the Sebastian Elementary School on September 4, 1985,
it has been like pulling teeth to obtain pertinent required information
and data and back-up material from Sebastian Lakes Utilities'
engineer. It was as late as yesterday that the City Clerk was sub-
mitted basic franchise request material from the utility company's
engineer. Now that we finally have the proper documentation which
is required as part of the franchise application, we can proceed.
It is unfortunate that such delay has been experienced. Both the
City of Sebastian and Indian River County School Board seek the
same objective of completing this sewer service matter as quickly
as possible. We in the City of Sebastian are particularly anxious
to have our new Sebastian Elementary School open. This is the fact
of the matter, any reports or comments contrary to this informative
are purely hogwash. I hope that this communication aids you in your
evaluation of the overall situation.

The proposed sewer master plan for Sebastian School and
the 512 Corridor has been brought to me for my consideration. It
consists of three (3) possible solutions for the sewer master plan
prepared by Lloyd and Associates, Inc., consulting engineers,
Vero Beach, Florida.
I have reviewed the proposed sewer line with the following
comments: Alternative solution one (1) and two (2) call for a
proposed force main with two diameter sections of 4" and 6"
respectively. In addition, there has been proposed a gravity system
parallel to the force main that will have 24 manholes and four (4)
estimated lift stations. The entire sewer line has been divided in
four (4) areas. Area one (1) and two (2) will be served by a
4" force main and the last two areas three (3) and four (4)
will be served by a 6" line.
The force main and the gravity line for alternate solution
one (1) is located on County Road 512 along the south side. Both
lines run parallel to each other with a little separation. This is the
least expensive of the three solutions but has the objection that
it needs front dedication of easements in most cases. The property
owners need to approve these necessary easements. Estimated cost
per 40ft frontage lot is:
Force Main Impact Fee $ 320.00
Plant Impact Fee 800.00
In -Tract Cost $1,993.00
Total $3,113.00
For alternative two (2), the force main runs along the south side
of County Road 512 but the proposed gravity line is located in the
city existing alley parallel to 512 along the back of the lot and is
approximately 175 feet from County Road 512. This alley has no name.

If the gravity line is to be located along this alley it will be necessary
to separate the proposed sewer line from the existing GDU water main.
The minimum separation between these two utilities lines is 10'.
This code requirement may create the need of dedicated easements.in the
back of the lot. The exact location of the existing water main to be determined
from GDU. This solution costs more money due to the necessary repair
of the paving, increasing the impact fees to be charged to the property
owner along the 512 corridor. Estimated cost per 40ft frontage lot
is:
Force Main Impact Fee $ 320.00
Plant impact Fee 800.00
In -Tract Cost 2,993.00
Total $4,113.00
The alternate solution three (3) calls for one force main line
along the county road 512. The area subdivision and the diameter
of the line is the same as for alternate two (2) and one (1). The main
difference is based on the non-existance of a gravity line. Typical
connection for one, two and four lots is shown on the plan sheet
number four. Here the individual lots will be served by individual
pump stations, or smaller pump stations to serve two (2) or more lots.
The estimated cost per 40ft frontage lot is:
Force Main Impact Fee $ 320.00
Plant Impact Fee 800.00
In -Tract Cost 4,500.00 to $8,000.00
Total $5,620.00 to $9,120.00
Th.ts is the most expensive of the proposed solutions.
It is difficult to make a good decision on which is the best
alternative solution based on the information provided. The designs
shown are preliminary line locations and the economical facts for
proper evaluation of these alternatives have not been given at this time.
The final evaluation and selection of alternatives can be obtained
after a meeting with all the property owners. Then, it will be clear who
is going to ask for future use or reserve install capacity, what the final
line impacts ar e property owner easement feelings are, etc. Once
all this an other points ar ddressed then, the final sewer master plan
line can be designed, including 1 the necessary requirements.
At this point, I recommend to the City Council to choose alternative
one. It is nt the best engineering but a design to work with to obtain the
best.
