As verification of our conversation. of August 22, 1988, this is a
written statement summerizing the verbal agreement under which
Bio -Services has been providing certified operator services for
the water treatment plant at City Hall since 1984:
Operation of one Category V Class D Water Treatment Plant will be
on a two (2) day per week non-consecutive on-site inspection
basis in accordance with the directives as outlined in Florida
Administrative Code Chapters 17:16, 19, and 22. Plant visists
will include, but not be limited to, chlorine (free) residual
testing on plant effluent and remote tap, operational
surveillance and adjustment to maximize plant efficiency. Also,
monthly Total Coliform Bacteria testing on the well (raw) and
remote taps (2) being included. Monthly Operating Reports(see
attached copy) as well as Bacteriological reports( see attahced
copy) will be completed, certified, and forwarded to the local
DHRS Environmental Health Unit as well as the DER --Orlando
District Office as prescribed by the FAC Chapter 17:16 and 17:22,
with copies to the client.
Chemicals (liquid chlorine) and general repairs and maintenance
costs are not included above. Bio -Services will be responsible
for ordering the chlorine on an as needed basis. General
repairs and maintenance requirements will be brought to the
attention of you and/or your designated representative as the
need arises for discussion and determination of corrective
action. Additionally, Bio -Services will be responsible for
flushing the hydropneumatic tank periodically but no less than
three times yearly.
The monthly costs for the bi-weekly visits and tank flushings
plus the bacteriological sampling , analysis and reports
submission will be $150.00;month. The costs for the liquid
chlorine will be invoiced monthly when applicable.

This agreement will remain in effect until cancelled by either
party by submission of written notification 30 days prior to
termination date. It is also understood that this agreement is
sufficient to comply with the present requirements set forth by
the DER and the DHRS--Environmental Health Unit in Indian River
County. Should these requirements change, this contract would
then have to be renegotiated to comply with the new directives.

Hutchinson Utilities Service Corp. (HUS), a local Florida corporation, is pleased to
present our qualifications to St. Lucie County for the subject work. The operation and
maintenance of the Sands and both Bryn Mawr plants is precisely what HUS has
excelled at in this area of Florida for close to a decade.
Our experienced staff of licensed professionals, full time maintenance crews, full time
office staff, multi -linked communications systems, computerized reporting system, fleet
of repair, maintenance, and construction equipment, and the full involvement of the
Owner who is available and eager to serve the County. The proper operation of water
and wastewater plants, in accordance with local, state and federal regulations, is what

^JRGANIZATION PROFILE QUALIFICATION
General - Hutchinson Utility Service Corp. (HUS) is a local utility operation,
maintenance, repair, and construction company. Our employees and owner are local
residents and our reputation is build on the local utilities we operate and the local
utility owners we serve. ''Presently we operate public & private utilities in Martin and
St. Lucie Counties that serve 15,000 people.
The Service Data listing included at the end of this section demonstrates the varied
installations HUS serves. Our licensed professionals are responsible for wastewater
treatment plants that operate in EA, CS, and CAS modes as well as fixed media and
SBR type plants. Our water plants include several RO installations. We are also
experienced with virtually all types of effluent disposal and reuse.
Staff & Operations - HUS enjoys all the technology benefits of radio dispatch,
computerized accounting, and the latest in field use testing instruments. But, HUS
operates the old fashioned way; every morning the company president goes to work and
runs the company. Employee performance is monitored and plant operation is
reviewed. The construction division manager reports his operations and reprioritizes
for unscheduled system maintenance or engineering repairs. Every morning the
president goes to work with one eye on the clouds for consideration of sludge hauling
sites and open ditch activities. Every morning the president is on the radio with
company maintenance crews and sludge truck drivers to assure overnight outages have
been corrected and operations are on schedule. Every morning the president checks the
computer for notices of expiring permits, needed maintenance, periodic reports, and
engineering requirements. With HUS, every day, every team member is involved.
From the president on down, every team member is on the job and knows his job.
The following chart shows the people and positions involved in running HUS. All
people operate from our office in Jensen Beach, or maintenance and repair facility is
Stuart, or our engineering office in Jupiter.

'COPE OF WORK
General - HUS proposes to operate and maintain the "Sands" Wastewater Treatment
Plant, the "Bryn Mawr" R.O. Water Treatment Plant in accordance with all applicable
local, state, and federal regulations. HUS will use appropriately licensed operators and
trained maintenance crews to protect the integrity of the systems and their products.
Typical Reverse Osmosis Plant Operations include:
■ Check and record feed water pH, Conductivity/TDS, GPM Flow, Pressure,
& Total Daily Flow.
■ Check and record product water pH, Conductivity/TDS, GPM Flow,
Pressure, & Total Daily Flow.
■ Check and record reject water pH, Conductivity/TDS, GPM Flow,
Pressure, & Total Daily Flow.
■ Record and calculate R.O. unit hours and pump hours of operation.
■ Record Acid, Caustic, Chlorine, and Anti-Scalent tank levels and fill as
needed.
■ Record & calculate finished water daily flow to distribution system.
■ Check and record distribution system pressure.
■ Check and record finished water chlorine residual, pH, and
Conductivity/TDS.
■ Check and record remote tap chlorine, flush system when necessary to
maintain proper CL2 residuals.
■ Visually inspect R.O. unit pipes, membranes, pumps, and related
equipment for leaks.
■ Check and record storage tank and hydro tank water levels.
■ Check and record well water meter readings.
■ Check pump operation, grease as needed, check seals, couplings and align
motors as needed.
■ Operate emergency generator, change oil air filters, belts, fluids, and hoses
as required.
Typical Wastewater Plan. Jperations include:
■ Check and record plant flow, pH, and Chlorine.
■ Measure sludge settleability.
■ Check aeration dissolved oxygen levels.
■ Check effluent clarity.
■ Check activated sludge return rates.
■ Waste solids to digester when necessary.
■ Measure sludge blankets.
■ Perform microscopic examination of activated sludge.
■ Check for any plant odor and evaluate.
■ Check for even air distribution in aerators for proper oxygen transfer.
■ Check foam, scum, and color of aeration tanks to evaluate process
controls.
■ Check clarifier drives, splitter boxes, valves, pumps, electrical controls,
etc., for proper operation and note any deficiencies.
■ Check oil and water levels and operate emergency generator.
■ Check all fluid levels in blowers and drive units, grease motors, clean
diffusers, adjust or change belts and replace air filters when necessary.
Schedule - HUS will assure the proper operation of the three named plants 24 hours
per day. Actual licensed operator time will be 7.5 hours/day total for all three
installations. Our maintenance and repair crews are available on a round the clock
basis for emergency repairs.
We would propose that the operating agreement be for 3 years with a price index
escalation clause effective annually. (HUS will supply a standard contract form for the
County's use, if desired). HUS is prepared to begin operation duties on 24 hour notice.

General - HUS enjoys several advantages over all other operating companies. HUS is

Construction - HUS maintains a complete construction division with qualified craftsmen

own construction division we can be more responsive to emergency repairs, better
equipped for utility projects, and provide an economic advantage to our clients by
removing the middle man for subcontracted construction services.
Engineering & Permitting - HUS is associated with a family of utility service
organizations, each one independent but structured to support the others. (See the
following company resumes.) HUS is able to accommodate all engineering requirements
that may develop through our licensed engineering associates. We are able to engineer,
obtain, install, and properly maintain diverse RO systems through our SeaTec Systems
associate. Existing plant technical operation analysis is implemented through our

RESUME OF CONVERSATION: Bart called me to see if USG (Utilities
Services Group) could become involved in the takeover of the GDU
system in Sebastian. He said he has been reading articles about
the GDU proposed acquisition which prompted him to call. He said
USG is a division of PSG ( Professional Services Group) based in
Texas. USG has about 50 to 55 water and sewer treatment plants
that it operates on the southeast coast of Florida.
Bart wanted to know if his firm could operate the GDU system.
I explained to him that currently the City does not own the GDU
system. I told him that the City hopes to acquire both the water
and wastewater systems this year. The City intends to operate both
the water and wastewater plants with its own personnel. Hopefully,
the City will retain the personnel that worked for GDU in the
Sebastian plants.
Bart said USG would hire people; USG would become a "low
level" consultant for the City. They could handle things that
weren't plant modifications - something that doesn't require an
engineer's seal. He'll send a brochure of his company to me. I
said that I would keep it on file.

As verification of our meeting on April 12, 1993, this is a written
statement summarizing our verbal agreement. Bio -Services has been
providing certified operator services for the community water
treatment plant at both City Hall and Golf Course since 1984 for
the City of Sebastian. In keeping with the terms of our standard
contracts with the City of Sebastian, our firm agrees to perform
the following services to operate the Park Place Water Treatment
Plant:
Operation of one Category III Class C (100,000 GPD) Water Treatment
Plant will be on a three (3) day per week (Monday. Wednesday, and
Friday) on-site inspection basis in accordance with the directives
as outlined in Florida Administrative Code Chapters 17-550,555, 560
and 602. Plant visits will include, but are not limited to the
following:
1) Chlorine (free) residual, and PH testing on plant
effluent and remote tap
2) Maintaining a compressed air volume in the hydropneumatic
tank at all times to prevent the tank from becoming
waterlogged
3) Operational surveillance and adjustment to maximize plant
efficiency
4) Monthly flushing of sediments from the ground water
storage tank
5) Monthly Total Coliform Bacteria testing on the two wells
(raw) and remote taps

6) Monthly Operating Reports (see attached copy) as well as
Bacteriological Reports (see attached copy) will be
completed, certified, and forwarded to the Florida
Department of Environmental Regulation - Orlando District
Office as prescribed by the FAC Chapters 17-550, 555,
560, and 602.
Replacement of chlorine gas cylinders, general repairs, and
maintenance costs are not included in the basic operation contract.
Bio -Services will be responsible for ordering the chlorine on an as
needed basis with the costs to be invoiced accordingly to the City.
General repairs and maintenance requirements, other than prevent-
ative maintenance, will be brought to your attention as the need
arises. Bio -Services agrees to assist in emergency situations on
a 24 hour basis.
The monthly costs for the bi-weekly visits plus the bacteriological
sampling, analysis, and reports submission will be $200.00/month.
The costs for the gas chlorine will be invoiced following
confirmation of delivery of the cylinders to the plant.
This agreement will remain in effect until cancelled by either
party by submission of written notification 30 days prior to
termination date. It is also understood that this agreement is
sufficient to comply with the present requirements set forth by the
Florida Dept. of Environmental Regulation (FDER). Should these
requirements change, this contract would then have to be
renegotiated to comply with the new directives.

Dear Tom:
Please consider this letter as an agreement between the City of
Sebastian and you for your temporary continuance as the licensed
water treatment plant operator. Following your last day of
employment with the City on December 12, 1994, you shall be paid a
fee of $350.00 per month for your services. Services performed for
any fraction of a month shall result in a corresponding pro rata
share of the $350.00 fee based on the number of days worked each
month. Until such time as Ron Briskie or Skip Cruce attains his
license, or the City enters into a contractual agreement with
another licensed operator, you will function as the "interim"
licensed operator. Should you wish to terminate your services with
the City, you shall give the City a minimum of two weeks notice.
Should the City wish to terminate your services, the City shall
likewise give you two weeks notice.
You shall review and sign all of the required regulatory agency
forms as the licensed operator, as you have done in the past. The
employees shall continue to operate the plant as they have done in
the past under your supervision.

Dear Ron:
Please consider this letter as an agreement between the City of
Sebastian and you for your temporary continuance as a contract
licensed water and wastewater treatment plant operator subsequent
to your resignation as a full time employee. Following your last
day of employment with the City on February 10, 1995, you shall be
paid a fee of $450.00 for the remaining portion of the month of
February for your services.
If an emergency situation arises where your services are
essentially needed by the City Utilities Department, you shall be
compensated at a rate of $22.50 per hour. You shall continue to
function as a part-time supervisor and shall review and sign all of
the required regulatory agency forms as the licensed operator, as
you have done in the past. The present employees shall continue to
operate the water and wastewater plants as they have done in the
past under your supervision.

As per your request, please find outlined below price quotations for
the fallowing services to be provided at the above facilities owned by
the City of Sebastian:
1-- Daily supervision of the lime softening water treatment plant to
include operational surveillance and recommendation to maximize plant
efficiency while maintaining compliance requirements. Monthly MOF: and
analytical reports will be certified and submitted to the respective
DEF District Office in Orlando as prescribed in FAC Chapters relating
to Certified Operation of Communi'ty Public Dr -inking Water Facilities.
2- Daily supervision of the wastewater treatment to include but not be
limited to, operational surveillance area recommendation to maximize
plant efficiency while maintaining compliance requirement. Monthly

MOR and analytical reports will be certified and submitted to the
respective DEP District office in Orlando as prescribed in the FAC
relating to Certified Operation :f a Community Public Wastewater
Facility.
The total monthly casts for the above services will be si,oeo .
Emergency service will be billed at $20/hour during normal business
hours with charges for weekend and holiday emergency hours being $30
and $40, respectively. Chemical and general maintenance costs are not
included. Repairs and maintenance requirements will be brought to your
attention as the need arises for discussion and determination of
corrective action. Additional services not mentioned above which are
preformed by Dio-Services at your request will be billed at prevailing
rates as agreed upon prior to initiation.

Treatment Plants and Park Place Water Treatment Plant
Dear Mrs. Burton:
On August 8, 1995, the Indian River County Board of County
commissioners voted unanimous approval to purchase the City of
Sebastian Water and Wastewater Systems. October 1, 1995, has been
designated as the takeover date by the County Utilities Department
to begin operation of the systems. Therefore, please be advised
that your services in reference to the above based on the February
22, 1995 mutual agreement between your firm and the City are to be
terminated on the close of September 30, 1995.
The City of Sebastian Utilities Department thanks you for your
operational services since March 1 of this year when our last
licensed water and sewer operator resigned pending the sale of the
utility systems to Indian River County.
