RIVERVIEW PARK - CAVCORP ENHANCEMENT PROJECT
THIS AGREEMENT, entered into this�7"� day �CV y and between the CITY OF
SEBASTIAN, a Florida municipal corporation, herein er referred to as the "CITY", and
Infrastructure Engineers, Inc., 1069 Main Street, Suite 112, Sebastian, Florida 32958 hereinafter
referred to as "ENGtNEER".
That the CITY and the ENGINEER, in consideration of their mutual covenants, herein agree with
respect to the performance of professional engineering services by the ENGINEER, and the
payment for those services by the CITY, as set forth below.
The ENGINEER shall provide the CITY with professional engineering service and such other
related services as called for in designing and constructing the project known as "Riverview Park
—CavCorp Enhancement ProjecY', hereinafter referred to as the "PROJECT". The ENGINEER
shall serve as the CITY'S professional representative for the PROJECT in concert with City Staff
and shall give professional advice to the CITY during the performance of the services to be
rendered and as to the fulfillment of the PROJECT. The ENGINEER is retained by the CITY to
perform these consulting services under this contract agreement with the CITY and shall be
considered under law as the Engineer-of-Record for the PROJECT.
SECTION I— SCOPE OF SERVICES
The Scope of Services shall be further identified in Exhibit "A" as prepared by the ENGINEER in
conjunction with and approved by the CITY. In general, the ENGINEER agrees to perform all
necessary professional engineering services, project design services, participate in public
meetings, construction administration services, and other services in connection with the
PROJECT as required and as set forth in Exhibit "A".
In order to accomplish the work described in Exhibit "A" under this Agreement, the ENGINEER
shall observe the following requirements:
A. The ENGINEER shall complete work on the PROJECT within the time allowed by
maintaining an adequate staff of registered engineers, certified operators, draftpersons
and other employees on the work at all times.
B. The ENGINEER shall comply with all federal, state, and local laws applicable to this
PROJECT. The ENGINEER'S work product shall conform with all applicable federal,
state and local laws, regulations and standards applicable to this PROJECT.
C. The ENGINEER shall prepare all necessary sketches, permit application drawings, and
complete all application forms to accompany the CITY'S applications for any required
federal, state or local permits. The ENGINEER shall reply to all permitting agency's
request for additional information related to a permit application.
D. The ENGINEER shall cooperate fully with the CITY in order that all phases of the work
may be properly scheduled and coordinated.
E. The ENGINEER shall send the appropriate quantities of complete preliminary sets of
construction plans to any city, county, state or federal regulatory agency from which a
permit or other approval is required, prior to final approval of the design by the CITY, and
shall coordinate the PROJECT with all agencies.
F. The ENGINEER shall contact all utility companies having installations in the vicinity of the
proposed work and consider relocation of utilities, if necessary. The ENGINEER shall
provide the CITY with all known information relative to any required utility adjustments,
relocations and installations, and shall show all known above and below ground utilities
on the final design plans.
G. The ENGINEER shall report the status of this PROJECT to City Staff upon request and
hold all drawings, calculations and related work open to the inspection of the City Staff or
the CITY'S authorized agent(s) at any time, upon reasonable request.
H. The ENGINEER shall be considered the Engineer-of-Record for the PROJECT in
accordance with all legal and administrative requirements and criteria.
The ENGINEER shall furnish additional copies of reports, drawings, plan specifications,
bidding documents, construction/contract documents, and other pertinent items as
required by federal, state and local agencies from which approval or construction of the
PROJECT must be obtained to prospective bidders, material suppliers, and other
interested parties; but, may charge only for the actual cost of providing such copies. The
ENGINEER shall furnish to the CITY the necessary number of sets of the drawings,
bidding and construction contract documents, specifications, reports and other pertinent
items required by the PROJECT. The cost of these sets of documents is included in the
basic compensation paid to the ENGINEER. All original documents, survey notes, field
books, tracings, and the like, including all items furnished to the ENGINEER by the CITY
pursuant to this Agreement, are and shall remain the property of the CITY and shall be
delivered to the CITY upon completion of work. All items prepared by the ENGINEER
shall be created, maintained, updated and provided in the format as approved by the
CITY.
All construction drawings prepared by the ENGINEER shall be of sufficient detail to
permit the actual location of the proposed improvements on the ground by a third party
(i.e., the third party shall be able to accurately locate the proposed improvements on the
ground using only the information contained in the ENGINEER'S drawings).
K. The ENGINEER acknowledges that preparation of all applicable permits for the CITY'S
submittal to governmental regulatory agencies, and the ENGINEER'S written responses
to all regulatory agencies' questions, are included within the scope of basic compensation
in this Agreement.
L. If the CITY proposes to construct the improvements in a phased manner, the ENGINEER
shall prepare detailed master plan drawings as required by the PROJECT. Separation of
the PROJECT into phases shall be considered additional work.
M. Compensation to the ENGINEER for basic services shall be in accordance with "Exhibit
A" attached as mutually agreed upon by the ENGINEER and the CITY. A schedule of
approved hourly billing rates is included in "Exhibit A" attached.
SECTION II — CITY OBLIGATIONS
The CITY agrees to provide the following material, data, or services as required in connection
with the work to be performed under this Agreement:
A. The CITY shall provide the ENGINEER with a copy of any pertinent preliminary data or
reports available to the CITY.

B. The CITY shall provide the ENGINEER with all available drawings, surveys, right-of-way
maps and other documents in the possession of the CITY that are pertinent to the
PROJECT.
C. The CITY shall be responsible to pay any associated permit fee, while ENGINEER shall
be responsible for preparing any such required regulatory permit on behalf of the CITY.
D. The CITIf shall make all provisions for the ENGINEER to enter upon public or private
property as reasonably required for the ENGINEER to perform its services.
E. The CITY will promptly execute all completed permit applications and pay any applicable
application fees necessary to expedite the acquisition of any local, state or federal
permits made necessary by the PROJECT.
SECTION III — TIME FOR COMP�ETION
The time for completion of the work under this Agreement shall be concluded by September 30,
2012 .
SECTION IV — COMPENSATION
The CITY agrees to pay, and the ENGINEER agrees to accept, for services rendered pursuant to
this Agreement, fees in accordance with the following:
A. Professional Service Basic Fees: The basic compensation for professional services is set
forth in "Exhibit A" attached and shall be an amount not to exceed seventy thousand one
hundred forty dollar and two cents ($70,140.02).
Compensation for any extra work shall be mutually agreed upon by the ENGINEER and
the CITY prior to issuance of a Work Order for same and the amount shall be included in
such Work Order to be formally approved by the CITY.
B. Sub-Consultant Services Fees: Compensation for Sub-Consultants shall be included in
the Basic Fee as depicted in "Exhibit A".
C. Reimbursable Expenses: Printing and Reproduction expenses have been considered as
part of the Basic Services fee and included in "Exhibit A".
D. Travel Expenses: CITY shall not be invoiced or pay any travel expenses under this
Agreement.
SECTION V — ADDITIONAL WORK
Additional work occurs when the CITY requests changes after it has formally approved this
Agreement and/or a Work Order related to this Agreement. Additional work shall not commence
until a further Work Order for the additional work has been formally issued by the CITY, and the
additional work shall be performed in accordance with the fee schedule set forth in that further
Work Order.
SECTION VI — PAYMENTS
The CITY shall make monthly partial payments to the ENGINEER as provided for in this
Agreement. Unless othenNise stated in an approved Work Order related to this Agreement, the
ENGINEER shall submit duly certified monthly invoices to the City Manager or such City Staff as
may be designated by the City Manager.

SECTION VII — RIGHT OF DECISIONS
All service shall be performed by the Engineer to the satisfaction of the City Manager who shall
decide all questions, difficulties and disputes of whatever nature which may arise under or by
reason of this Agreement, according to the prosecution and fulfillment of the service hereunder,
and the character, quality, amount and value thereof. The City Manager's decision upon all
claims, questions and disputes shall be final, conclusive and binding.
Adjustments of compensation and contract time because of any major changes in the work that
might become necessary or be deemed desirable as the work progresses shall be reviewed by
the City Manager and require that a Change Order be processed in accordance with the CITY'S
legal and administrative procedures. If the ENGINEER does not concur in the judgment of the
City Manager as to any decisions made by him or her, it shall present written objections to the
City Manager, who shall make a final and binding decision.
SECTION VIII — OWNERSHIP AND REUSE OF DOCUMENTS
A. Ownership and Copvriqht: Ownership and copyright of all reports, tracings, plans
specifications, field books, survey information, maps, contract documents and other data
developed by the ENGINEER pursuant to this Agreement, shall be vested in the CITY.
Said materials shall be made available by the ENGINEER at any time upon request of
the CITY. On or before the tenth day after all work is complete, all of the materials shall
be delivered to the CITY.
B. Reuse of Documents: All documents, including but not limited to reports, drawings and
specifications, prepared by the ENGINEER pursuant to this Agreement are related
exclusively to the services described herein. They are not intended or represented to be
suitable for reuse by the CITY or others on extensions of this PROJECT or on any other
project. The CITY'S reuse of any document or drawing shall be at the CITY'S own risk.
SECTION IX — NOTICES
Any notices, reports or other written communications from the ENGINEER to the CITY shall be
considered delivered when posted by certified mail, email transmittal or delivered in person to the
CITY. Any notices, reports or other communications from the CITY to the ENGINEER shall be

ENGINEER.
SECTION X — TERMINATION
Either party may terminate this Agreement upon seven (7) days written notice to the other party,
except that in the event ENGINEER terminates this Agreement such termination shall not be
effective, absent the CITY'S consent, until ENGINEER'S completion, to the CITY'S satisfaction,
of any work pending under this Agreement and/or under any Work Order related to this
Agreement.
SECTION XI — AUDIT RIGHTS
The CITY reserves the right to audit the records of the ENGINEER related to this Agreement at
any time during the prosecution of the work included herein and for a period of three (3) years
after final payment is made.
SECTION XII — SUBLETTING/OUTSOURCING/TRANSFER
The ENGINEER shall not sublet, assign, outsource, or transfer any work under this Agreement
without the prior written consent of the CITY. When applicable and upon receipt of such consent

in writing, the ENGINEER shall cause the names of the engineering and/or other professional
firms responsible for the major portions of each separate specialty of the work to be inserted on
the reports or other data. Any such assignmenUoutsourcing shall not release the ENGINEER
from its role, duties, responsibilities and obligations as Engineer-of-Record for the PROJECT or
for any of its responsibilities and obligations under this Agreement.
SECTION XIII — WARRANTY
The ENGINEER warrants that it has not employed or retained any company or person other than
a bona fide employee working solely for the ENGINEER, to solicit or secure this Agreement, and
that it has not paid or agreed to pay any company or person other than a bona fide employee
working solely for the ENGINEER any fee, commission, percentage fee, gift(s) or any other
considerations, contingent upon or resulting from the award or making of this Agreement. For the
ENIGNEER'S breach of violation of this warranty, the CITY shall have the right to annul this
Agreement without liability.
SECTION XIV — DURATION OF AGREEMENT
This Agreement shall remain in full force and effect for a period of five (5) years after the date of
execution thereof, or until completion of all PROJECT phases as defined by the CITY, whichever
occurs first, or unless otherwise terminated by mutual consent of the parties hereto, or terminated
pursuant to Section X.
SECTION XV — INSURANCE
At least ten (10) days prior to commencement of the first work authorization, ENGINEER shall
provide the CITY with a certificate of insurance from a company the CITY may deem satisfactory:
A. Worker's Comqensation: Coverage to apply to all employees for Statutory Limits in
compliance with the applicable state and federal laws. In addition, the policy must
include Employer's liability with a limit of $1,000,000 each accident and disease.
B. Commercial General Liabilitv: Coverage must be afforded on a form no more
restrictive than the latest edition of the Commercial General Liability Policy, on an
occurrence basis, filed by the Insurance Services Office and must include:
1. Minimum limits of $1,000,000 per occurrence combined single limit for
Bodily Injury Liability and Property Damage Liability.
2. Premises and Operations.
3. Independent Contractors.
4. Products and completed Operations — ENGINEER shall maintain in force
until at least five (5) years after completion of all services required under
the Agreement, coverage for products and completed operation.
5. Broad Form Contractual Coverage applicable to this specific Agreement,
including any hold harmless and/or indemnification agreement.
C. Business Auto Policv: Coverage must be afforded on a form no more restrictive than
the latest edition of the Business Auto Policy filed by the Insurance Services Office
and must include:
1. Minimum limits of $1,000,000 per occurrence combined single limit for
Bodily Injury Liability and Property Damage Liability.
2. Owner Vehicles.
3. Hired and Non-Owned Vehicles.
D. Professional Liabilitv: The ENGINEER shall maintain a professional liability
insurance policy in the amount of $1,000,000 during the term of this Agreement.
Such coverage shall be maintained for a period of five (5) years following completion

and acceptance of any work performed under this Agreement. In the event the
ENGINEER fails to secure and maintain such coverage, ENGINEER shall be
deemed the insurer of such professional liability insurance and shall be responsible
for all damages suffered by the CITY as a result thereof, including attorney's fees and
costs. In the event an atypical large-scale project is proposed, the individual work
order for the project may designate that a higher liability policy be obtained.
E. Additional Insured: The CITY is to be specifically included as an additional insured.
ENGINEER'S insurance including that applicable to the CITY as an Additional
Insured shall apply on a primary basis and any other insurance maintained by the
CITY shall be in excess of and shall not contribute to ENGINEER'S insurance.
ENGINEER'S insurance shall contain a severability of interest provision, providing
that, except with respect to the total limits of liability, the insurance shall apply to each
Insured or Additional Insured in the same manner as if separate policies had been
issued to each.
F. Notice of Cancellation and/or Restriction: Each policy must be endorsed to provide
the CITY with a minimum of forty-five (45) days notice of cancellation and/or
restriction.
G. Certificates of Insurance: Certificates of insurance evidencing the Insurance
coverage specified in this section shall be filled with the CITY before operations are
begun. The required certificates of insurance shall name the types of policies
provided. If the initial insurances expire prior to the completion of the work, renewal
certificates of insurance and required copies of policies shall be furnished thirty (30)
days prior to the date of their expiration.
SECTION XVI — INDEMNIFICATION
The ENGINEER shall Indemnify and hold harmless the CITY, and the CITY'S officers and
employees, from liabilities, damages, losses and costs, including, but not limited to, reasonable
attorney's fess, to the extent caused by the negligence, recklessness, or intentionally wrongful
conduct of the ENGINEER and other persons employed or utilized by the ENGINEER in their
performance of this Agreement.
The CITY shall Indemnify and hold harmless the ENGINEER, and the ENGINEER'S officers and
employees, from liabilities, damages, losses and costs, including, but not limited to, reasonable
attorney's fess, to the extent caused by the negligence, recklessness, or intentionally wrongful
conduct of the CITY and other persons employed or utilized by the CITY in their performance of
this Agreement.
SECTION XVII — SAFETY
The ENGINEER is responsible for safety training for the ENGINEER'S employees and their
activities on the CITY'S property and construction sites. However, in accordance with generally
accepted practices, the ENGINEER may report any observed job site safety violations to the
CITY.
SECTION XVII — CHOICE OF LAW AND VENUE
This Agreement shall be governed by the laws of the State of Florida. Venue for any lawsuit
brought by either party against the other party or otherwise arising out of this Agreement shall be
in Indian River County, Florida, or in the case of federal jurisdiction, in the United States District
Court for the Southern District of Florida. The parties hereto specifically waive any and all rights
to trail by jury.

SECTION XIX — ENTIRETY OF AGREEMENT
This writing embodies the entire Agreement and understanding between the parties hereto, and
there are no other Agreements and understanding, oral or written, with reference to the subject
matter hereof that are not merged herein and superseded hereby. No alteration, change, or
modification of the terms of this Agreement shall be valid unless made in writing and signed by
both parties hereto.
SECTION XX — SEVERABILITY
In the event any provision, section or paragraph of this Agreement is determined by a court of
competent jurisdiction to be void, illegal, or unenforceable, the remaining portions not found to be
void, illegal or unenforceable, shall remain in full force and effect.

PROJECT DESCRIPTION AND SCOPE OF PROFESSIONAL SERVICES
RIVERVIEW PARK — CAVCORP ENHANCEMENT PROJECT
FINAL DESIGN AND PREPARATION OF CONSTRUCTION DRAWINGS AND
DOCUMENTS
I.. PURPOSE
The purpose of this Attachment is to describe the scope of work and responsibilities
required for the Final Design and preparation of Construction Drawings and Documents
for the proposed improvements to CAVCORP Enhancements in the City of Sebastian,
Indian River County, Florida. The Project includes engineering design for the main
CAVCORP boat trailer parking area bordered by Coolidge Street, Sebastian Blvd and
Indian River Blvd. Other road and drainage improvements to be designed include:
• Coolidge Street — Rebuild curb in front of the book store on the north side
of the roadway and integrate new parking stalls. Design a midblock
pedestrian crossing at this location to connect sidewalk serving the new
parking stalls to the existing pedestrian system on the south side of
Coolidge. Rebuild curb on the south side of Coolidge Street and install
parking stalls. Retain as much existing landscaping as possible.
Indian River Blvd. — Rebuild western shoulder to install new parking stalls
and pedestrian accommodations. Modify eastern parking as directed to
improve safety of the area.
• Install required stormwater management system
It is understood that references throughout this document to items of work and services
to be pertormed are the responsibility of Infrastructure Engineers, Inc. (CONSULTANT)
unless otherwise expressly stated as the responsibility of others.
The City of Sebastian, (CITY) Florida will provide contract administration, management
services and technical reviews of services associated with the final design of the said
facility.
I1. RELATED TASKS
The following narrative presents a general description of the services with identification
of the specific tasks to be undertaken.
The project improvements will be designed based on recommendations as presented in
the project Request for Proposal. More specifically in regards to the exhibit prepared by
Schulke, Bittle & Stoddard, L.L.C. with all modifications defined in this scope of
services.
All work is to be confined to the existing right of way. The City will provide latest right of
way maps.
Specifically, the following tasks and sub-tasks will be pertormed as referenced in Part III
of this Attachment:

III. SERVICES TO BE PERFORMED
The CONSULTANT will be responsible for preparing various Construction Plans and
Documents as well as other services as set forth in this Exhibit. The CONSULTANT
shall assist the CITY (at their direction and with approval) with coordination of the
project with State and Local agencies that will have an influence or jurisdiction upon the
preparation of the design.
TASK A ROADWAY AND SITE DESIGN ANALYSIS
As part of the Roadway and Site Design Analysis, the CONSULTANT will:
prepare typical sections, provide pavement designs, develop the
geometric layouts, prepare cross sections depicting existing ground and
proposed features, evaluate access management, analyze and develop
traffic control plans and prepare design documentation. All design shall be
done based on Florida Department of Transportation (FDOT) design
criteria for off-system roadways (Florida Greenbook) and local
development codes.
A.1 CAVCORP lot Enhancements
Evaluate configurations for the lot arrangement in accordance with
the concepts presented in the Request for Proposal. Modifications
to the lot arrangements will consider saving the existing trees within
the lot and existing utilities. The design will look to close or modify
driveways necessary to accommodate the design vehicle, truck and
trailer. Autoturn will be used to show that the lot configuration

meets the requirements of the design vehicle. Pedestrian features
will also be included to accommodate non-vehicular traffic.
A.2 Coolidge Street
CONSULTANT shall design parking stalls on the north side of
Cootidge Street in front of the book store and on the south side of
Coolidge Street next to the CAVCORP parking lot, maximizing the
number of spaces. Spaces will be designed as (angled, parallel)
spaces or in combination. All driveways along the north side of the
corridor shall be saved while driveways to tf�e CAVCORP lot shall
be modified to accommodate the new lot. Pedestrian facilities
(sidewalks) shall be designed in accordance with ADA standards.
The sidewalks on the south side shall connect the existing sidewalk
on the west side of Coolidge to the sidewalk crossing at Indian
River Blvd. The sidewalk on the north side shall pick up foot traffic
from the new parking stalls and channel them across Coolidge
Street at a new midblock crossing and connect to the newly
described sidewalk system on the south side of Coolidge Street.
A.3 Indlan River Blvd
CONSULTANT shall evaluate the need to realign Indian River Blvd.
to accommodate new parking and pedestrian facilities on the west
side of Indian River Blvd. If the realignment is not feasible,
alternative parking and pedestrian accommodations shall be
designed to include angled, parallel or a combination. Traffic
Control plans will be designed for this segment.
In addition, the intersection at Sebastian Blvd. needs to be
evaluated for safety impacts. Minimal design efforts should be
provided to improve the safety of crossing pedestcians and
minimize conflicts with the traveling and vehicular parking traffic.
Cost effective solutions should be recommended to the city of r
approval prior to final design.
TASK B DRAINAGE DESIGN ANALYSIS
B.1 Pond Siting Analysis
The CONSULTANT shall analyze potential pond sites to provide for the
stormwater requirements for the project. It is anticipated that a minimum of
one (1) pond will be required for the project based on the asphalt parking
options. However, during the course of the design, it may be necessary to
balance the need for parking versus stormwater ponds. In the event,
more parking is required; exfiltration design will be needed and will be
included in this scope.
B. 2 Stormwater Management Analysis and Deslgn
The CONSULTANT shall analyze and design the stormwater
management system for the project. The stormwater management system
will be designed to meet the requirements set forth by the SJRWMD and
the City of Sebastian and FDOT (if applicable). It is important for the

CONSULTANT to coordinate with the adjacent PRESIDENT STREETS
project directly to the north.
B. 3 Drainage Analysis and Design
It is anticipated that this project will incorporate a blend of curb and gutter
and swale drainage. The CONSULTANT shall analyze and design
applicable storm systems for these sections of the project. If inlets are
required, the inlets will be spaced and the storm sewer will be designed
based on the FDOT design criteria and City of Sebastian Land
Development Code. The design of open swales sMall be governed by all
applicable design and permitting requirements and standards.
B. 4 Floodplaln and Floodway Analysis
The CONSULTANT will review the Flood Insurance Rate Maps for City of
Sebastian. The project may encroach into the 100-year floodplain
established by the Federal Emergency Management Agency (FEMA). If
the project does impact the 100 year floodplain, then the CONSULTANT
will estimate the volume of the impact to the 100-year floodplain. The
GONSULTANT will analyze and design an area to provide compensatory
storage for the estimated impacted volume to the 100-year floodplain.
B.5 Cross Drain Analysis and Design
This scope will include the design of a cross drain culvert, if required.
Cross drain requirements will be determined during the design process.
B.6 Drainage Calculatlon Notebook
A Drainage Calculation Notebook will be prepared for this project that
documents the stormwater calculations for the project.
B.7 Overall Outfalls for CAVCORP
THE CITY HAS A DESIRE TO ABANDON OR REDUCE THE FLOWS THROUGH
THE OUTFALL PIPE AT MULLIGANS. THIS SCOPE INCLUDES COORDINATING
WITH ADJACENT PROJECTS ON STORMWATER DESIGN AS WELL AS
EXPLORING AND DESIGNING OPTIONS TO REACH THE GOAL. THE
CONSULTANT WILL UTILIZE BEST MANAGEMENT PRACTICES IN THE DESIGN
EFFORTS.
TASK C ROADWAY and SITE DESIGN PLANS
The CONSULTANT shall prepare the Final Design and Contract
Documents for the Roadway and Site improvements within the limits
described in Part II, in accordance with the Florida Department of
Transportation Plans Preparation Manual except as modified herein.
The plans will be prepared in a conventional format for the Plans and
Profiles on 11 "x17" sheets. The plans will be prepared on digitized
topographic information provided by electronic surveying means. The
sheets will be developed to a horizontal scale of 1" = 40' and vertical scale
of 1" = 10' (for 11" x 17" plan sheets). The plan and profile or grading

sheets will show complete horizontal and vertical alignments for the
project. Various roadway elements such as pavement width, shoulders,
curbs, sidewalks, drainage elements, tapers, intersecting roadways, right-
of-way and easement lines will be shown and dimensioned. Design
information relative to the proposed cross-drains, storm sewer pipes and
drainage. structures will also be shown on the plan and profile sheets.
Design of turning radii, limits of construction, and spot elevations for minor
side roads will be shown in plan view on the Plan and Profile sheets.
The plans witl also include driveway profiles, as necessary.
The plans will include typical sections as appropriate.
Cross-Sections will be developed along the centerline of construction to
scales of 1" = 20' horizontal and 1" = 10' vertical. Additional cross-sections
will be developed to further define proposed right of way requirements.
Major underground utilities will be shown based on information provided
by the utility companies (Quality Level D) or as identified during surveying
efforts (Quality Level B). Any Roadway soil profiles from auger borings will
be shown. Cross-sections for side roads and driveways will be developed
if required for earthwork determination and turnout control. Cross Sections
are anticipated for street improvements.
TASK D DRAINAGE PLANS
Drainage Maps (required for the water management district permit) will be
prepared for the project at a scale of 1" = 200' using aerials provided by
the CITY. At a minimum the drainage maps will show on-site drainage
basins, limits of 100-year floodplain and floodway, pond locations, peak
stage information and existing drainage features.
Pond details sheets will be provided at a scale of 1" = 40' to show the
proposed grading and design features associated with the proposed
stormwater and floodplain compensation pond.
Design data relative to the proposed cross-drains, storm sewer pipes, and
drainage structures will be shown on the Roadway Plan and Profile
Sheets as previously discussed. Drainage structure cross sections will
also prepared as part of the scope. Major structures such as box culvert
extensions or replacements, if required, will be detailed on separate
drainage detail sheets.
Stormwater Pollution Prevention Plan sheets will be prepared to
summarize pertinent drainage and erosion/sediment control information
for the project. Erosion/sediment control information will be shown for all
phases on the traffic control plans .
TASK E TRAFFIC CONTROL ANALYSIS � PLANS
Level II Traffic Control Plans (TCP) in accordance with the FDOT Plans
Preparation Manual will be prepared on 1" = 40' for all phases on the
project. The plans will show typical sections, phasing notes, detours, lane

shifts, temporary pavement and all other details as necessary for this
project. TCP typical sections and phasing notes will be provided as part of
the Phase II (60%) submittal. Details will be provided at Phase III (90%)
and Final stage of plan development.
TASK F SIGNING AND PAVEMENT MARKING ANALYSIS � PLANS
The CONSULTANT will design the signing and pavement marking for the
roadway in accordance with the current version of the MUTCD and the
FDOT Design Standards. The design will be shown on 1" = 40' sheets.
The plans will include type, color and spacing of striping and raised
pavement markings. All regulatory, warning and directional signing will be
shown in the plans and guide sign sheets prepared as necessary. Signing
and Pavement Marking Plans will be provided at 60%, 90% and Final
plans packages.
TASK G SIGNALIZATION PLANS (Not Applicable)
TASK H UTILITY ADJUSTMENT PLANS � COORDINATION
H.1 Utillty AdJustment Sheets
The project will be designed such as to avoid utility conflicts when
possible. Utility Adjustment Sheets will be prepared using the Plan/Profile
Sheets as a base. The CONSULTANT will show locations of existing and
proposed utilities based on information supplied by the utilities companies.
The disposition of the existing utilities, as determined by the utility
company and approved by the CITY, will be shown and labeled as "to be
removed", "to be relocated, "to remain", or "proposed". Utility Adjustment
sheets will be included in the 90%, 100% and Final plans packages.
H.2 Utility Coordination
This scope includes the effort of coordination to resolve utility conflicts. It
does not include the design of any utility that may be impacted, and it
assumes that utility conflicts will be resolved by the affected utility owner.
Design of minor utility adjustments such as conflict manholes is included
in this scope.
The CONSULTANT will identify utility facilities and will support the CITY's
efforts to secure agreements and plans from the Utility Agency Owners
(UAO) in an effort to avoid conflicts befinreen utility facilities and the
proposed improvements.
The CONSULTANT shall review utility marked up plans individually as
they are received for content and coordinate review with the UAO.
The CONSULTANT will review utility plans against construction plans for
compatibility.
H.3 Utility Meetings
The CONSULTANT will attend an initial meeting with utility companies and
the CITY for the purpose of presenting the project, review the design
schedule, evaluate the utility information collected, discuss the utility work

and discuss any future design issues that may impact utilities. This is also
an opportunity for the UAO(s) to present proposed facilities.
The CONSULTANT will also coordinate subsequent meetings with utility
companies and the CITY to identify and resolve conflicts befinreen utilities
and proposed construction prior to completion of the plans, including utility
adjustment details, and also recommend resolution between known utility
conflicts with proposed construction plans as practical. The
CONSULTANT will schedule (time and place) a Utility meeting with all
affected UAO(s). The CONSULTANT will be prepared to discuss
drainage, maintenance of traffic (construction phasing), review the current
design schedule and letting date, evaluate the utitity information collected,
provide follow-up information on compensable interest requests,

L.1 Permitting
Construction of the proposed project will require permits. The CITY shall
be responsible for signing all necessary application forms, which will be
prepared by the CONSULTANT. In addition, the CITY shall be responsible
for all application fees associated with this permit. Please note the fees
will not be included in the proposal from the CONSULTANT All permit fees
shall be paid by the CITY. The CONSULTANT shall submit the permit
application to the agency, and the CONSULTANT shall negotiate all
requests for additional information directly with the CITY and the agency,
and secure said permit.
Environmental Resource Permit (SJRWMD)
The CONSULTANT will prepare and submit an application package for an
ERP to the SJRWMD. It is anticipated that a 40C-42 Permit will be
required for this project. The application package will include the following:

If required, the CONSULTANT will prepare and submit an application
package for the construction dewatering permit for the project to the CITY
for review. The CONSULTANT will submit the application package to the
SJRWMD. The application package will include the following:

Meetings and Communication
The CONSULTANT will attend design meetings for this project. It is
anticipated that CONSULTANT staff will attend all progress meetings. The
CONSULTANT will attend pre-application meeting with the SJRWMD for
the project and all other meetings as requested by the CITY.
TASK M FINAL DESIGN SURVEYS AND RIGHT-OF WAY MAPPING
M.1 FINAL DESIGN SURVEY
The CONSULTANT shall perform survey services necessary to perform
Final Design and prepare Construction Plans for the CAVCORP
Enhancements project and the associated water management facilities
and outfall system, as defined in this Scope.
Provide a Topographic in accordance with Chapter 5J-17 F.A.C. to include
the following:

• Locate all improvements and utilities, as evidenced by above
ground features relative to the Florida State Plane Coordinate
System (NAD 83, 1990 Adjustment) East Zone and North American
Vertical Datum (NAVD 1988).
• Obtain spot elevations on natural ground and existing
improvements suitable for interpolation of one foot contours to be
shown on the final drawing.
• Establish a minimum of four (4) site benchmarks.
• Locate all improvements and utilities, as evidenced by above
ground features or as marked by the desi�nated utility company
representative.
• Determine the location, rim, grate, inverts, pipe sizes, etc. for the
existing storm sewer and sanitary system within the survey limits
and extending upstream or downstream to the next structure in
each system.
• Locate and specify type and diameter of all trees greater than 6"
DBH.
• Identify approximate locations of property lines, rights-of-way,
drainage and utility easements and recover and identify property
and right-of-way monuments found.
• Topographic coverage will be limited to the areas and descriptions
defined on the attached Exhibit 1.
• Locate parking lot north of Coolidge Street including elevations and
striping.
TASK N GEOTECHNICAL SOILS INVESTIGATION, FINAL REPORT
The CONSULTANT shall be responsible for coordination of all
geotechnical related fieldwork activities.
All laboratory testing and classification will be performed in accordance
with applicable ASTM Standards or AASHTO Standards, unless otherwise
specified in the Contract Documents.
• Perform five (5) hand auger borings to a depth of up to 6' in
accordance with ASTMD1452.
o Provide a report covering the investigation including the
boring logs of the soil classification, thickness of each
layer, groundwater depths and pavement
recommendations.
• Perform Three (3) constant head permeability tests in the field.
o Obtain Shelby tube soil samples and pertorm constant
head horizontal and vertical permeability tests in the
laboratory
o Calculate the permeability coefficient'K' values and also
estimate the normal wet-season and dry-season water
tables. A report will be provided with the results of the
constant head test and permeability tests.

management area to classify the soils in accordance with the
unified soil classification system.
PUBLIC INVOLVEMENT
The CONSULTANT shall assist the CITY with public involvement for this
project. Public involvement is an important aspect of the project
development process. Public involvement includes communicating to all
interested persons, groups, and government organizations information
regarding the development of the project. Property owners adjacent to the
project, including those not subject to right-of-way acquisition shall be
informed about the project.

For unforeseeable meetings not specifically identified by name in this
Scope, the CONSULTANT project manager or approved representative
will be provided sufficient notice and will make arrangements to attend
meetings. The cost of this attendance is understood to be included in the
cost of services provided.

3. Drainage Report
A Drainage Report will be required for this project that documents
all storm water requirements for the project. The report shall

spread, HGL, EGL, inlet capacity, and spacing documentation
developed for the project shall be included with brief descriptions of
the basins and will be provided with the Final Engineering Plans.
4. Quantity Calculations
The CONSULTANT will prepare spreadsheet with quantity
calculations to be used as a basis for cost estimating and contract
bidding.
5. Bid Documents
The CONSULTANT will assist the CITY with preparation of the
Contractor Bid Documents inclusive of any Special Provisions and
Special Technical Specifications pertinent to this project.
The CITY will provide the CONSULTANT with a typical set of
contractor bid documents for use in preparing the project specific
documents.
6. Final Estimate of Probable Construction Cost
The CONSULTANT will prepare an estimate of probable cost for
use by the CITY. The CONSULTANT will develop unit prices for
each bid item based on historic unit prices available for the area
and recent construction cost information for the area. Preliminary
estimates will be provided during the design, but only one final
estimate will be prepared and will be furnished with the Final Plan
submittal.

The following administrative and management related tasks shall be
performed on this project.
Q.1 Notice-To-Proceed
Prior to beginning work, the CONSULTANT will meet jointly with the CITY
and other representatives with pertinent information to the project. The
purpose of this meeting will be to:
a. Allow the CITY to provide pertinent data applicable to the
project that is available from the CITY.
c. Explain the financial administration of the project, and
d. Render official Notice-to-Proceed letter.
Q.2 Schedule
The CONSULTANT witl prepare a schedule that will include all Major
Tasks, key milestones and delivery of deliverables.
Q.3 Progress Reports
The CONSULTANT will prepare monthly progress reports to accompany
invoicing. These reports will note progress to date and status of key
deliverables.
Q.4 Quality Control
The CONSULTANT will prepare a project specific Quality Control Plan to
be submitted to the CITY within ten working days of NTP.
Q.5 Coordlnation
The CONSULTANT will assist the CITY in coordinating project efforts with
those agencies who have jurisdiction over the outcome of this project. This
will include:
a. City of Sebastian
b. St. Johns River Water Management District
c. Utilities
Q.6 Progress Meetings
Due to the uncertain schedule for this project it is expected to meet with
the team and the CITY. These meetings will be set at the direction of the
CITY. The CONSULTANT shall take minutes of the meeting and submit
written minutes within 48 hours to the CITY project manager.
TASK R POST DESIGN SERVICES
The CONSULTANT shall perform the following post design services only
as part of this scope of services. Any other post design related services
other than stated below will be performed by supplemental agreement.
R.1 Btdding Phase
1. Attend any required Pre-Bid Meeting and provide input as
directed by the CITY.

2. Prepare responses to questions submitted by the
Contractors to the CITY during the bidding period.
3. If required, the CONSULTANT will revise and issue plans
sheets for use by the CITY in preparing Addenda. The CITY
will be responsible for compiling and distributing all
Addenda.
4. Assist the CITY with evaluation of contractor bids.
R.2 Construction Phase
a. Shop Drawinqs
The CONSULTANT will review shop drawings submitted by the Contractor
in accordance with standard FDOT procedures. The CITY will be
responsible for the receipt, distribution, and disposition of all contract
submittals, including project logs thereof. The term "shop drawings"
include all drawings, diagrams, illustrations, transportation procedures,
manuals, and design calculations submitted by the Contractor to define
some portion of the project. These documents for CONSULTANT review
include, but are not limited to, Contractor submittals such as drainage
structures, drainage pipe, fencing/erosion control devices, guardrail, box
culvert details and signs.
The CONSULTANT will provide recommendations to the CITY for all
materials selections proposed by the Contractor.
The CONSULTANT will complete the review of the shop drawings
prepared/reviewed and submitted by the Contractor within ten (10)
calendar days. Reasonable additional time will be required for large
quantities of shop drawings received as a single submission. In addition,
re-submittal of inadequate shop drawings will constitute a complete review
as a separate submittal. Shop drawing reviews will include, but not limited
to, the following:
1. The CONSULTANT will affix stamp and initials or signature
to all reviewed shop drawings acknowledging the submittal as: a.)
Approved; b.) Approved as Noted/Submit Record Copy; or c.) Not
Approved/Revise and Resubmit.
2. The CONSULTANT will review substitute products that are
submitted by the Contractor as an equal-to-better material than that
proposed in the Contract Documents, but only when so noted as a
substitute products by the Contractor.
3. The CONSULTANT will notify the Contractor upon receipt of
inadequate or incomplete submittals. The Contractor will be allowed
five (5) working days to provide the additional information. If
adequate data is not received within five (5) working days, the
submittal will be returned to the Contractors as "No Action Taken."
b. Request for Information
The CONSULTANT will provide written responses to the CITY
regarding Contractor Requests for Information (RFI).

c. Site Visits
On-Site effort required of the CONSULTANT design staff during
construction will be as requested by the CITY. This does not include
engineering inspection services. The CITY will provide a
construction inspector to monitor day-to-day activities of the
contractor ensuring the quality of the workmanship and the
adherence to the plans and specifications. This inspector will work
in conjunction with the CONSULTANT for any engineering related
issues arising in the construction of the project.
d. Field Chanqes/Evaluations
Periodically during construction, the CONSULTANT will be
requested by the CITY to review proposed contract field changes or
to respond to a recommended solution to remedy particular field
conditions not foreseen in the original plans and specifications. The
Scope of Services does not cover major redesign proposed by the
Contractor or necessitated by unforeseen field conditions.
e. Proqress Meetinas
A representative of the CONSULTANT'S Design Team will attend
any requested construction progress meeting at the CITY'S request
IV. ASSUMPTIONS
The following assumptions were used in preparation of the scope of services,
fees and schedule. Additional tasks that have been excluded from this Scope of
Services, as specified below, can be accommodated through Supplemental
Agreement as required for the project.

��NSTRU�C�ION PHASE:
The C1.IENT recogn�zes that canstruction review is a uital element of a�andsc�pe Arch�tect's
complete senrice, provide� to m�nimize pro�lems during canstructian. Should #he CUENT for any
reason nat retain the CONSULTANT to review construction, the CLIENT waives any claim against
the CO�SULTAI�IT, and agrees ta indemnify, defe�d and hold #he CaNSULTANT harmless #rom
any claim or liability #or inju�y or ioss arising from problems during canstr�ction that allegedly
result from fiindings, conclusians, recommendations, plans or speclf�cations developed by the
COf�SULTANT.
Upon aut�o�ization by the CUENT, provide any ar all of the aptional `hourly services listed �e1ow;
�bserve ihe work of the cor�ractor on an intermittent basis nat t� exceed a total of three
(3) site visits as requested by CLIENT to observe work progress and ta determine if #he
cons#ruction is praceeding in general accortlance wiih tt�e contract d�cuments.
Notify the CLIENT of observed de#icfencies i� the work.
Revfew and approve:
A. Shop drawings ��d samples.
B. Results of tests and inspections.
C. Other data which the contraetor or subcflntracturs are required to submit.

aecordance with the cantract documertts. At this paint in time, the CON�ILTANT shall
canduct a walk-through witt� the �L:IENT`s represenfativ� to verify t�ai the work
conforms tQ the cantract documents, and to es�ablish a"punch lis�" Qf items to be
compl�ted or corrected.

�LI�NT COaRQINATI�N:
Rather than hold�ng meet�ngs, cfl�rdinatian shall be handled Via e-mail, phone cai[s, and
onlin� m�etings. The fall�wing are fhe mile�tone "virtual meeti'ngs" included in tt�is scope of
services and required ta support the program:
1. Miles#one #1: Project "kick-€�ff" meeting with Cl.IENT to review programming, goals, and
ohjectiues. Pro�ect schedule shall also be discussed' during this meeting.
2. Milestane #2: Review meet�ng w�h CLIENTto present �rellminary �ar�dscape desigr� concept
drawing�s), and the CONSUC'fANi's prefjminary �pini�n of prabable landscape constructlon
costs. Camme�ts will be received, and authnrizatlon will be provlded for tt�� CONSULTANT to
proceed with the final landscape design and the preparation of final construction drawings
(incorparating the CLIEN7's review cQmments into the fina[ design).
3. Milestone �#3: Review meet�ng with CLIEIdT ta present pre-f�nal construction drawings and
specifications (90°� eomplete), and the CONSU�TANT's final apinian of probable landscape
cons#ruction eosts. Review eomments will be received, and these will be incarporated into
the finai set af construction documents.
It is anticipai�d tha� this number of ineetings will be adequa#e for the project; howev�, if
additional mee#ings are required, the cost will be cflnsidered as a�diiional servlces to be billed on
an hourly basis.

additional expenditures on behalf of the CLIEf�T �o the G+DNSUI.TANT. Assurnpt[ons n�t already

1. The Cl[EN7 wip fumish, at the C�IEI�T'S expense, ail informatio�, requirements, reports,
data, surveys antl �nstructions required by this Agc�ement. The CONSUL�'ANT may use such
info�ma#ian, requirements, re�orks, data, suNeys and instructio�s in perfarming ifis services
and �s em��ed to rely upan #he accuracy and com�leteness thereo#. CLIENT w�lf provide all
necessary base lnformation �in ,DWG farmat), lnclud[ng, bui not limited to:
A. �dge ofi pavement, driveways, sidewalks, an� other fixed s�te improvemenis.

C. �xisting tree lo�ations.
2. SESCO Ughting will be the manufacturer's representative for tl�e site lighting #�ctures. The
�Cify of Sebas�tian wili purcf�ase 1lghtfng fi�tures directly from SESCO via "pig�ybacking" or
�SA corttract. S�SCn w�il �ravide photame�rEC drawings, Lighting will be "OWNE�-Provided,
C{INTRACTOR-lnstalled. The su�eessful B[dder �aka the GONTRACT{#Fi� will pr�ovide electrical
shop drawings, signed and sealed by a Florida registered eiectrical engineer. Not�: this
method is intended to save the OWNER money.
3. The OWNER will purchase site furnishings (benches, �ts, trash receptacles, etc.a directly
from the manufacturer's representativ�, artd install them using Publ�c Works stat# (to save
money).
4. The intent of the Canceptuai Resign Phase services is threefo�d:
A. To demonstrate compliar�ce witi� local gavernrnent design standards tluring the s�te plan
approval process.
B. To obtain CLIENT appravai of the both the proposed d�si�n concept and CON"flLTANT's
prel�minary opin�on of probable constru�tlan casts,
C. Ta enab[e the OVI►NER to make inforr�ed�ec�sions re�arding landscape planning, design,
and management —�cnowing tt�at the most significant cost wi11 not be the canstruction
cost, but rather the ongoing operatiar�s and mair�enance costs over th� life of the
lan�scape.
5. The inter�t of the Construciian Do�uments PhaSe services Is to compiete final landscap�
canstructior� docurnerrts, which will becom� the basis for bidding.

6. The CLIENT will make copies of the final design drawings provided by the CONSUtTANl', and
will reprodace the corrtract dacumer�s provided by the GONSULTANT. The CLIENT will also
adyertise for competitive bids, issue bid packages to prospective bidders, and receive blds
for the construction of the praject.
7. Site electrieal er�gineering wiil not be required under this scope.
8. The CLIEI�T wilf provide a qu�lif�ed cons#ructi�n review speclalist to dai[y vi�it the site, to
obser�re the work of the contractor, to co�rdinaie w�th the cantractor's�superintendent, and to
determ[ne if the canstruction is proceeding '[n general accardance with t�e cantract
dacuments. It will be the resp�nsi�ifity af the CLIENT's cons#ructian review speciallst to
coardinate with the �ONSULTANT ta schedule the site visiis provided in the Scape of Wark.
9. The C�IENi' will prepare proposal requests, change orders to the c�rrtract �or constructiQn,
and pet#orm other such cantract administration functians dt�ring the C�NSTRU£'iION PF�ASE
of ti�e proJect.
10. �I.IENT wfll app�ir� a project manager to serve as the CLfENT's representative, providing a
sin�le poi�t of contact fior a!i CONSULTANT communicatians, and fully authorized to provide
the CONSULTANT with approvals, revlew comments, and #he like.
ApDIT10NAl SERVICE�t
Additional services may include, but not be I�mited to the fallowing items:
1. Making revisions in tlrawrings, specifications, or other documents when sacl� re�isions are
inconsistent with written approvals or instr�ctions previously given, and are d�e to causes
beyond the eorrtr�i of the CONSULTANT.
2. Changes in design co�cept andJar budget subsequent to receirrir�� approvals at the
Conceptual Design Phase. Note; changes in the base map during the Construetian
Dac�rments Phase may afsa result in Add�tianal Services.
3. Provid`[ng services o#her than the normal professior�al services required #or landscape
appraval of the project,

5. Coardinatian with consultinq arborist.
