a result of the diversion the contractor is or will be unable to fill the terms of his obligation or
contract.

Narrative of alleged violation at 133-AdmirahEircle:
• On 11/18/19 owner entered into a contract to build a duplex in the amount of $250,000
• On 8/26/20, the owner alleges that on the same day he made his initial payment, he was asked by the
contractor to sign the Notice of Commencement which was later notarized on 2/8/21by a notary whom he
says he does not know and has never met.
• On 10/27/20 Slater Construction, LLC applied for a building permit to build a duplex at 116 Ormond Ct.
• On 1128/2) the Building Department received a receipt from the contractor for the payment of Indian
River County water and sewer connection fees date stamped 12/9/20. New IRC Utility receipts were
received on 312/22 in the amounts of $9,293.35 and $6,909.35 for the two units. It appears that the
original utility receipt submitted by the contractor to the building department on 1 /28/21 for the purpose
of obtaining a building permit was a utility receipt that had been tampered with to show a different
address, owner's name and phone number. The evidence shows that the parcel ID no. on the receipt
matched up with a receipt for 115 Flint St. in Sebastian. A duplex that had been previously built by Stater
Construction, LLC.
• On 3/30/21 a Notice to Owner was sent to the owner of the property from Cemex Construction Materials
Fl. LLC, On 7/16/21 a Claim of Lien was placed on the property by Cemex Construction Materials Fl.
LLC for non-payment of construction supplies from an order placed by Slater Construction, LLC. The
owner received a letter from an attorney representing Centex Construction Materials dated
10/20/21 demanding payment of the outstanding balance plus interest.
• The owner has provided invoices showing that direct payments were made to sub -contractors and/or
suppliers of materials in lieu of the Slater Construction, LLC, in order to continue the construction
project.
• The owner was compelled to hire an attorney who provided a letter of termination dated 11322 addressed
to Dillon Slater for breach of contract.
• On 2/19/21 the owner filed a Contractor Complaint Affidavit with the City of Sebastian Building
Department.
• On 318122 a Certificate of Occupancy was issued by the Building Department for 133 Admiral Circle.
S. Staff Summary
• Mr. Chorma entered into a contract with Slater Construction, LLC on 11/18/2019 to build a duplex
for the amount of $250,000. Mr. Slater was paid various draws totaling $201,800. Mr. Charma
became aware of instances where the terms of the contract were not being fulfilled, experienced
construction delays, numerous inspection failures and non -payments to suppliers of materials that
led him to hire an attorney to terminate the contract.
• Mr. Dillon Slater appears to have fraudulently changed documents from one governmental agency
and submitted them as evidence of payment to another governmental agency. Mr. Slater has also
instructed the owner to sign a document that was required to be notarized while not being in the
presence of the notary.
• Mr. Chorma has been subject to a construction lien placed on his property from material suppliers
that went unpaid by Slater Construction who ordered the supplies. Mr. Charms has had to pay
suppliers directly to avoid non-payment by the contractor.
• Mr. Dillon Slater has shown that he was unable or unwilling to fulfill his obligations under
the terms of the contract by diversion of funds paid by the owner in violation of City Code of
Ordinance 26-172 (5).
10. Staff Recommendation:
I. Staff recommends the contractor be fined the maximum amount of $500.00, in accordance with Sec. 26-
175 (d) and pay an administrative fee in the amount of $100.00 representing reasonable costs incurred
by the City of Sebastian during its investigation and prosecution of this case.
2. Staff further recommends the board consider suspension of permitting privileges, license suspension or
other penalties including probation or revocation in accordance with Sec. 26-175 (c), (e) (1-3).
11. City Code of Ordinance 26-175. — Penalties: anneals
(a) In addition to the penalties that may be imposed and other remedies that may be available to the
city which are provided for elsewhere in this section, any person who violates any provisions
of section 26-till or commits any of the acts constituting cause for disciplinary action as set forth
in section 26-172 shall be guilty of a violation of the provisions of this article, and upon conviction
thereof, shall be subject to the penalties of section I-10
(c) If a state certified contractor or a contractor possessing a certificate of competency issued by the
board pursuant to this article is found by the board. after a due nrocess hearine. to be euilty of fraud or
a willful buildine code violation in the city, or if the board possesses proof that such contractor,
through a due hearing process, has been found guilty in another city or county within the 12-month
period of fraud or a willful building code violation, and the board finds, after providing notice to the
contractor, that such fraud or violation would have been fraud or a violation of a building code of the
city if committed in the city, then the board may. in addition to the penalties that mav be imposed, and.
other remedies that mav be available to the city which are provided for elsewhere in this section. denv
the issuance of a building nermit to such contractor or issue a building nermit with specific conditions
which the board determines to be necessary to protect the public health. safetv and general welfare.
The board shall provide notification of, and information concerning, any denial of a building permit
pursuant to this provision to the department within 15 days after the board decides to deny such

(d) In addition to the penalties that may be imposed and other remedies that may be available to the
city which are provided for elsewhere in this section, the board may impose an administrative fine in
an amount not to exceed $500.00, fines may include additional fees for investigative and legal costs
incurred in the context of certain disciplinary cases heard by the board, which shall be recoverable by
the board only in an action at law.
(e) In addition to the penalties that may be imposed and other remedies that may be available to the
city which are provided for elsewhere in this section, the board is authorized to take the following
disciplinary actions against the holder of a certificate of competency issued by the board pursuant to
this article, where such holder has been found to violate section 26-171 or has engaged in any of the
acts or omissions which constitute cause for disciplinary action pursuant to section 26-172.
(1) Suspend the certificate of competency issued by the board pursuant to this article during the period
fixed by the board, but the board may permit the certificate holder to complete any contracts then
uncompleted;
(2) Revoke the certificate of competency previously issued by the board pursuant to this article; or
(3) Place the certificate holder on probation for a period fixed by the board, but not in excess of three
years.
12. Board Action:

CONSTRUCTION CONTRACT AGREEMENT
This Construction Contract Agreement (this 'Agreement') is ma s of a 18 day of November, 2019 by
and between James F. Chrome. an lndwmdual located at 116 `r r, Sebastian, FL 32958 ('Owner )
and Slater Construction, a Florida limited liability company located at 4853 61st Cir, Vero Beach. FL
32967 with contractors license number CGC1526339 ("Contractor') Owner and Contractor may each be
referred to to this Agreement individually as a'Party' and collectively as the 'Parties .'
The Parties agree as follows'
1. Description of Work. Contractor shall perform the following described work at 116 Ormand ct.
Sebastian. FL 32958 (the "Property"). in accordance with Owner's contract plans and
specifications, attached as Exhibit A, this Agreement and any Change Omer, as defined herein,
(collectively, the "Contract Documents'): New construction of a 3684 SF Duplex per construction
drawings. (the'Work'),
General Conditions: All pennit Ices and Impact Fees are included: Owner will supply
contract drawings.

2. Contact Price and Payments. Owner agrees to pay Contactor the total amount of $250,000.00 (the
'Contact Price*). Payment of this amount is subject to additions or deductions in accordance with any
mutually agreed to changes andfor modifications in the Work. Payment will be made by personal check,
according to the following schedule'
• due every month from the date of this Agreement
• $250.000.00 balance due upon completion of the Work.
3. Certificate of Completion. Work under this Agreement shall begin on

ready for final inspection and acceptance and Owner shall make the final payment within fifteen (15) days

4. Materials and Labor. Contractor shall provide and pay for all labor and equipment. including tools.
construction equipment. machinery. transportation and all other facilities and services. and all materials
necessary for the completion of the Work All materials shall be good quality and new, unless the
Contract Documents require or permit otherwise. Contractor may substitute materials only with the prior
written approval of Owner In addition, the Contract Price shall include the following fixtures: All electrical
and plumbing fixtures are standard construction grade..
5. Licenses and Permits. Contractor shall obtain all licenses and permits necessary for proper
completion of the Work. Contractor is responsible for the cost of any necessary permits or licenses.
G. Laws and Regulations. Contractor shall perform the Work in a workmanlike manner and in
compliance with all applicable federal, state. and local laws, regulations and ordinances, and any safety
requirements of Owner (the 'Applicable Laws'). Contractor shall promptly notify Owner upon discovery of
any variance between the Applicable Laws and the Construction Documents.
7. Supervision of Construction. Contractor shall be solely responsible for and shall supervise and direct
all construction under this Agreement Contractor shall provide competent and suitable personnel to
perform the Work and shall at all limes maintain good discipline and order at the Property. Contractor will
at all times take au reasonable precautions for the safety of its employees and the public at the Property.
Contractor agrees to assume full responsibility for the acts, negligence, and/or omissions of Its employees
and any subcontractors and their employees.
It. Record Documents. Contractor shall maintain in a safe place at the Property one record copy of all
cravings, specifications. addenda, written amendments. and the like in good order and annotated to
show all changes made during construction, which will be delivered to Owner upon completion of the
Work.
9. Utilities. Owner shall pay for all permanent electric, water, phone, cable, sewer and gas service as
needed to perform the Work. Owner shall pay for the installation, connection and removal of all temporary
utilities on the Property during the performance of the Work All temporary utilities shall conform and
adhere to the Applicable Laws.
10. Hazardous Materials. Except as otherwise provided in the Contract Documents. Contractor shall be
responsible for all Hazardous Materials brought to the Property by Contractor. Hazardous Materials shall
include radioactive materials, asbestos. polychlorinated biphanyls, petroleum products. crude oil,
flammeble materials. chemicals or solvents known to cause cancer or reproductive toxicity, pollutants,
contaminants and toxic substances which are restricted. prohibited or regulated by any agency of
government in its manufacture. use, maintenance, storage, Ownership or handling. If Contractor discovers
any Hazardous Materials on the Property, Contractor shall immediately notify Owner and may cease
working until the material or substance has been rendered harmless. Owner shall defend. indemnify and
hold harmless Cunliactur. miry subcontractors, and their respective agents and employees from and
against all claims, damages. losses and expenses, including attorney's fees, arising out of or resulting

from contact with the Hazardous Substance in performance of the Work resulting in bodily injury. illness
or death, or injury or property damage, provided such claim, damage. loss or expense is not the result of
any negligent act or omission by the parry seeking such indemnity,
11. Warranty. Contractor warrants that the Work shall be in accordance with the Contract Documents
and free from material structural defects. Contractor shall redo or repair any Work not in accordance with
the Contract Documents or any defects caused by faulty materalsequipment or workmanship for a
period of one (1) year(s) from the dale of completion of the Work.
12. Condition of the Property. Contractor agrees to keep the Property and adjoining driveways tee and
clear of waste material and rubbish. Contractor shall confine the storage of materials and equipment and
the operations of employees to the Property, and shall not unreasonably encumber the Property with
materials or equipment. Contractor shall be fully responsible for any damage to the Property or areas
contiguous thereto resulting from the performance of the Work. At the completion of the Work, Contractor
shall remove all waste materials. rubbish and debris from and about the Property as well as all tools,
appliances, construction equipment and machinery, and surplus materials, and shall leave the Property
clean and ready for occupancy by Owner
13. Inspection. Owner shall have a right to inspect the Work at any time and request that Contractor
promptly correct any Work that is defective of does not conform to the Contract Documents. 11 required
the Work shall be inspected and certified by the appropriate state or local agency or health officer at each
necessary stage.
16. Right to Stop Work. If Contractor fails to correct any defective Work or repeatedly falls to perform the
Work in accordance with the Contract Documents, Owner shall have the right to order Contractor to stop
performing the Work, or any portion thereof, until the cause for such order is eliminated.
16. Subcontracts. Contractor shall furnish to Owner a list of names of subcontractors proposed to
perform principal portions of the Work. Contractor shall not employ any subcontractor to whom Owner
reasonably objects. A subcontractor, for the purposes of this Agreement, shall be a Person with whom
Contractor has a direct contract for work at the Property. All contracts between Contractor and
subcontractor shall be in accordance with the terms or this Agreement and the Contract Documents.
16. Work Changes. Owner reserves the right to order changes to the Work in the nature of additions,
deletions or modrications, without invalidating this Agreement, and agrees to make corresponding
adjustments in the Contract Price and time of termination if applicable. All changes will be authorized in a
written "Change Order signed by Owner and Contractor, which shall be incorporated by reference
herein.
17. Other Contractors. Owner reserves the right to enter into other contracts in connection with the
Work. Contractor shall cooperate with all other contractors so that their work shall not be impeded, and
shall give them access to the Property as necessary to perform their contracts.
18, Indemnification. Contractor agrees to defend indemnify and hold harmless Owner and its agents
and employees. from and against all claims, actions, liabilities. suits, demands, injuries. obligations,

damages. losses. settlements, judgments. fines, penalties, costs and expenses, including reasonable
attorneys' fees. arising out of any negligent act or omission by Contractor, a subcontractor or anyone
directly or indirectly employed by them in the performance of the Work resulting in bodily injury, illness or
death, or for property damage. including loss of use, unless caused by the sole negligence or willful
misconduct of Owner.
19. Contractor's Insurance. Contractor agrees to maintain at Its own expense during the entire period of
construction at the Property.
A. General Liability Insurance. Such general liability insurance as will protect Contractor from claims
for property damage and bodily Injury, with limits of liability not less than $1.000,00000 for each
occurrence
Contractor Shall name Owner as an additional insured. Prool of such insurance shall be filed by
Contractor with Owner within a reasonable time after execution of this Agreement
20. Waiver of Subrogation. Owner and Contractor each waive any and all claims or rights to recovery
against the other Party for any loss or damage to the extent such loss or damage is Covered by insurance
or would be covered by any insurance required under this Agreement Owner and Contractor shall cause
each insurance policy carried by Owner or Contractor relating to the Property to include or allow a full
waiver of any subrogation claims
21. Time of Essence. All times stated in this Agreement or in the Contract Documents are of the
essence. Contractor agrees that such times are reasonable for performing and completing the Work
22. Liquidated Damages. In the event the Work is not completed by the date set forth in Section 3 of this
Agreement. plus any extensions thereof as allowed in this Agreement. Owner shall suffer damages
uncertain in amount and difficult to measure and prove accurately. Owner and Contractor agree that in
lieu of actual damages, and not as a penalty, for delay in the performance of the Work. Contractor shall
pay Owner the sum of for each calendar day completion of the Work is delayed. Contractor
agrees that the liquidated damages specified herein are reasonable in amount and are not
disproportionate to actual anticipated damages. Owner shall have the right to deduct any liquidated
damages from any amount due or that may become due to Contractor, Liquidated damages shall be the
sole and "elusive remedy for Owner for delay in completion of the work past the agreed upon date.
23. Extension of Time. The times stated in this Agreement may be extended for such reasonable time as
Contractor may determine when performance of the Work by Contractor is delayed by a Change Order,
labor disputes, fire, unusual delay in deliveries. abnormal adverse weather conditions, unavoidable
casualties, or other causes beyond Contractor's control or which justify the delay.
24. Early Termination for Breach of Contract.
A. Contractor's Termination. Contractor may. on five (5) days' written notice to Owner, terminate this
Agreement be' re the completion of the Work when for a period of suety (60) days attar a progress
payment is due, through no fault of Contractor. Owner fails to make the payment On such termination

Contractor may recover from Owner payment for all Work completed and for any loss sustained by
Contractor for materials, equipment. tools or machinery to the extent of actual loss thereon, plus loss
of a reasonable profit
B. Owner's Termination. Owner may, on foe (5) days' notice to Contractor, terminate this Agreement
before the completion of the Work, and without prejudice to any other remedy Owner may have when
Contractor defaults in the performance of any provision of this Agreement, or fails to carry out
performance of the Work in accordance with the provisions of the Contract Documents. If the unpaid
balance on the Contract Price at the time of the terrunation exceeds the expense of finishing the
Work, Owner shall pay such excess to Contractor. If the expense of finishing the Work exceeds the
unpaid balance of the Contract Price at the time of termination, Contractor shall pay the difference to
Owner
25. Disputes. Any dispute ansing from this Agreement shall be resolved through mediation.
26. Counterparts. This Agreement may be executed in one or more counterparts. each of which shall be
deemed an anginal and all or which together. shall constitute one and the same document.
27. Headings. The section headings herein are for reference purposes only and shall not otherwise affect
the meaning, construction or interpretation of any provision of this Agreement.
28. Notices. Any notice or communication given or made to any Parry under this Agreement shall be in
writing and delivered by hand, sent by overnight courier service or sent by cenified or registered mad,
return receipt requested. to the address stated above or to another address as that Party may
subsequently designate by notice and shall be deemed given on the date of delivery.
29. Assignment. No Parry hereto shall have the night to assign its rights or delegate ns duties hereunder
without the written consent of the other Party, which consent shall not be unreasonably withheld.
30. Binding Effect This Agreement shall be binding and enure to the benefit of the Parties and their
respective legal representatives. heirs, administrators, executors, successors and permitted assigns.
31. Governing Law. This Agreement and the rights and obligations of the Parties hereto shall be
governed by and construed in accordance with the laws or the State of Florida, without regard to its
conflicts of laws provisions.
32. Severability. if any provision of this Agreement is held to be invalid. illegal or unenforceable in whole
or in part, the remaining provisions shalt not be affected and shall continue to be valid. legal and
enforceable as though the Invalid, illegal or unenforceable part had not been included in this Agreement.
33. Entire Agreement. This Agreement contains the entire agreement between the Parties hereto with
respect to the subject matter hereof. and supersedes all prior negotiators, understandings and
agreements.

34. Amendments. This Agreement may not be amended or modified except by a written agreement
signed by the all of the Parties.
35. Waiver. No Party shall be deemed to have waived any provision of this Agreement or the exercise of
any rights held under this Agreement unless such waiver is made expressly and in writing. Waiver by any
Party of a breach or violation of any provision of this Agreement shall not constitute a waiver of any other
subsequent breach or violation

RE: EARLY TERMINATION FOR BREACH OF CONTRACT —OWNER'S TERMINATION
Mr. Slater:
To -date you have not responded to the Demand letter that was dated November 30, 2021, nor
have you done any work on the property located at 116 Ormond Court, Sebastian, FL 32958
since sometime in September 2021. Your repeated failure to perform under the Construction
Contract Agreement you drafted and executed constitutes a clear breach of contract and a
flagrant disregard for your obligations. There is no faith that you will complete this project in a
satisfactory manner, much less in a timely manner. Therefore, this letter shall serve as your five
(5) day notice of termination pursuant to the Construction Contract Agreement.
Specifically, you have failed to adhere to the following provisions in your Construction Contract
Agreement:
1. Clause 4 — Materials and Labor. Contractor shall provide and pay for all labor and
equipment, including tools, construction equipment, machinery, transportation and all
otherfacilities and services, and all materials necessaryforthe completion ofthe Work.
2. Clause 6 — Laws and Regulations. Contractor shall perform the Work in a workmanlike
manner and in compliance with all applicable federal, state, and local laws, regulations,
ordinances....
3. Clause 7 — Supervision of Construction. Contractor shall be solely responsible for and
shall supervise and direct all construction under this Agreement.
4. Clause 21 — Time of Essence. All times stated in the Agreement or in the Contract
Documents are of the essence. Contractor agrees that such times are reasonable for
performing and completing the Work.
Mc Chorma is terminating this contract pursuant to the Construction Contract Agreement.
Additionally, he demands that you return to him the amount of $29,158.56 on or before 5:00
PM on January 30, 2022. If you fail to return these funds as requested, Mr. Chorma has
indicated a willingness to file a lawsuit against you to enforce the contract and seek damages
along with attorney's fees.
