Cause for Disciulinary Action: City Code of Ordinance: 26-172(5) Diversion of funds or property received for the completion of a specified project or operation or as a result of the diversion the contractor is or will be unable to fill the terms of his obligation or contract. 3. Location of All"ed Violations in Sebastian. Florida: 1. 104 Marsh St. Owners: Joseph and Katrina Cummings 4. Violation Descriptions: Narrative of alleged violation at 104 Marsh St.: • On 12/14/20 owners entered into a contract to build a duplex in the amount of $250,000 • On 12/30/20 an application was made fora building permit to build a duplex at 104 Marsh St. • On 3/31 /21 the Building Department received a receipt from the contractor for the payment of Indian River County water and sewer connection fees date stamped 12/9/20. New IRC Utility receipts were received on 3/10/22 in the amounts of $14,685.90 for each unit. It appears that the original utility receipt submitted by the contractor to the building department on 3/31/21 for the purpose of obtaining a building permit was a utility receipt that had been tampered with to show a different address, owner's name and phone number The evidence shows that the parcel ID no. on the receipt matched up with a receipt for 115 Flint St. in Sebastian, a duplex that had been previously built by Slater Construction, LLC. • On 8/25/21 a Claim of Lien was placed on 104 Marsh St. by Jacob Bynum of Big Johnson Concrete Placement, LLC for non-payment after filing a Notice to Owner on July 20, 2021. • Owners have provided invoices showing that direct payments were made to various suppliers of materials in lieu of the Slater Construction, LLC, in order to continue the construction project. • On 3/7/22 the owner filed a Contractor Complaint Affidavit with the City of Sebastian Building Department. 5. Staff Summary • Mr. and Mrs. Cummings entered into a contract with Slater Construction, LLC on 12/14/2020 to build a duplex for the amount of $250,000. Mr. Slater was paid various draws totaling $195,000. Mr. and Mrs. Cummings experienced construction delays, numerous inspection failures and became aware of instances where payments were not being made to sub -contractors and suppliers of materials. • Mr. Dillon Slater appears to have fraudulently changed documents from one governmental agency and submitted them as evidence of payment to another governmental agency. • Mr. and Mrs. Cummings have had a Claim of Lien placed on thew property for non-payment to a concrete placement sub -contractor. Mr. and Mrs. Cummings have had to put pressure on Dillon Slater and in some cases pay suppliers directly to avoid non-payment by the contractor. According to the owners estimate, to date they have had to pay an additional $103,040. • Mr. Dillon Slater has shown that he was unable -or unwilling to fulfill his obligations under the terms of the contract by diversion of funds paid by the owner in violation of City Code of Ordinance 26-172 (5). 10. Staff Recommendation: r-WIN Vi•��isq ®-� 2G-172i5� I. Staff recommends the contractor be fined the maximum amount of $500.00, in accordance with Sec. 26- 175 (d) and pay an administrative fee in the amount of $100.00 representing reasonable costs incurred by the City of Sebastian during its investigation and prosecution of this case. 2. Staff further recommends the board consider suspension of permitting privileges, iieence-oaspeneiea or other penalties including probation or revocation in accordance with Sec. 26-175 (c), (e) (1-3). 11. (e) In addition to the penalties that may be imposed and other remedies that may be available to the city which are provided for elsewhere in this section, the board is authorized to take the following disciplinary actions against the holder of a certificate of competency issued by the board pursuant to this article, where such holder has been found to violate section 26-171 or has engaged in any of the acts or omissions which constitute cause for disciplinary action pursuant to section 26-172. (1) Suspend the certificate of competency issued by the board pursuant to this article during the period fixed by the board, but the board may permit the certificate holder to complete any contracts then uncompleted; (2) Revoke the certificate of competency previously issued by the board pursuant to this article; or (3) Place the certificate holder on probation for a period fixed by the board, but not in excess of three years. 12. Dillon Slater neglected to pay subcontractors and vendors on time, though the Owner paid him on time. Delaying of prompt payment not only delays work, but also resulted in cost -increases. The delays of work has now caused Owners -40%of material and labor cost increase. 2. Dillon Slater stated the budget has been overrun, but despite Owner's requests for receipts on numerous occasions, no response as of 6 March 2022. 3. Dillon Slater was no longer paying for the work performed by the subcontractors and vendors after he received draws of $195K (78%). Since 8 October 2021, Owners have been paying subcontractors and vendors to keep the project going. As of 6 March 2022, Owners have spent $37,819 beyond the contract price, $250,000, and according to estimates from experts, an additional >$70K will be needed to finish the build. 4. Dillon Slater refused to show receipts or evidence for deposit payments or impact fees for 107 Capri Ave., that he insists he has paid. Owners visited the truss vendor, and found no deposit record for 107 Capri Ave. The cost of trusses has gone up from $12,000 in June 2021 to $19,000 as of 4 March 2022, and due to material shortages, trusses may not be available for several months. It has been almost a year since the contract signed (12 April 2021), but the lot is still in the middle of land clearing stage. 5. Dillon Slater instructed the grading company to dump trash -filled, non-compactable dirt from 104 Marsh St (Property 1) to 107 Capri Ave (Property 2) without Owner's consent. Owners have demanded the Contractor to remove the inferior dirt immediately; to date, no action has been taken. Owners received an estimate of $2500 to remove the dirt and clean up. 6. Owners experienced on many occasions that Dillon Slater has been dishonest and kept Owners in the dark on expenses, building progress, and paying subcontractors and vendors. He has been unresponsive to not only Owners, but also the subcontractors and suppliers for questions, payments, work issues, and inspections. 7. Dillon Slater is either ignorant or deliberately not following plans nor building codes. He has failed same inspections repeatedly, accumulating an unprecedented number of fines or fees. 8. Owners have evidence that Dillon Slater used the same site survey for Owners' duplex build with another duplex that he built previously. As a result, final grading requirement is Z" higher than front porch and driveway, even though the duplex is the same height as the duplex that is currently being built across the street (103 Marsh St). 9. Owners have learned that there are more people who have experienced or who are experiencing the similar working and monetary issues with Slater Construction. Dillon Slaters professional license must be revoked, not suspended, not only in IRC, but all over Florida so that no more innocent people become victims of this unprofessional, dishonest, and shameless so-called contractor, and/or lose their retirement or life savings. I 0 ►k Mrn,rs k 1 ff Cv\�Y-ac+ State of Florida Rev. 133EDCB CONSTRUCTION CONTRACT AGREEMENT This Construction Contract Agreement (this "Agreement') is made as of December 14, 2020, by and between Joseph B and Katrina H Cummings ('Owner") and Slater Construction, a Florida limited liability company located at 4853 W Circle, Vero Beach, FL 32967, with contractor's license number CGC1526339 ("Contractor"). Owner and Contractor may each be referred to in this Agreement individually as a "Party" and collectively as the "Parties." The Parties agree as follows: 1. Description of Work. Contractor shall perform the following described work at 104 Marsh Street, Sebastian, FL (the "Property"), in accordance with Owner's contract plans and specifications, attached as Exhibit A, this Agreement and any Change Order, as defined herein (collectively, the "Contract Documents"). 2. General Conditions: All Engineering, Electrical and Plumbing (EAP) plans, as well as all permit fees and Impact Fees are included. a. Exterior. The Shell will consist of. Concrete foundation, with CMU/stucco walls and architectural asphalt shingles over pre-engineered wood trusses. Windows will be vinyl impacted rated double pane by Shwinco. Landscaping will consist of Bahi and minimal trees required per code. b. Interior. Standard electrical and plumbing fixtures are included (kitchen appliances, kitchen cabinets, light fixtures, toilets, vanity with top, and towel bars) options will be provided to owner prior to install. Shower walls to be file in lieu of fiberglass surrounds. Drywall to be level 3 (orange peel texture). Owner to provide final paint selection. An allowance of $1.50 per sf for all file material has been included; samples will be provided to Owner for final approval. Kitchen counter tops and bathrooms vanities will have Level 1 granite tops (Allowance of $55.00 sf), options will be provided to owner prior to install. Q/c's I. Owner agrees to pay Contractor the total amount of two hundred fifty thousand dollars ($250,000.00, the "Contract Price"). Payment of this amount is subject to additions or deductions in accordance with any mutually agreed to changes and/or modifications in the Work Payment will be made in progress payments throughout the length of construction based off the attached draw schedule. For all jobs that are not bank funded, draw payments are due prior to the start of the scope of work for that draw. Work under this Agreement shall begin on December 14, 2020, and complete within one year (1) of the contract signing date. If Contractor cannot complete the Work due to catastrophic event caused by no fault or negligence of Contractor, acts of Nature, or Pandemic, the Parties will agree, and the completion date will extend accordingly. Upon completion of the Work, Contractor shall notify Owner that the Work is ready for final inspection and acceptance and Owner shall make the final payment within fifteen (15) days after final inspection. 5. Materials and Labor. Contractor shall provide and pay for all labor and equipment, including tools, construction equipment, machinery, transportation and all other facilities and services, and all materials necessary for the completion of the Work All materials shall be good quality and new, unless the Contract Documents require or permit otherwise. Contractor may substitute materials only with the prior written approval of Owner. in addition, the Contract Price shall include the following fixtures: All electrical and plumbing fixtures are standard construction grade. S. Licenses and Permits. Contractor shall obtain all licenses and permits necessary for proper completion of the Work. Contractor is responsible for the cost of any necessary permits or licenses. 7. Laws and Regulations. Contractor shall perform the Work in a workmanlike manner and in compliance with all applicable federal, state, and local laws, regulations and ordinances, and any safety requirements of Owner (the 'Applicable Laws"). Contractor shall promptly notify Owner upon discovery of any variance between the Applicable Laws and the Construction Documents. S. Supervision of Construction. Contractor shall be solely responsible for and shall supervise and direct all construction under this Agreement. Contractor shall provide competent and suitable personnel to perform the Work and shall at all times maintain good discipline and order at the Property. Contractor will at all times take ail reasonable precautions for the safety of its employees and the public at the Property. Contractor agrees to assume full responsibility for the acts, negligence, and/or omissions of its employees and any subcontractors and their employees. 9. Record Documents. Contractor shall maintain In a safe place at the Property one record copy of all drawings, specifications, addenda, written amendments, and the like In good order and annotated to show all changes made during construction, which will be delivered to Owner upon completion of the Work. 10. Utilities. Owner shall pay for all permanent electric, water, phone, cable, sewer and gas service as needed to perform the Work. Owner shall pay for the installation, connection and removal of all temporary utilities on the Property during the performance of the Work All temporary utilities shall conform and adhere to the Applicable Laws. 11. Hazardous Materials. Except as otherwise provided in the Contract Documents, Contractor shall be responsible for all Hazardous Materials brought to the Property by Contractor. Hazardous Materials include radioactive materials, asbestos, polychlorinated biphenyls, petroleum products, crude oil, flammable materials, chemicals or solvents known to cause cancer or reproductive toxicity, pollutants, contaminants and toxic substances which are restricted, prohibited or regulated by any agency of government in Owner Initials: +r• Contractor Initial: t_ Construction Contract Agreement (Rev. 133EDCa) Page 2 of 13 Its manufacture, use, maintenance, storage, ownership or handling. If Contractor discovers any Hazardous Materials on the Property, Contractor shall immediately notify Owner and may cease working until the material or substance has been rendered harmless. Owner shall defend, indemnify and hold harmless Contractor, any subcontractors, and their respective agents and employees from and against all claims, damages, losses and expenses, including attorney's fees, arising out of or resulting from contact with the Hazardous Substance in performance of the Work resulting in bodily injury, illness or death, or Injury or property damage, provided such claim, damage, loss or expense Is not the result of any negligent act or omission by the party seeking such indemnity. 12. Warranty. Contractor warrants that the Work shall be in accordance with the Contract Documents and free from material structural defects. Contractor shall redo or repair any Work not in accordance with the Contract Documents or any defects caused by faulty materials, equipment or workmanship for a period of one year (1) from the date of completion of the Work. 13. Cond@ion of the Property. Contractor agrees to keep the Property and adjoining driveways free and clear of waste material and rubbish. Contractor shall confine the storage of materials and equipment and the operations of employees to the Property and shall not unreasonably encumber the Property with materials or equipment Contractor shall be fully responsible for any damage to the Property or areas contiguous thereto resulting from the performance of the Work. At the Completion of the Work, Contractor shall remove all waste materials, rubbish and debris from and about the Property as well as all tools, appliances, construction equipment and machinery, and surplus materials, and shall leave the Property dean and ready for occupancy by Owner. 14. Inspection. Owner shall have a right to inspect the Work at any time and request that Contractor promptly correct any Work that is defective or does not conform to the Contract Documents. if required, the Work shall be inspected and certified by the appropriate state or local agency or health officer at each necessary stage. 15. Right to Stop Work. If Contractor fails to correct any defective Work or repeatedly fails to perform the Work in accordance with the Contract Documents, Owner shall have the right to order Contractor to stop performing the Work, or any portion thereof, until the cause for such order is eliminated. 16. Subcontracts. Contractor shall furnish to Owner a list of names of subcontractors proposed to perform principal portions of the Work. Contractor shall not employ any subcontractor to whom Owner reasonably objects_ A subcontractor, for the purposes of this Agreement, shall be a person with whom Contractor has a direct contract for work at the Property. All contracts between Contractor and subcontractor shall be in accordance with the terms of this Agreement and the Contract Documents. 17. Work Changes. Owner reserves the right to order changes to the Work in the nature of additions, deletions or modificetions, without invalidating this Agreement, and agrees to make corresponding adjustments in the Contract Price and time of termination If applicable. All changes will be authorized in a written "Change Order" signed by Owner and Contractor, which shall be incorporated by reference herein. Owner reserves the right to enter into other contracts in connection With the Work. Contractor agrees to defend, indemnify and hold harmless Owner and Its agents and employees, from and against all claims, actions, liabilities, suits, demands, injuries, obf1gations, damages, losses, settlements, judgments, fines, penalties, costs and expenses, including reasonable attorneys' fees, arising out of any negligent act or omission by Contractor, a subcontractor or anyone directly or indirectly employed by them in the performance of the Work resulting In bodily injury, illness or death, or for property damage, including loss of use, unless caused by the sole negligence or willful misconduct of Owner. 20. Contractor's Insurance. Contractor agrees to maintain at its own expense during the entire period of construction at the Property: a. General Liability Insurance. Such general liability Insurance as will Protect Contractor from claims for property damage and bodily injury, with #mks of liability not less than $1,000,000.00 for each occurrence. 21. Waiver of Subrogation. Owner and Contractor each waive any and all claims or rights to recovery against the other Party for any loss or damage to the extent such loss or damage is covered by insurance or would be covered by any insurance required under this Agreement Owner and Contractor shall cause each insurance policy carried by Owner or Contractor relating to the Property to include or allow a full waiver of any subrogation claims. 22. Time of Essence. All times stated in this Agreement or in the Contract Documents are of the essence. Contractor agrees that such times are reasonable for performing and completing the Work. 23. Liquidated Damages. EXCLUDED 24. Extension of Time. The times stated in this Agreement may be extended for such reasonable time as Contractor may determine when performance of the Work by Contractor is delayed by a Change Order, labor disputes, fire, unusual delay in deliveries, abnormal adverse weather conditions, unavoidable casualties, or other causes beyond Contractors control or which justify the delay. 25. Early Termination for breach of Contract a. Contractor's Termination. Ownees Termination. Owner may, on five (5) days' notice to Contractor, terminate this Agreement before the completion of the Work, and without prejudice to any other remedy Owner may have when Contractor defaults in the performance of any provision of this Agreement, or falls to carry out performance of the Work in accordance with the provisions of the Contract Documents. If the unpaid balance on the Contract Price at the time of the termination exceeds the expense of finishing the Work, Owner shall pay such excess to Contractor. if the expense of finishing the Work exceeds the unpaid balance of the Contract Price at the time of termination, Contractor shall pay the difference to Owner. 26. Disputes. Any dispute arising from this Agreement shall be resolved through mediation. 27. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together, shall constitute one and the same document 28. Headings. The section headings herein are for reference purposes only and shall not otherwise affect the meaning, construction or interpretation of any provision of this Agreement. 29. Notices. Any notice or communication given or made to any Party under this Agreement shall be in writing and delivered by hand, sent by overnight courier service or sent by certified or registered mall, return receipt requested, to the address stated above or to another address as that Party may subsequently designate by notice and shall be deemed given on the date of delivery. 30. Assignment. No Parry hereto shall have the right to assign its rights or delegate its duties hereunder without the written consent of the other Party, which consent shall not be unreasonably withheld. 31. Binding Effect. This Agreement shall be binding and endure to the benefit of the Parties and their respective legal representatives, heirs, administrators, executors, successors and permitted assigns. 32. Governing Law. This Agreement and the rights and obligations of the Parties hereto shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflicts of lauds provisions. 33. Construction Lien Law (Sections 713.001- 713.37, Florida Statutes). To protect the Owner from the Florida's Construction Lien Law, Contractor Is required to provide Owner with a °written release of lien" from any person or company who provided services and/or materials!
