JOINT WORKSHOP - CITY COUNCIL - PLANNING AND ZONING AND RIVERFRONT COMMITTEES REGULAR MEETING MINUTES MAY ~0, ~99~ MAYOR CONYERS CALLED THE MEETING TO ORDER AT 7:00 P.M. PRESENT; ALL COUNCIL MEMBERS, RIVERFRONT STUDY MEMBERS AND PLANNING AND ZONING MEMBERS WERE PRESENT WITH THE EXCEPTION OF JOHN LINDSEY, ALTERNATE FOR PLANNING AND ZONING WHO IS EXCUSED. ALSO PRESENT;' ROBERT S. MCCLARYo CITY MANAGER BRUCE COOPER, DIRECTOR OF COMMUNITY DEVELOPMENT, LINDA KINCHEN, SECRETARY, CHARLES NASH, CITY ATTORNEY AND CATHERINE HILTON, CITY PLANNER MAYOR CONYERS TURNED THE MEETING OVER TO PETER JONES, CHAIRMAN OF THE RIVERFRONT COMMITTEE FOR THE PRESENTATION. MR. JONES INDICATES THAT MR. DILL, MR. COLLINS AND MRS. TRIPP WILL ALSO TAKE PART IN THE PRESENTATION. AFTER PRESENTATION WAS COMPLETE VICE-MAYOR OBERBECK COMMENDED THE COMMITTEE FOR A JOB WELL DONE AND ESPECIALLY FOR PRODUCING A FUNDING REPORT TO THE COUNCIL FOR THIS PROJECT. THE MAYOR HAD SOME PROBLEMS WITH THE SMALL NUMBER OF RETURNS FROM THE QUESTIONNAIRE BUT HE ALSO COMMENDED THE COMMITTEE FOR A JOB WELL DONE. MAYOR CONYERS SUGGESTED THIS GO TO A WORKSHOP FOR DISCUSSION ON HOW TO IMPLEMENT THIS REPORT. COUNCILMAN HOLYK, REID AND POWELL WERE ALSO IN FAVOR OF THE REPORT AND FELT THE COMMITTEE DID AN EXCELLENT JOB. IT WAS RECOMMENDED BY THE MAYOR THAT PERHAPS THE COMMITTEE SHOULD NOW BE DISBANDED AND THE COUNCIL SHOULD CONSIDER A PROJECT COORDINATOR TO MOVE THIS PROJECT FORWARD. MR. JONES AND THE COMMITTEE WERE PLEASED TO HEAR THIS. THEY HAVE NO PROBLEM WITH BEING DISOLVED AND MR. JONES STATED THAT ALL MEMBERS WOULD BE AVAILABLE INDIVIDUALLY AFTER THIS HAPPENED TO WORK WITH THE COORDINATOR ANY WAY THAT THEY COULD. MR. JONES REQUESTED THAT THE COUNCIL GIVE THE COMMITTEE SOME TYPE OF FORMAL MOTION IF THAT WAS PROPER AT THIS TIME, VICE MAYOR OBERBECK MADE A MOTION TO ACCEPT THE REPORT AS PREPARED BY THE RIVERFRONT COMMITTEE AND PROCEED AS SOON AS POSSIBLE WITH TRYING TO IMPLEMENT IT SECOND BY COUNCILMAN REID. THE CITY ATTORNEY UNDER DISCUSSION STATED THAT HE FELT THE PLANNING AND ZONING COMMISSION SHOULD BE THE FIRST TO ACT ON THE REPORT. VICE MAYOR OBERBECK THEN AMENDED HIS MOTION TO INCLUDE WITH APPROVAL OF PLANNING AND ZONING - COUNCILMAN REID AGREED TO AMEND HIS SECOND. The new garage will replace a small and inadequate facility located on the same site. The old garage will continue to be used by Public Works for other uses. The low bid of Flinn Construction is $65,170.68. Flinn was found qualified and capable of performing the work per the plans and specifications and in a timely manner. There will be additional work in addition to this contract, including: oil - water separator and wastewater recycling system, hydraulic truck lift, site work, and renovations to the existing building. McClary ~' ~ %~ General Development Corporation BACKGROUND On August 15, 1979, General Development Corporation ("GDC") and the city of Sebastian entered into a written agreement. This contract, among other things, outlined certain responsibilities and obligations of GDC in constructing and maintaining infrastructure (public streets and drainage improvements) and provided for a procedure for these improvements to be accepted by the city for perpetual maintenance. On April 6, 1990, GDC filed for protection under Chapter 11 of the Federal Bankruptcy Laws. since that date, GDC has failed to meet its obligations under the terms of the 1979 agreement. I have met with GDC officials on six (6) occasions to negotiate a new agreement. Any new agreement would supersede the 1979 contract and relieve GDC of its responsibilities and obligations under the 1979 agreement in exchange for real property conveyed by GDC to the City. Under the terms of a new agreement, the city would assume responsibility for the maintenance of infrastructure built to date. However, the city would not be assuming GDC'S responsibilities under the 1979 agreement. Re: General Development Corporation Page 4 The total estimate of GDC's obligations under the 1979 Agreement amount to $4,256,450. I point out that this estimate is not comprehensive in that, it does not include an estimate of maintenance expenses GDC would otherwise incur for street and drainage facilities until they would otherwise be turned over to the City for maintenance. GENERAL DEVELO~N~NT CORPORATION - ASSETS If the City is to release GDC of its 1979 contractual obligations and assume responsibility for the maintenance of the infrastructure constructed to date, we should receive something of value in exchange. It is obvious from the bankruptcy filing that GDC is cash short. However, GDC does own certain real estate within the City which may have little value to a private owner, but considerable value to the City. Therefore, we have identified certain GDC real estate holdings, which GDC would exchange for a release of its contractual obligations. These properties are listed in Exhibit "C" and are valued at $2,418,990. SUMF~.RY ~/~D RE, gOMMENDATION It is our hope that GDC is able to successfully reorganize and recover its economic health. However, until GDC has successfully reorganized, street and drainage facilities must be properly operated and maintained in order to promote the public health, safety and welfare. The property owners and residents of Sebastian have no one else to turn to other than the City. Further, GGC must find some way of relieving itself of economic liabilities if it is to successfully reorganize. Therefore, both GDC and the City are well motivated to finding a way for the property owners and citizens to be served. I believe it would be in the best interest of our citizens and property owners, the City and GDC to enter into an agreement as outlined above. Upon approval of this memorandum by the Sebastian City Council, this outline should be submitted to GDC for its approval.
