AERONAUTICAL HANGAR LEASE AGREEMENT
Between
THE CITY OF SEBASTIAN
AND
PROFLITE MANAGEMENT LLC
The City of Sebastian (Landlord) shall lease PROFLITE
MANAGEMENT, LLC (Tenant) a 16,100 SF Hangar & Office Space
facility, located at 402 Airport Drive East at the Sebastian Municipal
Airport.

SHARED CONSTRUCTION COST AGREEMENT BETWEEN THE
CITY OF SEBASTIAN
AND
PROFLIGHT MANAGEMENT LLC
FOR OFFICE CONSTRUCTION IMPROVEMENTS TO HANGAR GD'
LOCATED AT 402 AIRPORT DRIVE EAST ON
SEBASTIAN MUNICIPAL AIRPORT
WHEREAS, PROFLIGHT MANAGEMENT LLC (Tenant) is the current lease holder of Hangar `D',
a multipurpose hangar/office building at Sebastian Municipal Airport, and
WHEREAS, Hangar `D' is a 16,100 SF multipurpose hangar building with attached office spaces,
belonging to the City of Sebastian (Lessor), and
WHEREAS, PROFLIGHT MANAGEMENT LLC requires additional office space to support its
business activities and wishes to create new office space within Hangar `D' by finishing the buildout of
the open office shells into conditioned office space, and
WHEREAS, the City of Sebastian is agreeable to the construction and improvements to Hangar `D' and
its new office spaces through its approval of the final construction plans,
WITNESSETH;
The PARTIES hereby agree and covenant to participate to the following Cost Share Agreement:
l . Tenant agrees to donate $80,000 up front to the City of Sebastian representing 20% of the initial
estimated construction budget of $400,000.
2. The $80,000 amount will be in lieu of rent on the facility, for a term of 8 months, commencing in
conjunction with the signed Lease for the facility. During this period, all planning, permitting,
construction and the Certificate of Occupancy should be completed. Full rent will commence
upon the first day of the ninth month regardless of work progress. Upon the receipt of acceptable
justification from the Tenant, said time limits may be extended by the Lessor.
3. The City of Sebastian — as part of its purchasing practices — will create an invitation leading to the
award of a Design -Build Firm to carry out the construction and improvements to Hangar `D' and
the office spaces. The Tenant will consult with the Design -Build Firm to provide input for a
conceptual design.
4. The $80,000 payment will be due in full to the City of Sebastian upon the signed acceptance by
the City of a contract with a contractor chosen through the bid/award process.
5. The City Manager or his/her designee will consult and agree upon the design and scope of the
proposed construction and improvements to Hangar `D' and its office spaces.
6. Upon approval by the Lessor, Tenant will make every reasonable effort, in good faith and using
due diligence, perform all design and necessary participation in the selected contractor's process

as promptly as possible. Tenant will not commence any construction work without proper
permits and approvals from the City of Sebastian.
If the Guaranteed Maximum Price (GMP) is more than S400,000, the Tenant aerees to oav 100%
of anv amount over 5400.000.
8. All improvements to Hangar `D' and the office spaces become the property of the City of
Sebastian at the end of the lease term.
9. All terms contained in the Lease Agreement shall remain in full force and effect. In the event of
conflict, the more restrictive covenant shall apply.
