THIS CONTRACT is made and entered into on October 27, 2021 by and between Citv of Sebastian,
hereinafter referred to as "Client" AND Cheryl A. Scranton, dba Blue Ribbon Catering hereinafter referred
to as the Caterer.
NOW, THEREFORE, in consideration of the mutual covenants and promises hereinafter set
Forth, the parties hereto agree as follows:
1. Term
Client and Caterer agree that this Catering Contract between the parties is for the
Catering services of an event that shall commence on December 4'b. 2021. The time and place
will be written on the clients invoice and/or written in the event details (0) of this contract.
This contract may be extended and or renewed with a new contract, written in agreement of both
parties, 4 weeks prior to the scheduled event date.
2. Services Provided
Client hereby agrees to engage the Caterer to provide the Client with the following services:

3. Event Details
A. This event will take place on December 4' 2021.
B. The event will be located at the Elks Lodge, Fleming Street, Sebastian FL
C. The prices quoted in this Contract and the amount of food prepared and any other necessary
preparations are made based on an estimate of 122 People in attendance at the event.
(guest count to be determined, price per person may increase if the guest count decreases)
It is the anticipation of both parties that all food items prepared will be adequate to satisfy
122 people. (guest count to be determined as we get closer to the date)

4. Compensation and Additional Services
For the Services rendered by the Caterer as required by this Contract, the Client will pay
to the Caterer a compensation amounting to (to be determined when we get a final guest count)
See event details 3C.
This compensation is payable as follows:
A $ deposit must be paid and postmarked 15 days from the signature date of this
contract to hold the date on the Caterers calendar. The remaining balance is due on the
date of the event, before service is rendered, in the form of a check or cash, unless other arrangements
for payment have been agreed upon by the caterer.
The Client agrees to pay for any and all additional services requested by the client, not included in this
contract, but requested at a later date for this event by the Client.
5. Guest Count
Client agrees to confirm the guaranteed guest count at least 10 days prior to the Event.
Any significant increase to the guaranteed guest count is subject to prior approval of the
Caterer. If the actual number of guests attending the event is less than the guaranteed
guest count, the Client will still be charged for the agreed -upon guest count.
If the number of anticipated guests is decreased in number before the guaranteed guest count,
the price per person may impact an increase at the Caterers discretion, from the original quote.
6. Force Majeure
Caterer shall not be liable for the losses resulting from non fulfillment of any terms or
provisions of this Contract, if the caterer shall be prevented or delayed from performing in
whole or in part because of war, riot, strike, and/or flood or by any other act or occurrence
within the control of the Caterer, in which the Caterer could not prevent.
The performance of the agreement by either party shall be subject to force majeure, including but not
limited to acts of God, fire, flood, natural disaster, war or threats of terrorism, civil disorder,
unauthorized strikes, governmental regulation or advisory, recognized health threats as determined by
the World Health Organization, the Centers for Disease Control, or local governmental authority or
health agencies(including buy not limited to the health threats of Covid-19 or similar occurrence beyond
the control of the parties, where any of those factors, circumstances, situations, or conditions or similar
ones prevent, dissuade, or unreasonably delay at least 50 percent of prospective Event attendees from
appearing at the Event, or where any of them make it illegal, impossible, inadvisable, or commercially
impracticable to hold the Event or to fully perform the terms of this Agreement. The Agreement may be
canceled by either party, without liability, damages, fees, or penalty, and any unused deposits or amounts
paid shall be refunded, for any one or more of the above reasons, by written notice to the other party.
Cancellation (other than Force Majeure)
In the event of cancellation of the event at any time by the Client, the Caterer is
entitled to forfeit the $�e deposit for holding the date on the Calendar.
Event cancellation prior to the function date:
Cancelled 21 days prior - Caterer will be compensated 25% of the Balance Due.
Cancelled 14 days prior - Caterer will be compensated 50% of the Balance Due.
Cancelled 7 or less days prior - Caterer will be compensated 100% of the Balance Due.
S. Indemnification
Client agrees to indemnify and hold harmless the Caterer for any damage, theft or loss of
caterer's property (including equipment, plates, utensils and motor vehicles) occurring at the
event that is caused by persons attending the event.
9. Rules and Regulations
Caterer shall work in compliance with county health department rules and regulations
with regard to hygienic preparation and service of food.
10. Applicable Law
This Contract shall be construed under and in accordance with the laws of Florida and
shall constitute the entire contract of the parties with respect to the subject matter, and
supersedes any and all other agreements, understandings, statements or representations,
either in oral agreement or in writing.
11. Food Storage & Maintenance
For DroD Off Service: The Client agrees that they are solely responsible for the proper storage and
maintenance of the food from the time of delivery to the time of serving. The Caterer agrees to properly
store and maintain the prepared food until the time of delivery. The Client also agrees
that they understand that improper storage and/or temperature maintenance of the food can
increase the chance for food -related illnesses. The Caterer will not be held liable for any
injury or illness incurred by the Client or guests of the event being catered by
improper care of food after the delivery.
IN WITNESS WHEREOF, the parties hereto have duly executed this Contract

working.
Please make sure you have enough disposable plates and plastic ware that we ordered from last year.
