Before me personally appeared Ed Dodd, who, being duly sworn, deposes
and says:
1. Affiant is a resident of Indian River County, Florida, and over twenty-
one years of age.
2. Affiant is the Mayor of City of Sebastian, a municipal corporation of
the State of Florida, which is in turn the sole owner of the property
located at 100 Veterans Memorial Way, Sebastian, Florida, legally
described in the attached Exhibit "A" ("Property").
3. The City of Sebastian has entered into an agreement to sell the
Property to Stilldragon North America, LLC, a Florida limited
liability company.
4. That the above described Property is free and clear of all liens, taxes,
encumbrances, and claims of every kind, nature, and description
whatsoever, except for real estate and personal property taxes for the
year 2024, and that there are no parties in possession of the Property
except for the current record owner.
5. There are no tenants in possession of the Property.
6. That there are no encumbrances upon the Property other than as may
be set forth in the Title Commitment described below in this
Affidavit.
7. That within the past 90 days there have been no improvements,
alterations, or repairs to the above -described Property for which the
costs thereof remain unpaid, or that within the past 90 days there have
been no claims for labor, materials or supplies furnished for repairing
or improving the same, which remain unpaid except for the following:
None.
8. That there are no mechanic's, materialmen's or laborer's liens or
claims of liens against the above -described Property.
9. That the personal property contained in the buildings on the Property,
if any, is also free and clear of all liens, encumbrances, claims and
demands whatsoever.
IO.That Affiant knows of no violations of County or Municipal
ordinances pertaining to the above -described Property.
11.Affiant states that there are no matters pending against the City of
Sebastian or the Property that could give rise to a lien that would
attach to or otherwise encumber the Property described herein
between the date of the last title examination (being July 25, 2024 @
8:00 a.m., Commitment Number: 2179-2804335 by First American
Title Insurance Company) ("Title Commitment") and the recording of
the interest to be insured; no judgment or decree has been entered in
any court of this State, any other State, or the United States against the
City of Sebastian which remains unsatisfied; that there are no Notices
of Federal Tax Lien against the City of Sebastian outstanding; that
there have been no bankruptcy proceedings filed regarding the City of
Sebastian and that Affiant has not and will not execute any instrument
that would adversely affect the title or interest of any lender relying
hereon.
12.That as to the Property, there are no assessments or liens for unpaid
utilities or for unpaid capital improvements.
13.That Affiant knows of no boundary line disputes, encroachments,
overlaps, threatened or attempted enforcement of governmental police
power or exercise of the right of eminent domain, nor any violation of
any conditions, covenants or restrictions which would work to cause a
forfeiture or reversion of title of the Property.
14.That Affiant know of no improvements or structures that encroach
upon the Property from neighboring lands, or any improvements or
structures on the Property that encroach upon neighboring lands or of
any party other than the City of Sebastian that has claim to possession
of the Property.
15.That the City of Sebastian is not currently a debtor in any pending
bankruptcy proceeding.
16.The City of Sebastian's title to, and possession and enjoyment of, the
Property have been open, notorious, peaceable and undisturbed, and
have never been disputed nor questioned.
17.The City of Sebastian has received no notice of any public hearing
regarding assessment for improvements or changes in applicable
zoning laws concerning said Property within the past ninety (90) days.
18.There are no actions or proceedings concerning said Property now
pending in any State or Federal Court which constitute or could
constitute a charge or lien upon said Property.
19.There are no unrecorded easements, claims of easement or rights -of -
way affecting all or any portion of the Property.
20.That this Affidavit is made for the purpose of inducing First American
Title Insurance Company to issue the title insurance for the
transaction referenced herein. The City of Sebastian agrees to
indemnify First American Title Insurance Company for any loss or
damage, including court costs and attorneys' fees, arising from any
intervening liens or other matters which adversely affect the title to
the above -described Property.
21.That the Property is free and clear of any open mortgages or liens,
whether recorded or not recorded.
22.That there are no outstanding or pending claims or law suits against
the City of Sebastian that may constitute the basis for a lien against
the Property.
23.That there are no matters that constitute defects in the City of
Sebastian's title to the Property other than as disclosed by the Title
Commitment referenced above.
24.That there are no matters existing, at the time of delivery of the deed
and/or mortgage contemplated herein, which would adversely affect
the ability of the City of Sebastian to convey the Property.
25.That the City of Sebastian has never been a party to a bankruptcy
filing nor does the City of Sebastian contemplate or anticipate any
such filing.

AMENDMENT TO "AS IS" PURCHASE AND SALE AGREEMENT
This Amendment to that certain "AS IS" Property Sale and Purchase Agreement dated
June 12, 2024, between City of Sebastian, a Municipal Corporation of the State of
Florida, whose address is 1225 Main Street, Sebastian, Florida. 32958 (hereinafter
"City") and Stilldragon North America, LLC, a Florida limited liability company, whose
address is 6844 1501h Place North, Palm Beach Gardens, Florida. 33418 (hereinafter
"Purchaser") for that certain real property located at 100 Veterans Memorial Way,
Sebastian, Florida 32958 PIN 31-39-06-00000-5000-00024.0 ("Property") (collectively
"Agreement") shall provide as follows:
The legal description for the Property which is attached to the Agreement is
hereby deleted and in its place is substituted a new legal description for the Property
which is attached to this Amendment as Exhibit "A".
The parties acknowledge and agree that this new legal description shall also be attached
in place of the original legal description contained on the First American Title Insurance
Company Commitment for Title Insurance, Commitment Number 2179-2804335,
Effective Date: July 09, 2024 at 8:00 a.m., amended Effective Date: July 25, 2024 (the
"Title Commitment"). Furthermore, the parties acknowledge and agree that this new
legal description shall also be attached in place of the original legal description contained
on all other documents associated with this transaction.
IN WITNESS WHEREOF, City and Purchaser have hereunto set Grantor's hand
and seal the day and year first above written.

And we do for ourselves and our heirs, executors and administrators, covenant
and with the said parties of the second part, and their executors, administrators and
assigns that we are the lawful owners of the said goods and chattels; that they are free
from all encumbrances; that we have good right to sell the same aforesaid; and that we
will warrant and defend the sale of said property, goods and chattel hereby made, unto
the parties of the second part, and their executors, administrators, and assigns against the
lawful claims of all persons whomsoever.

LLC, a Florida limited liability company, whose address is 6844 150a' Place North, Palm
Beach Gardens, Florida. 33418 (hereinafter "Grantee").
WITNESSETH, that Grantor, for and in consideration of the sum of TEN
($10.00) Dollars and other good and valuable consideration, to Grantor in hand paid by
Grantee, the receipt and sufficiency of which is hereby acknowledged, has granted,
bargained, and sold to the Grantee, and Grantee's successors and assigns forever, the
following described lands, situate, laying and being in Sebastian, Indian River County,
