Mayor Firtion called the Special Meeting to order at 1:34 p.m. 2. ROLLCALL City Council Present: Mayor Arthur L. Special City Council Meeting February 15, 1996 Page Two MOTION by ComngCartwright I would like to add "discuss interim City Manager measures". Vice Mayor Corum said that was in the form of a motion. ROLL CALL: Vice Mayor Corum - aye Mrs. Cartwright - aye Mrs. Damp - aye Mr. Halloran - aye Mayor Firtion - aye MOTION CARRIED 5-0 Mayor Firtion said Council would go through the list provided by the Human Resources Director. MOTION by Corum/Cartwright I would like to see us discuss the salary first. Mayor Firtion called for a vote. ROLL CALL: Mrs. Cartwright - aye Mrs. Damp - aye Mr. Halloran - aye Mayor Firtion - aye Vice Mayor Corum - aye MOTION CARRIED 5-0 Salary: - Proposal - $65,000 Annually MOTION by Damp I move that we approve the $65,000. Motion died for lack of a second. Special City Council Meeting February 15, 1996 Page Three MOTION by CartwrighffCorum I move to offer Mr. Frame $58,000 to start, and $60,000 in three months after a probationary period. ROLL CALL: Mrs. Damp - nay Mr. Halloran - nay Mayor Firtion - nay Vice Mayor Corum - aye Mrs. Cartwright - aye MOTION FAILED 2-3 (Damp, Halloran, Firtion - nay) MOTION by Comm~alloran I move to offer $60,000 to start to Mr. Frame. Mr. Halloran seconded with the addition of"a six month review". Mr. Halloran clarified he did not consider this a probation but a time to assess. ROLL CALL: Mr. Halloran Mayor Firtion Vice Mayor Corem Mrs. Canwright Mrs. Damp - aye - aye - aye - aye MOTION CARRIED 5-0 Prof~siortal Du~s, Memberships: Proposal- City to pay the professional dues, and subscriptions for the Manager necessary and desirable for his continued professional participation and growth. This is the current City policy. MOTION by Cartwright/Halloran I move to keep the policy the way it is and reimburse as budgeted for professional dues and memberships. It was clarified that the City budgets for these items. MOTION by Corum/Cartwright I move to keep the conference and seminar budget as is for the new City Manager. MOTION by Conun/Halloran I move to that effect. ROLL CALL: Mrs. Damp Mr. Halloran Mayor Firtion Vice Mayor Corum Mrs. Cartwright - aye - aye - aye - aye MOTION CARRIED 5-0 Retirement: Proposal - City to contribute on matching dollar for dollar basis not to exceed $3,750. O0 per annum in a 457 deferred compensation program Mayor Firtion noted this is the current policy. MOTION by Corum/C~ght I move to keep it as is. MOTION by Corum/Halloran I move to that effect. ROLL CALL: Mayor Firtion Vice Mayor Corum Mrs. Cartwright Mrs. Damp Mr. Halloran - aye - aye - aye - aye MOTION CARRIED 5-0 Automobile: Proposal - City agrees to provide either a city owned or leased vehicle for the Manager's exclusive and unrestricted use including all insurance, maintenance, and operating costs Mayor Firtion recommended changing the policy, put the City Manager's city provided vehicle back in the Police Department fleet and give a car allowance. The Human Resources Director said a previous City Manager had received a $340 per month vehicle allowance. The Human Resources Director noted that the city's insurance policy does not allow unrestricted use of a city vehicle. 6 Special City Council Meeting February 15, 1996 Page Seven The Finance Director said monthly automobile expenses including lease, insurance, fuel and maintenance average about $350 per month. The City Manager noted that a vehicle allowance is taxable income and said he felt that $350 is low. MOTION by Cartwright/Halloran I move to offer Mr. Frame $350 a month car allowance as miscellaneous taxable income or the policy we have now which is the city car with restricted use. ROLL CALL: Vice Mayor Corem - aye Mrs. Cartwfi~t - aye Mrs. Damp - aye Mr. Halloran - aye Mayor Firtion - aye MOTION CARRIED 5-0 Mr. Halloran suggested that he hoped Council was arriving at proposals for whatever candidate the City goes with. Life Ins!lrance: - Proposal - City to provide term life insurance in an amount not to exceed twice the Manager's annual salary subject to approval of policy coverage by insurance carrier The City currently offers $6,000 term life insurance and Mayor Firtion suggested staying with the current policy. MOTION by Cartwright/Halloran I move to keep the city policy as it is for life insurance. Special City Council Meeting February 15, 1996 Page Eight ROLL CALL: Mrs. Cartwright Mrs. Damp Mr. Halloran Mayor Firtion Vice Mayor Corum - aye - aye - aye - aye MOTION CARRIED 5-0 Vacatioll: Proposal- 3 weeks per year duringftrst 60 months of employment and 4 weeks thereafter; Manager to receive full compensation for any accrued vacation at time of termination of employment Mayor Firtion noted suggested keeping the city policy as it currently exists with two weeks up to five years, three weeks thereafter up to ten, and four weeks after ten years. MOTION by Cartwright/Halloran I move to keep the policy for vacation the same rate provided to all employees of the city. ROLL CALL: Mrs. Damp - aye Mr. Halloran - aye Mayor Firtion - aye Vice Mayor Corum - aye Mrs. Cartwright - aye MOTION CARRIED 5-0 Si~]~ Leave: Proposal - Manager shall accrue sick leave at the same accrual rate as all other employees of the City; Manager to receive full compensation for any accrued sick leave at time of termination of employment Mayor Firtion noted that the current policy is that all employees receive a portion of their accumulated sick leave after ten years. 8 Special City Council Meeting February 15, 1996 Page Nine The Human Resources said union employees receive ½ or 1/3; non-union employees receive 1/3 of their balance after ten years of employment. MOTION by Cartwright/Halloran I move to leave the policy the way it is for the City Manager, not entitled to compensation for accrued sick leave. ROLL CALL: Mr. Halloran - aye Mayor Firtion - aye Vice Mayor Corum - aye Mrs. Cartwright - aye Mrs. Damp - nay MOTION CARRIED 4-1 (Damp - nay) General Benefita: Proposal - Manager shall receive all other benefits that other city employees are entitled to receive including cost of living increases MOTION by Comm/Halloran I move to keep it as is. (CPI - One time lump sum - not compounded) The Human Resources Director said non-union employees generally get the same as CWA which was a lump sum bonus last year; said CWA and non- union do not have a COLA; and noted that the City Manager is scheduled for an annual evaluation at which time Council will direct the appropriate increase. ROLL CALL: Mayor Firtion - aye Vice Mayor Corem - aye Mrs. Cartwright - aye Mrs. Damp - aye Mr. Halloran - aye MOTION CARPdED 5-0 Special City Council Meeting February 15, 1996 Page Ten Terminatio~l: Proposal - In a case of termination without cause, the city shall provide a minimum of 180 days written notice or provide a lump sum payment equal to 180 days of salary at the rate of pay at time of termination. In addition, manager would be entitled to all vacation and any sick time accumulated while in Sebastian A lengthy discussion of the termination clause took place. TAPE I - SIDE Ii (2:21 p.m.) Mr. Halloran noted that City Council had already voted against Mr. Frame's request for accumulated sick time. The City Manager suggested that Council offer 90 day termination by either party for no cause with certain stipulations, or if the termination is with cause Council would provide a hearing process, and at the end of a certain number of years consider increasing the termination time. MOTION by Cartwright/Corum I'll move to that - that will be my motion. After further discussion the City Clerk reiterated the motion as "ninety days notice whichever way and then consideration of after two years an increase of the notice". ROLL CALL: Mayor Firtion - aye Vice Mayor Corum - nay Mrs. Cartwright - nay Mrs. Damp - aye Mr. Halloran - aye MOTION CARRIED 3-2 (Corem, Cartwright - nay) I1 Special City Council Meeting February 15, 1996 Page Twelve Relocatioll t3xpcnses: Proposal - Manager shall submit an invoice of costs associated with the moving expenses of Manager from Port Charlotte, FL to Sebastian; City to pay relocation costs associated with the moving expenses not to exceed $3,000 MOTION by Corum/Cartwright I move that we keep that relocation expenses clause as is now. (No relocation costs) ROLL CALL: Mr. Halloran - aye Mayor Firtion - nay Vice Mayor Corem - aye Mrs. Cartwright - aye Mrs. Damp - nay MOTION CARRIED 3-2 (Firtion, Damp - nay) Li~llg Expenses: Proposal- City agrees to pay the Manager a living allowance of Fifty Dollars ($50. 00) per day for five (5) day a week for a maximum period of six weeks MOTION by Halloran/Cartwright I move to grant the requested living expenses $50 a day for five days a week for a maximum period of six weeks. ROLL CALL: Vice Mayor Corum - aye Mrs. Cartwright - aye Mrs. Damp - aye Mr. Halloran - aye Mayor Firtion - aye MOTION CARRIED 5-0 Mayor Firtion again requested some consideration for relocation expenses. 12 Special City Council Meeting February 15, 1996 Page Thirteen MOTION by Halloran/Corum I move that we make this offer and if he doesn't accept it, we offer to the number two selection.* Vice Mayor Corum questioned whether it was appropriate to discuss the number two candidate at this time, relating problems Veto Beach encountered. She suggested that a new motion could be made that this is the final offer. *Mayor Firtion suggested that the motion be "that we will offer to Mr. Frame, and cut it off fight there". Mr. Halloran and Mrs. Cartwright amended the motion. ROLL CALL: Mrs. Cartwright - aye Mrs. Damp - aye Mr. Halloran - aye Mayor Firtion - aye Vice Mayor Corum - aye MOTION CARRIED 5-0 B. DJ~CI!SS Interim City Manager Meature~ Vice Mayor Corum suggested appointing the City Clerk as interim City Manager if needed with compensation and an additional 1.5% increase in her City Clerk salary following the arrival of the new City Manager. The City Clerk discussed the offer, expressed appreciation but declined. Mr. Halloran said the City Clerk has declined and suggested waiting until after Mr. Frame was contacted with the City's offer to decide on an interim. TAPE II - SIDE I (3:09 p.m.) Mayor Firfion gaveled and adjourned the meeting at 3:10 p.m. He and Mrs. Damp left the meeting at that time. 13 Special City Council Meeting February 15, 1996 Page Fourteen Vice Mayor Corum, Mrs. Cartwright and Mr. Halloran remained and continued their discussion briefly.
