Review Bids and Award Contract for Central Garage Construction (City Manager Recommendation dated 5/24/91, Bid Tabulation Form, Cit~ Engineer Memo dated 5/24/91) The City Manager gave a brief narrative on the recommended bid award. The Director of Community Development said Flinn Construction had confirmed with Fischer & Sons that if the existing fill is clean it can go back in and work can begin immediately. MOTION by Oberbeck/Holyk I move we award the bid to Flinn Construction in the amount of $65,170.68. Vice Mayor Oberbeck turned over a proposal from Mobil Reclaim, regarding removal of contaminated soil, to staff. 90.290 Review GDC Contract (City Manager Recommendation dated 5/24/91) The City Manager reiterated his report to Council dated May 24, 1991 (see attached) and requested authorization to submit his recommendation to GDC to see if the terms in concept are agreeable to them. McClary /~. ~ %~ General Development Corporation BACK~ROUND On August 15, 1979, General Development Corporation ("GDC") and the City of Sebastian entered into a written agreement. This contract, among other things, outlined certain responsibilities and obligations of GDC in constructing and maintaining infrastructure (public streets and drainage improvements) and provided for a procedure for these improvements to be accepted by the City for perpetual maintenance. On April 6, 1990, GDC filed for protection under Chapter 11 of the Federal Bankruptcy Laws. Since that date, GDC has failed to meet its obligations under the terms of the 1979 agreement. I have met with GDC officials on six (6) occasions to negotiate a new agreement. Any new agreement would supersede the 1979 contract and relieve GDC of its responsibilities and obligations under the 1979 agreement in exchange for real property conveyed by GDC to the City. Under the terms of a new agreement, the City would assume responsibility for the maintenance of infrastructure built to date. However, the City would not be assuming GDC's responsibilities under the 1979 agreement. Under no circumstances will the city obligate itself to construct improvements which GDC would have built under the terms of the 1979 agreement. (Example: GDC is required to construct certain seawalls along the Elkcam Waterway at an estimated cost of $1.2 million. The city may choose to construct the seawalls, or to install rip rap, or to do nothing.) The point is that the Cit~ of Sebastian is not a developer and must make no pretense that ~t is to assume GDC's civil liabilities, responsibilities, representations or promises. Re: General Development Corporation Page #2 Further, the City will not construct streets or drainage structures in portions of Unit 16 or 17 which are platted but not constructed. CONTRACT ELEI4ENTS In order for the City to properly maintain street and drainage structures constructed by GDC, we must have the necessary property rights to the real property containing these improvements. Generally, the filing of a subdivision plat would provide the proper public dedication of easements and rights-of- way for street and drainage facilities. However, through the years GDC has converted residential lots, "park" tracts and other parcels from their intended use to house drainage structures. In most cases, this was done in order for GDC to meet its permitting requirements for storm water management. The parcels listed on "Exhibit A" must be conveyed to the City if we are to maintain the retention ponds or other drainage structures located on this property. Further, the conveyance of this property should not be considered "assets", since they are an integral part of the drainage system. Included with "Exhibit A" are the following: A - 1 A total of 116 residential building lots and 3 "tracts" converted to drainage parcels in Unit 17. Please note that Tract "H", Block 574 and; Tract "O", Block 593 are "designated" parks. A - 2 Easement Assignments for drainage easements granted by Shiloh Youth Ranch and Gulf Stream Council, Inc. Boy Scouts of America. A - 3 Four (4) parcels in Unit 17 converted to drainage use. Please note that these tracts are "designated" parks. A - 4 Lots necessary for access to a drainage control structure ( an earthen dam) on the Elkcam Waterway. A - 5 A Unit 16 tract converted to drainage. note that this tract is a "designated" park. Please Additionally, GDC must deed the remaining parcels for Hardee Park. This should not be considered as an "asset" since GDC simply failed to convey this parcel prior to filing for bankruptcy. ~ENERAL DEVELOPMENT CORPORATION - LIaBILiTIES The 1979 Agreement addressed infrastructure to be constructed by GDC and acceptance of that infrastructure by the City. Generally, the city accepted street and drainage facilities in Units i ~ 15. Streets and drainage facilities in Units 16 and 17 would be maintained by GDC until all Units 16 and 17 streets and drainage were completed and, at that point, and assuming they met 1979 contract standards, would be turned over to the city for perpetual maintenance. Re: General Development Corporation Page 3 The agreement also required GDC to construct seawalls, a major drainage structure in the Elkcam Waterway, a retention lake in the Collier Waterway, and to maintain all major drainage canals south of CR 512. Further, the agreement required GDC to correct any misaligned drainage ditches in any of the seventeen (17) Sebastian Highlands Units. Exhibit "B" outlines the estimated cost of GDC's liabilities under the terms of the 1979 Agreement. Following is a brief discussion of those elements: 1. GDC has failed to maintain the streets and drainage in Unit 16. Mosby & Associates, Inc., the City's consulting engineers, evaluated the cost of repairs in Unit 16 and identified $73,700 to repair and clean curbs and gutters, improve existing drainage ditches, and to replace broken curb inlets. The Mosby report also recommended a one inch overlay of existing streets for a cost of $147,000. However, overlays would not be required unless the streets did not meet the minimum specifications of the 1979 Agreement. The streets in Unit 16 appear to meet those minimum specifications. 2. The Mosby report also analyzed the improvements in Unit 17, and the repairs which are necessary to bring these facilities into compliance with the 1979 contract standards. These repairs are estimated at a cost of $1,364,472. 3. The water control structure and seawalls on the Elkcam Waterway were analyzed in Mosby's report. The balance of GDC contractual work to be done amounts to $1,531,250. 4. A conveyance drainage ditch running parallel to and south of Wentworth Street, commonly referred to as the "Wentworth Ditch" is grossly misaligned and is outside the legal easement granted to the City by GDC. The realignment costs are estimated at $103,800. 5. The 1979 Agreement requires GDC to complete all drainage improvements within the major canals. This includes a stormwater retention lake within the Collier Waterway located in Unit 11. Mosby has estimated this construction at $695,100. 6. In order to protect the public health, safety and welfare the City has authorized rapairs to street and drainage structures in Units 16 and 17. The total amount spent to date is $71,200. 7. As noted above, GDC is required by the contract to reconstruct improperly aligned drainage ditches. We estimate that $100,000 is necessary to correct conveyance ditches throughout the Sebastian Highlands. 8. Finally, as a result of an inspection of the City's bridges by the Florida Department of Transportation, the Englar bridge over Collier Waterway in Unit 16 requires some $10,000 of repairs. PRESENT; ALL COUNCIL MEMBERS, RIVERFRONT STUDY MEMBERS AND PLANNING AND ZONING MEMBERS WERE PRESENT WITH THE EXCEPTION OF JOHN LINDSEY, ALTERNATE FOR PLANNING AND ZONING WHO IS EXCUSED. ALSO PRESENT; ROBERT S. MCCLARY, CITY MANAGER BRUCE COOPER, DIRECTOR OF COMMUNITY DEVELOPMENT, LINDA KINCHEN, SECRETARY, CHARLES NASH, CiTY ATTORNEY AND CATHERINE HILTON, CITY PLANNER MAYOR CONYERS TURNED THE MEETING OVER TO PETER dONES, CHAIRMAN OF THE RIVERFRONT COMMITTEE FOR THE PRESENTATION. MR. JONES INDICATES THAT MR. DILL, MR, COLLINS AND MRS. TRIPP WILL ALSO TAKE PART IN THE PRESENTATION. AFTER PRESENTATION WAS COMPLETE VICE-MAYOR OBERBECK COMMENDED THE COMMITTEE FOR A JOB WELL DONE AND ESPECIALLY FOR PRODUCING A FUNDING REPORT TO THE COUNCIL FOR THIS PROJECT, THE MAYOR HAD SOME PROBLEMS WITH THE SMALL NUMBER OF RETURNS FROM THE QUESTIONNAIRE BUT HE ALSO COMMENDED THE COMMITTEE FOR A JOB WELL DONE. MAYOR CONYERS SUGGESTED THIS GO TO A WORKSHOP FOR DISCUSSION ON HOW TO IMPLEMENT THIS REPORT. COUNCILMAN HOLYK, REID AND POWELL WERE ALSO IN FAVOR OF THE REPORT AND FELT THE COMMITTEE DID AN EXCELLENT JOB. iT WAS RECOMMENDED BY THE MAYOR THAT PERHAPS THE COMMITTEE SHOULD NOW BE DISBANDED AND THE COUNCIL SHOULD CONSIDER A PROJECT COORDINATOR TO MOVE THIS PROJECT FORWARD. MR. JONES AND THE COMMITTEE WERE PLEASED TO HEAR THIS, THEY HAVE NO PROBLEM WITH BEING DISOLVED AND MR. JONES STATED THAT ALL MEMBERS WOULD BE AVAILABLE INDIVIDUALLY AFTER THIS HAPPENED TO WORK WITH THE COORDINATOR ANY WAY THAT THEY COULD, MR. JONES REQUESTED THAT THE COUNCIL GIVE THE COMMITTEE SOME TYPE OF FORMAL MOTION IF THAT WAS PROPER AT THIS TIME, VICE MAYOR OBERBECK MADE A MOTION TO ACCEPT THE REPORT AS PREPARED BY THE RIVERFRONT COMMITTEE AND PROCEED AS SOON AS POSSIBLE WITH TRYING TO IMPLEMENT IT SECOND BY COUNCILMAN REID. THE CITY ATTORNEY UNDER DISCUSSION STATED THAT HE FELT THE PLANNING AND ZONING COMMISSION SHOULD BE THE FIRST TO ACT ON THE REPORT. VICE MAYOR OBERBECK THEN AMENDED HIS MOTION TO INCLUDE WITH APPROVAL OF PLANNING AND ZONING - COUNCILMAN REID AGREED TO AMEND HIS SECOND. ROLL CALL ON THE MOTION WAS UNANIMOUS. MAYOR CONYERS OPENED THE MEETING TO THE PUBLIC FOR INPUT. RUTH SULLIVAN AND RON HARSH SPOKE RECESS CALLED AT 8:45 P,M. BACK AT 8:55 P,M, ALL PRESENT DAN CATTOR AND ROBERT BRODIE SPOKE AFTER THE RECESS BRIEFLY THE MAYOR ANNOUNCED THAT CHRIS HAMRICK WILL BE ARRIVING IN SEBASTIAN SATURDAY AT MELBOURNE AIRPORT AT ~:40 P.M IF RESIDENTS WOULD LIKE TO WELCOME HIM BACK FROM THE WAR AND ALSO THAT HE HAD BEEN ASKED TO BE THE GRAND MARSHAL FOR THE bTH OF JULY, THERE BEING NO FURTHER BUSINESS THE MEETING WAS ADJOURNED AT g:o0 P.M.
