HomeMy WebLinkAbout07011950 Prend. er~ast Fahey & Co., Inc., agree to consumate an exchange of not less than 90% of the presently outstanding $188,000.00 bonds by July l, 1950. Upon completion of the exchange of 90~ of the bonds City agrees to pay Prendergast Fah~y & Co., Inc. a fee of 2~ of the principal amount of the bonds refunded and in the event that exchanges total 95~ or more of par value the total compensation to Prendergast Fahey & Co., Inc. will be $$,000.00. The City agrees tha.t the Ordinance authorizing the new refunding bonds will contain the clauses usual to such Ordinance relating to the reversion of interest rates in event of default, the apolication of sinking funds and the pledge of the full faith and credit of the City. Prendergast Fahey & Co., Inc., agrees to pay from its compensation all expenses incidental to the refunding with the exception of the fee of the City Attorney. Plunkett___ Treasurer There was considerable discussion of the said proposal and after such discussion the following resolution was offered by Councilman Sembler, who moved its adoption which was seconded by Councilman Parks and which said resolution was as follows, to-wit: Be it resolved by the City Council of the City of meeting Sebastian, Florida, in special/aBsembled, that the proPosal of Prenderg~st Fahey & Co., Inc., dated March 15, 1950, for the refunding of $188,000.00 presentlyoutstanding City of Sebastian, Florida bonds which has been this day presented to the City Council of the City of Sebastian, Florida and which proposal will be spread upon the minutes of this meeting and incorporated therein be, and the same is hereby, accepted with the followin~ exceptions and reservations, to-wit: 1. That the ~58,000.00 of serial bonds shall., mature ~l,000.00 each year 1955 to 1960 inclusive, 22,000.00 each year 1961 to 1967, inclusive, $3,000.00 each year 1968 to 1977, inclusive, and ~,000.00 each ye-r for 1978 andl979 and shall bear interest at the ra.te of 2~% per annu~. 2. Middleton and City Attorney, J~mes T. Vocelle. The City Clerk presented and there was read to the Council proposal from Prendergast Fahey & Company, Inc., reg~.rding the refunding of the bonded indebtedness of said City which proposal was in words and figures as follows, to-wit: March 15th, 1950. Honorable Mayor and City Council, City of Sebastian, FLORIDA. Gentlemen: We submit the following proposal for the refunding of $188,000.00 presently outstanding City of Sebastian, Florida, bonds for consideration and accept~.~mnce not later than March 20tn, 1950. $58,000,00 of the new refunding bonds shall be serial maturity, maturing $1,000.00 each year 1953 to 1960, inclusive, $2,000.00 each year 1961 to 1967, inclusive, $3,000.00 each year 1968 to 1979, inclusive, bearing interest at the rate of 2½% per annum and shall be non-callable. $130,000.00 of the new refunding bonds shall bear interest at the rate of 2 3/4% per annum, shall mature in 1980 but shall be callable on any interest date at par Plus accrued interest. shall be made as quickly as possible and interest shall be adjusted from date of exchange on basis of the rates set forth in the proposal. 3. The fee to be paid Prendergast Fahey & Co. Inc., as set forth in the proPosal shall be paid in four equal installments the first installment to be due July l, 1951, and a like sum on the same day of each succeeding three years thereafter to be represented by non interest bearing coupors as a part of the refunding is~:'ue. ~. Prendergast Fahey & Co., Inc., was to pay the City of Sebastian the sum of $235.00 adjusted interest, paid by the City on outstanding bonds as of January l, 1950, which amount shall ~be credited upon the fee to be paid said Pren~ergast Fahey & Co., Inc., under the terms of their proposal dated March 15, 1950.
