(“Kimley-Horn” or “the Consultant”) is pleased to submit this letter agreement (the “Agreement”) to the City of Sebastian (“City” or “the Client”) for consulting services associated with the Riverview Park Redevelopment (“the Project”). Our project understanding, scope of services, schedule, and fee estimate are provided below. PROJECT UNDERSTANDING It is our understanding that the City of Sebastian has requested the preparation of construction plans for renovation and enhancement to the existing Riverview Park east located east of US Hwy 1 and south of Sebastian Boulevard eastbound in the City of Sebastian for the Phase 1 project area as shown here and generally described as: • Overflow parking in south lot, modifications to existing parking on north side of Harrison Street, relocation of sand volleyball courts, minor improvements to existing Veterans Memorial, of existing splash pad, removal of existing playground and large pavilion, dedicated space for proposed splash pad and kids’ playground area, parallel parking along Indian River Drive, proposed site furnishings and shade structures. Document ID: 8F34106FFEC915CC603083FE9EE96FCA Page 2 kimley-horn.com 445 24th Street, Suite 200; Vero Beach, FL 32960 772-794-4100 Based on initial approval of the Riverview Master Plan “Concept C” by the City, Kimley-Horn understands the City desires to provide pedestrian connectivity between the southern City property and Riverview Park. Kimley-Horn understands that the Client desires to engage a third-party vendor for the preparation for the plans and permitting for the splash pad and the playground in this Phase. Kimley-Horn will include a proposed water line stub to the location of the proposed splash pad for the vendor to connect to. No proposed coordination or design effort is anticipated for this scope Kimley-Horn understands the City would like to propose temporary removable bollards utilized to control traffic flow during high volume events held at the park. Kimley-Horn’s scope of services defined below is based on this understanding: SCOPE OF SERVICES Task 1 – Civil Contract Documents This task consists of the preparation of civil construction plans for the proposed site plan improvements as part of Phase I of the Riverview Park Master Plan Concept “C.” The proposed improvements are limited to the areas outlined: parking to the south of the Veterans Memorial, sidewalk connection from the southern parking to the park north of Harrison Street, parallel parking along Indian River Drive, demolition of existing playground, splash pad, and large pavilion structure. Based upon the City approved plan, Kimley-Horn will develop Construction Documents containing the following information: • Cover Sheet - Kimley-Horn will prepare a Cover Sheet which will consist of project contact information, sheet index, vicinity map and other general project related information. • General Notes Sheet - Kimley-Horn will prepare a General Notes sheet which will consist of general Erosion and Sedimentation Control, Site, Grading and Demolition notes. • Demolition and Erosion and Sedimentation Control Plan - Kimley-Horn will prepare a Demolition Plan and Erosion Control plan that are consistent with the Florida state requirements for erosion control. This plan will include limits of disturbance, limited demolition of items in the work area, and erosion and sedimentation control measures to be implemented by the contractor during construction. Kimley-Horn anticipates that this project will be more than 1 acre of disturbed area and will need to have an NOI filed by the contractor. • Site Plan - Kimley-Horn will prepare a dimensional site plan that conforms to the City of Sebastian permitting requirements which will depict the location of the proposed improvements, location of sidewalks to pedestrian interconnectivity, hardscape, sculpture location, and site furniture. • Site Details - Kimley-Horn will prepare hardscape and site amenity details that conform to the City of Sebastian permitting requirements necessary to construct hardscape features and plaza space elements. • Grading and Drainage Plan - Kimley-Horn will prepare a limited Paving and Grading Plan showing the proposed elevations and surrounding grades of proposed improvements. The plan will identify paved areas for proposed sidewalk, hardscapes and other areas of proposed paving as part of the limited improvements. Limited impacts to the existing underground stormwater system are anticipated. • Utility Plan - Kimley-Horn will prepare a limited Utility Plan showing the proposed stub out connections for the service for the splash pad to be designed by others. Document ID: 8F34106FFEC915CC603083FE9EE96FCA Page 3 kimley-horn.com 445 24th Street, Suite 200; Vero Beach, FL 32960 772-794-4100 • Drainage and Utility Detail Sheets • Contract Document Meetings - Kimley-Horn will attend meetings with the Client during this task as follows: o Two (2) meetings with the Client to review the 60% and Final Contract Documents to be attended by two (2) Kimley-Horn representatives Construction Documentation Submittals will be as follows: • Submit an electronic PDF set in 24”x36” format of the Contract Documents to City of Sebastian for review at 60% and provide a final electronic PDF set at 100% completion. • One (1) opinion of probable cost of construction (OPCC) shall be submitted with the final conceptual design and at 100% completion in 8.5”x11” electronic PDF format. This task consists of the effort to revise the plans based on one round of comments from the City and up to one round of comments from each of the agencies noted below in Task 5. Task 2 – Landscape Contract Documents This task consists of the preparation of landscape construction plans for the proposed site plan improvements as part of Phase I of the Riverview Park Master Plan Concept “C”. The proposed improvements are limited to the areas outlined: parking to the south of the Veterans Memorial, sidewalk connection from the southern parking to the park north of Harrison Street, parallel parking along Indian River Drive, demolition of existing playground, limited hardscape improvements in the area of the existing splash pad and Veterans Memorial, event plaza space, enhanced planting, proposed shade structures and park shelter improvements • Tree Disposition Plan - Based on the survey information provided, Kimley-Horn will prepare a Tree Disposition Plan and Schedule for Riverview Park showing the existing trees within the project site and whether they will remain, be relocated or be removed as required by The City of Sebastian. The final location of all trees to remain and be relocated will be shown on the planting plan. • Landscape Planting Plan - Kimley-Horn will prepare planting documents showing trees, shrubs, ground cover ornamental grasses and vines for the project limits of this task. Planting plans will fix the separation line between turf and planter areas and will identify plant species symbols and plant quantities for each bed limited to the immediate areas of improvements adjacent to the plaza space. Kimley-Horn will prepare typical plant details to communicate the proper result of plant installation, including anchoring details, plant spacing diagram and tree guying. • Schematic Irrigation Plan - This plan is limited to a schematic irrigation plan for just the landscape improvements within the areas of improvement. This does not include full irrigation design in Riverview Park or improvements associated with any scope outside that of Phase 1. • Technical Specifications: Kimley-Horn will prepare notes on the plans. CSI format written specifications are not part of this scope of services. Construction Documentation Submittals will be as follows: • Submit an electronic PDF set in 24”x36” format of the Contract Documents to City of Sebastian for review at 60% and provide a final electronic PDF set at 100% completion. This task consists of the effort to revise the plans based on one round of comments from the City and up to one round of comments from each of the agencies noted below in Task 5. Task 3 – City of Sebastian Site Plan Review Kimley-Horn understands that the project will need to go through the City’s Site Plan review process. This task consists of the effort to submit a Site Plan application to the City for review. Kimley-Horn anticipates up to two rounds of comments from staff. This task also consists of the effort to prepare for and attend one (1) public hearing for the site plan approval to Planning and Zoning Commission in support of the City as the applicant. Task 4 – Preparation of Drainage Analysis Kimley-Horn will prepare a drainage model for the proposed changes meeting the City of Sebastian criteria and the St Johns River Water Management criteria. This task consists of the effort to review the existing drainage design and permit, model the existing and proposed conditions in ICPR and propose drainage upgrades to the park to accommodate the increased runoff and the treatment volume requirements. Kimley-Horn will prepare a drainage memorandum summarizing the existing and proposed conditions to be submitted to St. Johns River Water Management District (SJRWMD) as part of the permitting process in Task 5. Kimley-Horn will update the drainage report up to two times based on reasonable comments from SJRWMD. Task 5 – Permitting Assistance As part of this scope, Kimley-Horn will prepare applications and supporting documentation for the following permit applications anticipated for the proposed improvements: • SJRWMD Environmental Resource Permit Modification • FDEP State NOI – Kimley-Horn will assist the City contractor in their submittal to the State for coverage under the general permit • Indian River County Utility Permit • City of Sebastian Tree Removal Permit There are limited water or sewer improvements anticipated and only for stub to a future service for the splash pad. FDEP water or sewer permit and applications are not anticipated or included in the scope as they would be prepared for by the third-party vendor if needed. Due to the nature of the scope of improvements, Kimley-Horn will respond to up to one (1) round of comments from the permitting jurisdictions above as part of this task. Responding to requests for additional information beyond what is normal and customary and responding to permitting issues beyond our control are outside of this scope of services and will be provided, as needed, as an Additional Service only after prior written authorization by Owner. Efforts to respond to issues raised during the permitting process, which cannot currently be anticipated, shall be considered Additional Services. Document ID: 8F34106FFEC915CC603083FE9EE96FCA Page 5 kimley-horn.com 445 24th Street, Suite 200; Vero Beach, FL 32960 772-794-4100 No work is anticipated within 50’ of the US Highway 1 right of way, therefore a permit application for access or drainage through the Florida Department of Transportation (FDOT) is not anticipated for this project or included in this scope. If the scope of the improvements are modified and work is anticipated to be within 50’ of the FDOT right way, permitting these improvements can be provided as an additional service. There are no anticipated improvements within the coastal construction control line and therefore no permitting with the FDEP for impacts to the line are included. Task 6 – Meeting Attendance As part of this scope, Kimley-Horn will attend up to five (5) meetings with staff to discuss the project. Task 7 – Hardscape Contract Documents • Final Hardscape Plans - Kimley-Horn will develop final, pedestrian hardscape plans for paver pattern/tile design, non-structural planter details, and designed hardscape features that are based on the design development drawings approved by the Client. The hardscape plan will include material layout, type and their relationship to access, steps, and structure within the ground floor for the landscape treatments only. • Site Furnishing Plans and Details - Kimley-Horn will prepare site furniture plans and details indicating site furniture locations, complete with detail notes and legends. • Enlargements, Sections, and Details - Kimley-Horn will develop final plan enlargements, cross sections and details to fix the materials, finishes and critical dimensions of hardscape elements. Task 8 – Pre-Construction and Bidding Assistance Kimley-Horn will prepare a bid set of plans for the City to solicit bids from contractors. Kimley-Horn anticipates the City’s need to respond to bid questions during the bid process. Kimley-Horn understands that the City will lead the process in responding but may require input from Kimley-Horn to appropriately respond. Kimley-Horn will assist the City in responding to up to 10 bid questions. Once the contractor is selected by the City, Kimley-Horn will issue a “Issued for Construction” set of plans. ADDITIONAL SERVICES Any services not specifically provided for in the above scope may be performed as additional services and billed at our hourly rates per the Agreement and upon authorization from the City. Additional services we can provide include, but are not limited to, the following: • Revisions to draft or concepts and / or renderings beyond the provided scope • Landscape and Hardscape Construction Documents beyond those illustrated in the approved concept plan phase 1 • Signage and wayfinding design and permitting • Site visits or meetings beyond those listed above • 3-D modeling and visualization packages • Arboricultural services • Roadway Engineering Services, Maintenance of Traffic Plans • Structural and Electrical Engineering • Value Engineering services Document ID: 8F34106FFEC915CC603083FE9EE96FCA Page 6 kimley-horn.com 445 24th Street, Suite 200; Vero Beach, FL 32960 772-794-4100 • Material testing services • LEED certification services • Planning assistance for variances, zoning, and ROW vacates • Environmental Services and Geotechnical reports • Construction Phase services • Design and engineering of overhead structures, playgrounds, or other structural elements INFORMATION PROVIDED BY THE CLIENT The following information, upon which the consultant may rely, will be provided to Kimley-Horn by the Client or its representative: • Existing plans and surveys on file at the City of Sebastian for Riverview Park • Geotechnical reports for subject property • Previous public comments, surveys, and feedback related to proposed site improvements SCHEDULE Consultant shall provide the services described in the above scope as expeditiously as practical to meet a mutually agreed upon schedule with the Client. “Remainder of page intentionally left blank” Document ID: 8F34106FFEC915CC603083FE9EE96FCA Page 7 kimley-horn.com 445 24th Street, Suite 200; Vero Beach, FL 32960 772-794-4100 FEE AND BILLING Kimley-Horn will perform the services in Tasks 1 through 8 for a lump sum outlined below. In addition to the lump sum labor fee, direct reimbursable expenses such as express delivery services, fees, travel, and other direct expenses will be billed at 1.15 times the cost. All permitting, application, and similar project fees will be paid directly by the Client. Payment will be due within 25 days of your receipt of the invoice. Kimley-Horn, in an effort to expedite invoices and reduce paper waste, offers its clients the option to receive electronic invoices. These invoices come via email in an Adobe PDF format. We can also provide a paper copy via regular mail if requested.
