R-94-02 A RESOLUTION OF THE CITY OF SEBASTIAN, INDIAN RIVER COUNTY, FLORIDA, AUTHORIZING THE MAYORANDTHE CITY CLERK TO ENTER INTO DISTRICT FOUR (4) HIGHWAY BEAUTIFICATION GRANT AND MAINTENANCE MEMORANDUM OF AGREEMENT DSF AGREEMENT BETWEEN THE STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION (HEREINAFTER "DEPARTMENT")ANDTHE CITY OF SEBASTIAN (HEREINAFTER "CITY"); PROVIDING FOR REPEAL OF RESOLUTIONS OR PARTS OF RESOLUTIONS IN CONFLICT HEREWITH~ PROVIDING A SEVERABILITY CLAUSE~ AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City Council desire that City of Sebastian improve various areas within the City of Sebastian by adopting and promoting proper highway beautification and maintenance; and WHEREAS, the State of Florida Department of Transportation has made available to the City of Sebastian funding for the purpose of highway beautification along the U.S. 1 corridor within the corporate city limits of the City of Sebastian; and WHEREAS, receiving of funding for highway beautification purposes, requires the City to enter into an agreement with the Department for installation and subsequent maintenance of the beautification project; and WHEREAS, the Mayor and City Council of the City of Sebastian have determined that entering into an agreement with the State of Florida Department of Transportation will provide funding not otherwise available to the City, as well as provide for beautification along the U.S. i corridor that would not otherwise be available to the citizens; and WHEREAS, the City Council of the City of Sebastian desire to authorize the Mayor and the City Clerk to enter into a District Four (4 Highway Beautification Grant and Maintenance Memorandum of Agreement DSF between the City of Sebastian and the State of Florida Department of Transportation for purposes of obtaining highway beautification funding. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SEBASTIAN, INDiAN RIVER COUNTY, FLORIDA, as follows: Section 1. The City Council of the City of Sebastian hereby authorize the Mayor and City Clerk to enter into a District Four (4) Highway Beautification Grant and Maintenance Agreement DSF between the City of Sebastian and the State of Florida Degartment Said agreement being attached hereto as Exhibit of Transportation. Section 2. The City Clerk of the City of Sebastian is hereby directed to send copies of this Resolution to the State of Florida Department of Transportation and all other persons or entities as required. Section 3. CONFLICT. All resolutions or parts of resolutions in conflict herewith are hereby repealed. Section 4. SEVERABILITY. In the event a court of competent jurisdiction shall hold or determine that any part of this Resolution is invalid or unconstitutional, the remainder of the Resolution shall not be affected and it shall be presumed that the City Council of the City of Sebastian did not intend to enact such invalid or unconstitutional provision. It shall further be assumed that the City Council would have enacted the remainder of this Resolution without such invalid and unconstitutional provision, thereby causing said remainder to remain in full force and effect. Section 5. EFFECTIVE DATE. This resolution shall take effect immediately upon its adoption. The above named functions to be performed by the CitV .......... , shall be subject to periodic inspections by the Department. Such inspection findings will be shared with the City and shall be the basis of all decisions regarding, payment reduction, reworkin9 or agreement termination. The city shall not change or deviate from said plans without written approval of the Department. If at any time after the C~ty has assumed the landscapin9 installation and/or maintenance responsibility above-mentioned, it shall come to the attention of the Department's District Secretary that the limits or a part thereof is not properly maintained pursuant to the terms of this Agreement, said District Secretary may at his option issue a written notice that a deficiency or deficiencies exist(s), by sendin9 a certified letter in care of the Public WOrks DirectQ.r , to place said City on notice thereof. Thereafter the City shall have .a period of thirty (30) calendar da~s within which to correct the cited deficiencies. If said deficiencies are not corrected within this time period, the Department mae at its option, proceed as follows: (a) Complete the installation or a part thereof, with 2 Department or Contractor's personnel and deduct the cost of such work from the ~inal payment for said work or part thereof, or (b) Maintain the landscapin9 or a part thereof, within Department or Contractor's personnel and invoice the City for expenses incurred, or (c) Terminate Agreement in accordance with Paragraph 4 of this Agreement and remove, by Department or private contractor's personnel, all of the landscaping installed under this Agreement or any precedin9 agreements except as to Trees a~d Pal~s and charge the City the reasonable cost of such removal. It is understood between the parties hereto that the ~ covered by this Agreement may be removed, relocated or adjusted at any time in the future as determined to be necessary by the Department in order that the adjacent state road be widened, altered or otherwise changed to meet with future criteria or plannin9 of the Department. The c_~ shall be ~iven sixty (60) calendar days notice to remove said !andscspi~ after which time the Department may remove same.' The Department agrees to pay to the City an amount not to exceed $ 104.~.697. as defined in Attachment "C". Subject to this limit,the Department will pay only for those costs which area allowed by Section 339.24 Florida Statutes: (a) Sprinkler/irrigation system (purchase only). (b) Plant materials and fertilizers/soil amendments. (c) Paver bricks & other hardscape items. The Department's participation in the project cost, as described in Attachment "C" is limited to only those items which &re directly related to this project. Payment shall not be made until (1) certification of acceptance is received from the Publi~ Work~ Dir. Landscape Architect/ or designee and (2) a Departmen~ Landscape Architect and/or his designee has approved the project for final payment. (a) Payment shall be made only after receipt and approval of 9oods and services as provided in Section 215.42, Florida Statutes. (b) Any penalty for delay in payment shall be in accordance 3 (c) with Section 215.422(2) (b), Florida Statutes. Bills for fees or other compensation for services or expenses shall be submitted in detail sufficient for a proper preaudit and postaudit thereof, and that bills for travel expenses specifically authorized by this Agreement shall be submitted and paid in accordance with the rates specified in Section 112.061, Florida Statutes. (d) Records of costs incurred under terms of this Agreement shall be maintained and made available upon request to the Department at all times during the period of this Agreement and for three years after final payment is made. Copies of these documents and records shall be furnished to the Department upon request. Records of costs incurred includes the ~tv,~. general accounting records, together With supporting documents and records, of the C/tv and all subcontractors performing work, and all ~her records of the C~tv and subcontractors considered necessary by the Department for a proper audit of costs. (e) The C~ty agrees to return all monies received under the terms of this Grant Agreement, to the Department, should the landscaped area fail to be maintained in accordance with the terms and conditions of this Agreement. This Agreement may be terminated under any one of the following conditions: (a) By the Department, if the City fails to perform its duties under P~ragraph 2, following ten (10) days written notice. (b) By the Department, for refusal by the City to allow public access to all documents, papers, letters, or other material subject to the provisions of Chapter 119, Florida Status and made or received by t~e City_____ in conjunction with this Agreement. The term of this Agreement commences upon execution. To the extent permitted by law, the City shall indemnify and hold harmless the Department, its officers and employees from all suits, actions, claims and liability arising out of the .Cit¥..'s negligent performance of the work under this agreement, or due to the failure of the ~ to construct and maintain in the project in conformance with the standards described in item under 2 of this 4 10. agreement. The City may construct additional landscaping within the limits of the right-of-ways identified as a result of this document, subject to the following conditions: (a) (b) Plans for any new landscaping shall be subject to approval by the Department. The City shall not change or deviate from said plans without written approval by the Department. ! All landscaping shall be developed and implemented in accordance with appropriate state safety and road design standards; (c) The Citv agrees to comply with the requirements of this agreement with regard to additional landscaping installed; any (d) No change will be made in the payment terms established under Item number four (4) of this agreement due to any increase in cost to the City resultin9 from the installation of landscapin9 added under this item. This writin9 embodies the entire Agreement and understanding between the parties hereto and there are no other Agreements and understanding, oral or written, with reference to the subject matter hereof that are not merged herein and superseded hereby. The Department, durin9 any fiscal year, shall not expend money, incur any liability, or enter into any contract which, by its terms, involves the expenditure of money in excess of the amounts budgeted as available for expenditure durin9 such fiscal year. Any contract, verbal or written, made in violation of this subsection is null and void, an no money may be paid on such contract. The Department shall require a statement from the Comptroller of the Department that funds are available prior to enterin9 into any such contract or other binding commitment of funds. Nothin9 herein contained shall prevent the makin9 of contracts for periods exceedin9 1 year, but any contract so made shall be executory only for the value of the services to be rendered or agreed to be paid for in succeeding fiscal years; and this paragraph shall be incorporated verbatim in all contracts of the Department which are for an amount in excess of $25,000, and which have a term for a period of more than 1 year. The Department's District Secretary shall decide all questions, difficulties and disputes of any nature 12. 13. whatsoever that may arise under or by reason of this Agreement, the prosecution or fulfillment of the service hereunder and the character, quality, amount and value thereof; and his decision upon all claims, questions and disputes shall be final and conclusive upon the parties hereto. This Agreement may not be assigned or transferred by the City , in while or part without consent of the Department. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. In the event of a conflict between any portion of the contract and Florida law, the laws of Florida shall prevail.
