Under the agreement, AT&T Broadband will acquire two cable systems valued at $249 million serving customers in both Miami Beach and Sebastian. Interestingly, it turns out that both aforementioned systems are the only two owned and maintained in Florida by Charter Communication. Municipalities and systems situated between both cities are predominantly those owned and managed by AT&T Broadband. As such, the respective arrangement makes sense logistically, as Charter will acquire other systems in areas adjacent to existing infrastructure in Missouri, Nevada, Alabama and California. Accordingly, Charter Communication has submitted a formal application to the City of Sebastian for franchise transfer (please reference attached letter). This arrangement involves tremendous review, including governance of existing franchise rights in the event of such a transfer. Authorization will be required by the City Council, as we hope to facilitate a public presentation that will outline respective conditions. Police Department Reor.qanization Please find the attached memorandum as compiled and delivered by Interim Police Chief Jim Davis, which outlines a recent restructuring of operations of the Sebastian Police Department. Essentially, this arrangements represents a primary substantive administrative reorganization for Fiscal Year 2001, in an effort to establish a more effective chain of command. Both Lieutenant positions as well as the captain post now report directly to the Chief of Police to enhance accountability. This arrangement is typical of departments of comparable size, scope and dynamic of Sebastian. As such, the new configuration represents a three-division organization, City Council Information Letter March 2, 2001 Page 2 whereby all three aforementioned positions report directly to the Chief of Police, fostering functional responsibility as outlined in the attached revised organizational chart, Schumann Drive Boat Ramp Per various updates and discussions involving construction of a new Schumann Lake boat ramp, please be advised that the City of Sebastian is currently working with Indian River County to procure funding from this year's allocation from the Florida Boating Improvement Program (FBIP). You may recall an FBIP grant award last year that ultimately funded costs for the observation deck currently under construction in conjunction with the Rotary Club of Sebastian. Essentially, this year's funding recommendation is to help finance next year's construction of the Schumann Drive boat ramp, consistent with goals and objectives of the City's most recent Capital Improvement Program. As outlined in the attached letter to Indian River County's FBIP program manager Jim Davis, arrangements are being made to solicit a funding opportunity in the coming weeks. If successful, an Interlocal Agreement between the City and County will be compiled and presented for your consideration. (C~TR) in a $1.79 billion deal designed to cut its $46 billion debt load and cluster its cable services in larger markets. Under the agreement, AT&T Broadband will get two cable systems valued at $249 million and serving 62,000 customers in Miami Beach and Sebastian, Fla. It will also receive $1.04 billion in cash and $500 million in Charter stock. Charter, meanwhile, will get AT&T cable systems serving about 574,000 customers in the St. Louis area and parts of Alabama, Nevada and California. The St. Louis company, which is controlled by Microsoft Corp. (MSE]') co-founder Paul Allen, will see a net gain of about 512,000 customers. The swaps are expected to close in the second or third quarter, pending certain closing conditions and regulatory review. AT&T and Charter in July scrapped a plan to swap cable systems in areas such as St. Louis and Fort Worth, Texas, because they couldn't agree on a price. The deal came a day after AT&T Corp. (T), the parent company of AT&T Broadband, agreed to sell cable television systems in four states for $2.2 billion and its 10 percent stake in wireless phone company Japan Telecom Co. Ltd. for $1.35 billion. AT&T has been selling noncore assets to pare its debt load and prepare for its planned split into four separately traded companies -- broadband, wireless, consumer and business. The break-up plan, which will dismantle nearly three years of bold acquisitions, came after AT&T's stock plunged and the company slashed its growth outlook due to shrinking consumer long-distance sales. Shares of AT&T (T), which have fallen 49 percent over the past year, were up 74 cents, or 3.2 percent, to $23.65 in morning New York Stock Exchange trade. Charter fell 3/16 to $21-13/16 on Nasdaq. The two Lieutenants were carrying a heavier work load than necessary while the Captain and Chief were under utilized. This configuration also added a step in the chain of command that in effect, further removed the Chief from the Division Lieutenants. The new configuration is a three division organization with the two Lieutenants and the Captain reporting to the Chief. In this manner the Chief has direct contact with the division leaders and is better informed on the day to day operations. The three man special operations unit, in this proposal is reassigned. There is one special operations officer on each squad. ( The fourth man will be selected from interested officers). They will be utilized for special operations details as needed. I have asked to re-instate the Crime Scene Technician/Evidence position and add a part- time clerical position. The part-time position will compile false alarm data and input policies for the accreditation process. I have also requested that two current part-time dispatcher positions be up-graded to full time positions. These position requests are necessary for the efficient operation of the department, regardless of the department organization configuration. Attached is a copy of the proposed organization.
