MEMORANDUM OF AGREEMENT
This is a Memorandum of that certain Agreement for
Exchange of Real PropertY dated January 11, 1989, by and between
the CITY OF SEBASTIAN and CARL R. JULIAN, Individually and as
Trustee.
1. The Agreement for Exchange of Real Property binds
CARL R. JULIAN, as Trustee and Individually, to exchange the
property described in Exhibit 'A," attached hereto, to the CITY OF
SEBASTIAN.
2. The Agreement also binds the CITY OF SEBASTIAN to
transfer that certain property to CARL R. JULIAN, Individually and
as Trustee, described in Exhibit "B," attached hereto.
3. Pursuant to the Agreement, the CITY OF SEBASTIAN
shall also transfer to ROGER M. SKILLMAN and WAUNETA B. SKILLMAN

that certain property described in Exhibit "C," attached hereto.
4. The Agreement also binds CARL R. JULIAN, Individually
and as Trustee, to transfer to the UNITES STATES POSTAL SERVICE,
that certain property described in Exhibit "D," attached hereto.
5. CARL R. JULIAN, as T~lstee and Individually, will
give to the CITY OF SEBASTIAN a mortgage on the property as
described in Exhibit "E," attached hereto.
6. A complete copy of the Agreement for Exchange of Real
Property dated January 11, 1989, as described hereinabove, is on
file with the CITY OF SEBASTIAN.
