The effective date of this agreement begins on August 1, 2007, and shall be for an initial period of one (1) year. The premises shall be used by IRCC for the purpose for providing college level courses. IRCC will furnish up to four (4) rooms with technological tools for teaching such as computers and video systems, as well as desks. They will be responsible for installing any additional telecommunication lines or other devices necessary to utilize these tools. IRCC shall be responsible for all fees and charges incurred to service providers associated with these tools. IRCC agrees to pay the City of Sebastian rent for the use and occupancy of the 2°d floor in the amount of $35.00 per class held therein, payable at the end of each semester (semester would be fall, spring and combined summer). There would be a maximum semester payment of $4,000. RECOMMENDED ACTION Approve Facility Use Agreement with Indian River Community College 0 FACILITY USE AGREEMENT BETWEEN CITY AND INDIAN RIVER COMMUNITY COLLEGE The CITY OF SEBASTIAN, a Florida municipal corporation, referred to in this agreement as "Owner", hereby agrees to provide to the INDIAN RIVER COMMUNITY COLLEGE, a public agency, referred to as "College", classroom space at the Sebastian City Hall Complex as described below, referred to as "the Premises", lying and being in the county of Indian River, State of Florida. The parties agree to be legally bound as follows: I. TERM AND OCCUPATION The term of this Agreement shall be for an initial period of one (1) year commencing at 12:01 A.M. on the 1st day of August, 2007, and shall automatically renew on the anniversary date thereof unless either party gives the other written notice no less than ninety (90) days before any such anniversary of its intent to allow the agreement to come to term. II. PREMISES Upon written notice from Owner that renovations have been completed at said Historic Old Sebastian Elementary School, College may commence its operations on the second floor of said historic structure. The owner agrees to allow the college to post exterior signage with design approval by the City. III. RENT College agrees to pay the Owner as rent for the use and occupancy of the Premises the amount of $35 per class held therein, payable at the end of each semester (semesters would be fall, spring and combined summer), at the Finance Department office of Owner or such other place or places as Owner may from time to time designate by written notice given to College. There would be a maximum semester payment of $4,000, payable in the same manner as set forth above. IV. USE OF PREMISES The premises shall be used by College for purposes of education in accordance with its mission and directives, including such ancillary use of space as is typically associated therewith, and other uses naturally associated therewith, and for no other use or uses without the express written consent of Owner. However, College shall not commit or permit the commission of any acts on the premises, nor use nor permit the use of the premises in any way that: (a) violates or conflicts with any law, statute, ordinance, or governmental rule or regulation, whether now in force or hereinafter enacted, governing the premises; or (b) constitutes the commission of waste on the premises or the commission or maintenance of a nuisance. It is anticipated that College will equip up to four rooms with technological tools for teaching such as computers and video systems. College will be responsible for installing any additional telecommunication lines or other devices necessary to utilize these technological tools. College shall be responsible for all fees and charges incurred to service providers associated with these technological tools. Upon written notice by College that the rooms have been significantly equipped with these technological tools, the rooms containing such equipment may be locked and secured by College and Owner will not make this portion of the Premises available for use by others. However, College will utilize its best efforts to manage the technological resources in a manner that will allow the greatest degree of nonexclusive use of the facilities. V. ASSIGNMENT College may not assign or otherwise transfer rights in this Agreement without the prior express written consent of Owner. VI. SURRENDER OF PREMISES At the end of each period of use, College shall leave the premises in as good condition as they were at the time of occupation by College, reasonable wear and tear excepted. VII. DESTRUCTION OF PREMISES In the event the building and/or other improvements erected on the premises are destroyed or damaged by fire or other casualty, the Owner shall have no responsibility or obligation to make any expenditures toward the repair and/or replacement of the building and other improvements on the Premises. Owner, at its option, shall either cause said building and/or other improvements to be replaced or said damage to be repaired as rapidly as practicable, or shall elect not to repair the premises and terminate the Agreement. In the event repairs to the Premises are undertaken and it is reasonable anticipated that it shall take more that thirty (30) days to complete the same, either party may elect to terminate the Agreement without further obligation. VIII. ALTERATIONS College shall not make or permit any other person to make alterations to the Premises without the prior written consent of Owner. Any alterations to the Premises by College shall be made at the sole cost and expense of College. Any and all alterations or improvements made to the Premises shall on expiration or sooner termination of this Agreement become the properly of Owner. IX. UNREMOVED TRADE FIXTURES Any trade fixtures that are not removed from the premises by College 30 days after this Agreement's expiration or sooner termination, regardless of cause, shall be deemed abandoned by College and shall automatically become the property of Owner as owner of the real property to which they are affixed. X. ACTS CONSTITUTING BREACHES BY COLLEGE College shall be guilty of a material default and breach of this Agreement should: (a) College default in the performance of or breach any provision, covenant, or condition of this Agreement and such default or breach is not cured within thirty days after written notice thereof is given by Owner to College; or (b) College abandon the premises before expiration of the term of this Agreement. XI. REMEDIES FOR DEFAULT Communication between parties is encouraged to resolve all problems. Should either party be guilty of a material default and breach of this Agreement as deemed in this Agreement, that party shall have available the remedies given by law or equity, and anon-defaulting party shall additionally be entitled to an award of court costs and attorney's fees against the defaulting party. The parties waive the right to trial by jury of all issues so triable. XII. WAIVER OF BREACH The waiver by Owner of any breach by College of any of the provisions of this Agreement shall not constitute a continuing waiver or a waiver of any subsequent breach by College either of the same or another provision of this Agreement. 0 XIII. While a formal synopsis was not submitted to Council, it is important to express that the Office of the City Manager always considers the City's overall financial position in such arrangements. In that regard, during initial lease negotiations, the City sought substantially higher rates; however, this presented concerns with IRCC officials because of their requirements to investment in equipment, furniture and other operating costs without any indication on enrollment figures. In similar fashion, the City did not, and still does not, have a clear indication on what our operating costs will be at the renovated Old School House site. As a result the Use Agreement was designed with these two (2) issues in mind. The main principal guiding the agreement was not financial, but rather to entice the local community college to locate in Sebastian in an attempt to promote a permanent facility for higher education. To find middle ground, the short one-year term was created. The thought behind this proposal was to give each party one-year to realize their costs. For IRCC, it needed time to experience enrollment numbers. For the City, it needed time to experience operation costs. At the end of the day, the financial portion of the agreement was used to build future relationships. Having provided that information below is a quick summary of an analysis prepared by Debbie Krueger. assigned Debbie as the Coordinator on this negotiation, because she is in charge of the School House Rehabilitation project and as HR Director we also wanted to receive other training benefits from IRCC for our personnel. Attached in the PDF file is some other information, which may provide additional insight. The current completion date is JUNE 18, 2007. E&D Construction will not be meeting this deadline and the Office of the City Manager extended this date twice. The first extension moved the original completion date from April 23, 2007 to May 28, 2007. This extension was provided because E&D got off schedule and after finding that the first floor wood floors were more deteriorated than originally expectF i, they replaced and installed all new floors at no cost for the additional 35 days. The second extens ;n date moved the completion date from May 25th to June 18, 2007 because the use of the building had ~ hanged to a classroom setting, which was not included in the original specifications and clarification was required from the IRC Fire Marshall. E7D will not meet the June 18th deadline because of steel supply problems from their vendor. The steel is needed to construct the exterior emergency staircase.. They aye also delayed with elevator construction issues. The contractor anticipates completion within the next t, ee weeks and the building should be ready for use by mid-late July. The contractor understands and ^-ill be paying liquidated of $100 per day until completion of the project. While there have been these m' ~r delays, E&D has done a very good job of renovating this facility and it will be a historic landmark the c ~munity can showcase upon its completion. TT LEASE BETWEEN CITY AND t~ ~ ' , .~G ~~~~~ Cppy The CITY OF SEBASTIAN, a Florida municipal corporation, referred to in this lease as "Landlord", hereby leases to the ASSOCIATION FOR RETARDED CTIZZENS OF INDIAN RIVER COUNTY, INC., anon-profit Florida corporation, referred to as "Tenant", those certain premises, referred to as "the premises", .lying and being in the county of Indian. River, State of Florida, to-wit: A portion of the Hzstoric Sebastian Elementary School show as rooms numbered 118, 119, 120, and 121, in the attached schematic, together with non-exclusive use of the common areas of the firstfloor and appurtenantparking areas thereto The parties agree to be legally bound as follows: I. TERM AND OCCUPATION The team of this lease shall be for an initial period of one (1) year, commencing at 12:01 A.M. on the 1 ~` day of February, 2005. II. OPTION TO EXPAND AND EXTEND After completion of the initial term, the lease shall run from year-to-yeaz, with either party able to terminate upon sixty (60) days written notice. III. RENT Tenant agrees to pay the Landlord as rent for the use and occupancy of the premises the amount of $1 per year payable on the 1st day of February each and every yeaz commencing on February 1, 2005, at the Finance Department office of Landlord or such other place or places as Landlord may from time to time designate by written notice given to Tenant, IV. USE OF PREMISES The premises shall be used .exclusively by Tenant for purposes of office space and support activities as described in the attached Exhibit "A", and other uses naturally associated therewith, and for no other use or uses without the express written consent of Landlord. However, Tenant shall not commit or permit the commission of any acts on the premises, nor use nor permit the use of the premises in any way that: (a) violates or conflicts with any law, statute, ordinance, or governmental rule or regulation, whether now in force or hereinafter enacted, governing the premises; or (b) constitutes the commission of waste on the premises or the commission or maintenance of a nuisance. V. ASSIGNMENT OR SUBLEASING Tenant may not assign, or otherwise transfer this lease, or any right or interest in this lease without the prior express written consent of Landlord. i3 VI. SURRENDER OF PREMISES On expiration or sooner termination of this Lease, or any extensions, Tenant shall promptly surrender and deliver the premises to Landlord in as good condition as they are upon the date of occupation by Tenant, reasonable weaz and tear excepted. VII. MAIIVTENANCE AND REPAIRS Tenant admits, by entering into possession under this lease, that the premises are now in good, clean, and safe condition and repair, except for matters reported in writing prior to occupying the premises. Tenant shall, at all times during the term of this lease and any renewal or extension thereof, maintain, at Tenant's sole cost and expense, the premises, and every part of the premises, in a good, clean, and safe condition, and shall on expiration or sooner termination of this lease surrender the premises to Landlord in good condition and .repair reasonable weaz and tear and damage by the elements excepted Tenant shall be responsible for installation of a separate telephone line for the Premises. Tenant hereby waives any right to make repairs to the premises at the expense of Landlord as provided by any law or statute now or hereafter enacted. In the event that a situation in the reasonable judgment of the Landlord requires that immediate repairs be performed to any part of the Premises that Tenant should perform, Landlord may perform the same with or without notice to Tenant, ar[d Tenant shall reimburse Landlord in a timely manner for expenses incurred thereby. Notwithstanding the provisions of the paragraph above, Landlord shall be responsible for keeping the roof, primary plumbing system, electrical system, pazking areas, and structural walls in good repair. VIII. INSPECTION BY LANDLORD Tenant shall permit Landlord or Landlord's agents, representatives, or employees to enter the premises at all reasonable times for the purpose of inspecting the premises to determine whether Tenant is complying with the terms of this lease and for the purpose of doing other lawful acts that may be necessary to protect Landlord's interest in the premises under this lease. IX. PERSONAL PROPERTY TAXES Tenant shall pay before they become delinquent all taxes, assessments, or other charges levied or imposed by any governmental entity on the furniture, trade fixtures, appliances, and other personal property placed by Tenant in, on, or about the premises including, without limiting the generality of the other terms used in this section, any shelves, counters, vaults, vault doors, wall safes, partitions, fixtures, machinery, plant equipment, office equipment, television or radio antennas, or communication equipment brought on the premises by Tenant. X. REAL PROPERTY TAXES All real property taxes and assessments levied or assessed against the premises by any governmental entity, including any special assessments imposed on or against the premises for the construction or improvement of public works in, on, or about the premises, shall be paid, before they become delinquent, by Tenant. XI. PROPERTY CASUALTY INSURANCE In the event that the Tenant's use and occupancy of the premises causes any increase in the premium for any property casualty or fire insurance maintained by Landlord on the Leased I `~ Premises or any portion thereof, Tenant shall reimburse Landlord for the amount of said increase within thirty days of notice of the same. XII. (a) In the event the Tenant elects to repair or replace the improvements on the leased premises, the Landlord shall have no claims against any insurance proceeds paid to the Tenant on account of such damage; provided, however, that all repaired or replaced improvements are done so in a manner equal to or better than the improvement being repaired or replaced. (b) In the event the Tenant, under its option, elects not to repair or replace the improvements upon the leased premises, the Landlord shall be entitled to such portion of any insurance proceeds equal to its good-faith estimate of the cost to remove all remaining portions of the damaged or destroyed improvements and all rubble or debris resulting from said casualty. Landlord shall be entitled to said amounts even if it decides to rehabilitate the improvements. Any remaining proceeds shall be the sole property of Tenant. XIII. ALTERATIONS Tenant -shall not make or permit any other person to make alterations to the Premises without the prior written consent of Landlord. Any alterations to the premises by Tenant shall be made at the sole cost and expense of Tenant. Any and all alterations or improvements made to the premises shall on expiration or sooner termination of this lease become the properly of Landlord. XIV. INDEl1'IlVITI' Tenant shall indemnify and hold Landlord and the property of Landlord, including the premises, free and harmless from any and all liability, claims, loss, damages or expenses, including counsel fees and costs, arising by reason of the death or injury of any person, including any person who is an employee or agent of Tenant, or by reason of damage to or destruction of any property, including property owned by Tenant or any person who is an employee or agent of Tenant, caused by or connected with Tenant's occupation and use of the premises under this lease other than intentional acts of Landlord or an employee or agent of Landlord. XV. LIABILITY INSURANCE Tenant shall, at its own cost and expense, secure within 10 days and maintain during the entire term of this lease and any renewals or extensions of such term a broad form comprehensive coverage policy of public liability insurance issued by an ;n~~rance company acceptable to Landlord and insuring Landlord against loss or liability caused by or connected with Tenant's occupation and use of the premises under this lease in amounts not less than: (a) $300,000 for injury to or death of one person and, subject to such limitation for the injury or death to one person, of not less than $1,000,000 for injury to or death of two or more persons as a result of any one accident or incident; and 15 (b) $300,000 for damage to or destruction of any property of others, including the leased premises; or such higher amount as may be set as the liability limits under the waiver of sovereign immunity provisions of law. XVI. UNREMOVED TRADE FIXTURES Any trade fixtures that are not removed from the premises by Tenant 30 days after this lease's expiration or sooner termination, regardless of cause, shall be deemed abandoned by Tenant and shall automatically become the property of Landlord as owner of the real property to which they are affixed. XVII. ACTS CONSTITUTING BREACHES BY TENANT Tenant shall be guilty of a material default and breach of this lease should: (a) Tenant default in the performance of or breach any provision, covenant, or condition of this lease and such default or breach is not cured within thirty days after written notice thereof is given by Landlord to Tenant; or (b) Tenant breach this lease and abandon the premises before expiration of the term of this lease. _... XVIII. REMEDIES FOR DEFAULT Should either party be guilty of a material default and breach of this lease as defined in this lease, that party shall have available the remedies given bylaw or equity, and anon-defaulting party shall additionally be entitled to an award of court costs and attorney's fees against the defaulting party. Landlord, in addition to any other remedies given by law or equity, may terminate Tenant's right to possession of the premises and recover and regain possession of the premises in the manner provided by the laws of the State of Florida. The parties waive the right to trial by jury of all issues so triable. XIX. WAIVER OF BREACH The waiver by Landlord of any breach by Tenant of any of the provisions of this lease shall not constitute a continuing waiver or a waiver of any subsequent breach by Tenant either of the same or another provision of this lease. FIItST: ASSIGNMENT OR SUBLEASING Lessee may not assign, or otherwise transfer this lease, or any right or interest in this lease without the prior express written consent of Landlord. SECOND: LESSEE COMPLY WITH LAWS That the tenant shall promptly execute and comply with all statutes, ordinances, rules, orders, regulations and requirements of the Federal, State and City Government and of arty and all their Departments and Bureaus applicable to said premises, for the correction, preventioq and abatement of nuisances or other grievances, nor commit waste, in, upon, or connected with said premises during said term. The Lessee shall be exempt from any water sprinkler requirements in order to protect and preclude water damage to historical documents and artifacts. T~IIRD: DAMAGE TO PREMISES In the event the premises shall be destroyed or so damaged or injured by fire or other casualty during the life of this agreement, whereby the same shall be rendered untenantable, then the Landlord shall have the right to render said premises tenantable by repairs within ninety (90) days therefrom. If said premises are not rendered tenarnable within said time, it shall be optional with either party hereto to cancel this lease, and in the event of such cancellation the rent shall be paid only to the date of such fire or casualty. The cancellation herein mentioned shall be evidenced in writing. In the event of damage by fire or other casualty, the rent payable under this lease shall not be abated, in proportion to the impairment of the use that can reasonably be made of the property for the purpose permitted by this lease, until the property is rebuilt and repaired (or until the lease is terminated, if terminated in accordance with this paragraph), but any other charge for usage of utilities and common areas and other charges shall be abated.. FOURTH: iVL~IlVTENANCE AND REPAIRS Lessee admits, by entering into possession under this lease, that the premises are now in good, clean, and safe condition aad repair. Lessee shall, at all times during the term of this lease and any renewal or extension thereof; maintain, the premises, in accordance with paragraph 14, and every part ofthe premises in the same condition, free of pests, and shall on expiration or sooner termination of this lease, surrender the premises to Landlord in the same condition and repair, reasonable wear and tear and damage by the elements excepted. In the event that a situation in the reasonable judgment of the Landlord requires that immediate repairs be performed to any part of the premises, Landlord may perform the same with or without notice to Lessee, and Lessee shall reimburse Landlord in a timely manner for expenses incurred thereby. FIFTH: INSPECTION BY LANDLORD. Lessee shall permit Landlord or Landlord's agents, representatives, or employees to enter the premises at all reasonable times £or the purpose of inspecting the premises to determine whether Lessee is complying with the terms of this lease and for the purpose of doing other lawful acts that maybe necessary to protect Landlord's interest in the premises under this lease. GZ SIXTH: PERSONAL PROPERTY TAXES. Lessee shall pay before they become delinquent all taxes, assessments, or other charges levied or imposed by any governmental entity on the furniture, trade fixtures, appliances, and other personal property placed by Lessee in, on, or about the premises including, without limiting, the generality of the other terms used in this sectioq any shelves, counters, vaults, vault doors, wall safes, partitions, fixtures, machinery, plant equipment, office equipment, television or radio antennas, or communication equipment brought on the premises by Lessee. SEVENTH: REAL PROPERTY TAXES All real property taxes and assessments levied or assessed against the premises by any governmental entity, including any special assessments imposed on or against the premises for the construction or improvement of public works in, on, or about the premises, shat! be paid, before they become delinquent, by Lessee. EIGHTH: PROPERTY CASUALTY INSURANCE In the event that the Lessee's use and occupancy of the premises causes any increase in the premium for any property casualty or fire insurance maintained by Landlord on the leased premises or any portion thereof, Lessee shall reimburse Landlord for the amount of said increase within thirty days of notice of the same. NINTH: DESTRUCTION OF PREMISES In the event the building and/or other improvements erected an the premises are destroyed or damaged by fire or other casualty, the Landlord shall have no responsibility or obligation to make any expenditures toward the repair and/or replacement of the building and other improvements on the leased premises. Lessee, at it's option, shalt either cause said building and/or other improvements to be replaced or said damage to be repaired as rapidly as practicable, or shall elect not to repair the premises and terminate the Iease. The question of leasing space in the Old City Hall really highlighted the lack of planning for the use of this building. I believe a sketch of the square footage of the building and the space that has been promised or allocated to various groups would be very helpful to understand what we have. Further I would like to see an accurate as possible estimation of the overheads the City would carry with regards to the second floor. This should include utilities, cleaning, toilet supplies, maintenance and security-especially if an officer is required for night classes. From this we should be able to ascertain what a break even lease rate should be for IRCC. Because these classes aze not discounted nor limited to Sebastian City residents we should not expect our City residents to subsidize these classes. This is only fair. While this lease should not be seen as a source of revenue we need to think in terms of the cost of living in 2007/08 with regards to electricity costs and other overheads. I would find it very difficult to believe that IRCC are not in a position to. fully cover our overheads. If residents of our community. can pay $200 per course for online courses surely there is the capability for IRCC to pay more than thirty five dollars per class. They have the money it's just a question if they are willing to part with it. In regazds to the one year lease, the City of Sebastian must negotiate whatever terms we want now, because once IRCC is in the building there will not be the political will to oust them for any reason, short of non- payment. Regretfully this entire matter could have been handled. a lot differently. Especially if everyone was on the same page. Once we get the numbers in place, the ball will really be in IRCC's court. If we can agree on the terms of the lease, I see no reason why this cannot be resolved at our next council meeting.- Thank you. The 2nd floor was designed as multi-use space, which included some classroom use, but not as regular classroom use, which has more stringent fire requirements. 3.On January 26, 2007, I was contacted by John Pohemis Fire Alarms (the contractors working on the fire alarm system), and was given the attached diagram to notate what the purpose of each room was going to be. As can be seen on the attachment, I depicted all the big rooms on the 2nd floor as classrooms (as that is how I understood it to be), and that is how it was submitted to the Indian River County Fire Marshall, and that is when the "usage" was changed from the original multi-use to the more precise, regular classroom use. Uadate Ms. ~ reported on the meeting with representatives of Indian River Community College, and they said they would like a larger presence and would like a contract for the entire second floor of the old City Hall. She then reported on the riverfront height restriction issue, which was not addressed at Planning and Zoning because they want to have a workshop with Council. She said she thought that Council was unanimous in its decision to set call 25 feet what it is. Mr. Neglia said he did not see the need for a workshop with Planning and Zoning, rather they should be directed and ga forward. The City Attorney said it was his feeling that Planning and Zoning might lean toward denying the 25 foot, and that they wanted to talk to Council as to what the concept is on the height issue. Mr. Neglia said they also wanted to know where we would measure the height from. The City Attorney said there are four different sources of height measurement in the Code and there are several issues that need to be addressed to decide where it would be measured from in the riverfront. Mr. Paternoster discussed a concern of Mr. Gilliams that property owners in the riverfront should be notified. The City Attorney advised that the hearings before P $~ Z would not require the mailing, but the hearings before Council would. It was the consensus of Council that there should be a common measurement point from the road, to let Planning and Zoning know they would like a vote from -them for a recommendation to Council and there was no need for a workshop. Ms. Coy said she does not like her words taken out of context, that she did have a conversation with Mr. Gilliams at the Eagles Nest as he described about two years ago, but what he forgot to say that was between that time and now he has been given special considerations, and in her last correspondence with him she told him she is °specialed out". Sebastian Council consists of five members. Elections are conducted in even numbered years for two council seats, and in odd numbered years for three Council seats. Municipal elections are at large and non partisan. The one year vacancy occurred due to the resignation of former Ccuncil member Mike lieptinstall at the December 8, 2004 Regular City Council meeting. Mr. HeptinstaU had more than a year left in his term, a term which would have expired in March 2006. The City Charter provides for filling that vacancy at the next regular election and that candidates for the one year seat specify that they are specifically running for that position during qualifying. In addition, terms for Mayor McCollum, Vice Mayor Barezyk, and Council member Coniglio are due to expire in March 2005. Following the seating of the new Council, Andrea Coy was named Mayor. Sal Neglia, who was elected in 2006 and is in the second year of his term, was named Vice Mayor. The title of Mayor and Vice Mayor are held until the next election. AJ Paternoster is the fifth member of Council and he was also elected in 2006 and in the second year of his term. Voters approved moving annual City elections to November, therefore, terms for Mr. Neglia and Mr. Paternoster are extended to November 2008, and the three newly elected members' terms are extended to November 2009. Of the ten referendum questions on the ballot, only question number four, which would have increased Council salaries, failed'on election day. Glasgow Equipment Service Company of West Palm Beach is installing a new self-serve 100LL~avgas dispensing system at the Sebastian Municipal Airport The unit is expected to achieve operational capability in early June 2007. CITY STORMWATER IMPROVEMENTS MOVING AHEAD! By: David Fisher, City Engineer The City's Twin Ditches Stormwater Retrofit Project between Main Street (on the southeast) and the Muncipal Golf Course .and Collier Club (to the northwest) is underway and on schedule. The purpose of the project is to convert a double ditch system to a single basin wet detention treatment system in order to increase sedimentation control and improve water quality of stormwater runoff to the St. Sebastian River. The project is being constructed on 7 acres of City owned property and right of way to treat Stormwater runoff from 615 acres of watershed. A control structure will be constructed at the western end of the basin for improved control of the discharge of runoff from storm events. This project is being done in accordance with the City's Master Stormwater Management Plan. ~° ~~.z e F aoo~ ~ i ~~c, ~- ~ COQ. o o- a Upon completion of building issues, the crew will begin landscaping improvements around the Yacht Club parking lot and boat ramp. These improvements are scheduled to include new planting material, sidewalks, railings, irrigation, lighting and new asphalt/striping. In conjunction with the Engineering and Growth Management Departments, a coordinated effort is in process to design site improvement. I anticipate having these improvements for your review by the February 28tH meeting. PUBLIC SAFETY ANSWERING POINT (PSAP) On December 19, 2006, the Indian River County Commission approved a $180,000 expenditure to allow the City of Sebastian to operate all 911 emergency calls. Better known as the Public Safety Answering Point (PSAP), ,the City supplemented the County contribution with $80,000 for the required one-time capital purchase of required eq~ipment. Now the Police Department is moving forward with the purchase and on February 9 has a planning meeting with Bellsouth to establish the required switching and routing service. If all goes as planned, the system should be up and running in approximately six months. Just as a reminder, the County will be responsible for the monthly routing bills, which are estimated at $1,500. This is the same program that the City of Vero Beach operates with Indian River County. TWIN DITCHES Dave Fisher issued the notice to proceed to Master Excavators, Inc. on February 5, 2007. This will start the construction of the Twin Ditches project. The Contract provides 270 days for the company to complete the project. Again, this project removes the dirt dividing wall from the bitch 'and lessens the severity of the slopes. In addition, the head wall for the ditch will be improved which is located near Wimbrow and Main Street. The project's focus is to improve the ditch and allow for more detention/retention time improving stormwater quality. OLD CITY HALL PROJECT AND IRCC LEASE E8~D Construction is moving along with the renovation project at the old Sebastian City Hall. Interior demolition has been completely finished and the new.construction has begun in earnest. New ceilings on the second floor have been installed, the bathrooms have been reframed and made ADA accessible, electric is approximately 90% complete and colors for interior painting have been selected. E&D is also starting preparation for the installation of the elevator. Additionally, the Historical Society paid the change order to remove and save all the rolling file shelves in the old Clerk's Record vault. If all continues to go in a positive direction, E&D should have the project completed by its contractual deadline of April 23, 2007. As far as Indian River Community College, staff has submitted to Katie Nall a draft lease. The lease would allow IRCC to use the old Council Chambers for classes this summer/spring and move into the renovated second floor this fall. The proposed. lease charge to IRCC is $25 per class per occurrence or a maximum of $1,000 per month to use the old City Hall and $50 per class per occurrence or a maximum of $2,000 per month to use the second floor. The lease term is three years and provides electric, water and sewer utilities but requires IRCC to pay for phone, Internet and other communication connections and premiums. In addition, as part of the lease, the City has proposed that IRCC provide supervisory, harassment and some police training for City employees as part of the payment for space rental. COUNTY FIRE DEPARTMENT Indian River County officials are still seeking a place to locate a new Sebastian Fire Department. They are of the opinion that the current station on US 1 is too small and lacks some other operational benefits. The County prefers to stay east of the railroad tracks but would consider a site west if the right circumstances present themselves. (n \ V ~ir..~ ~. 0~ ; To ; ermitting, but should not be costly. Concerning construction, the estimated unit costs are from un'ent continuing service contracts (i.e. Regan Masonry -Concrete and Elmo Greer -Asphalt). 'he delay in moving forward with this plan, however, is making a determination on whether rtemal or contract forces should be used for swale improvements. If contract forces are used, ie cost increase for the project will be in the $150,000 range. If City forces are used than costs an be reduced into budget parameters that become affordable with making some budgetary reallocations. The Public Works and Engineering Departments will be meeting with me shortly to make this determination. In short, the decision is based on allowing City crews to be reassigned vs. the cost to contract-out the work. No matter the recommendation on this project, it is reasonable to expect that construction could start sometime in September 2007. The project is expected to take six months for completion. Once our staff report is complete, I plan to bring you details and a funding plan. Right now approximately $712,000 can be allocated for this project by reallocating the $112,000 FY 07 asphalt budget and FY 07 $400,000 Barber Street Realignment Project to the $200,000 already budgeted for Easy Street Hence you can see the financial dilemma. The project is easily fundable by using internal forces, but an additional $105,000 must be allocated to complete the project with contracted forces. . OLD CITY HALL RENOVATION PROJECT E8~D Construction continues to move along on the project. To date, all of the demolition is complete and major portions of interior improvements are being ~pleted. For example, the company is working to remove and refurbish the wood finish on the main staircases and the new ceiling has been framed in on the first floor. The exterior improvements are now starting. In this regard, E&D has begun foundation/block wall construction fot the elevator shaft and concrete pads have been poured to support the new exterior staircase on the northeast side of the building.- Finally, some interior painting has taken place in the old City Manager/Attorney suit and colors for the remaining painting and carpet have been selected. A few minor additions such as the roof repair, electric/lighting modifications and undiscovered underground utility conflicts (associated with the elevator foundation) have caused some minor setbacks. As a result, we have authorized an extension of 35 days to be provided bringing the new completion date to May 28~'. However, this date should not affect the lease arrangements with Indian River Community College and the project remains within the parameters of the total project fund allocation. INDIAN RNER COMMUNITY COLLEGE Speaking of the Old City Hall project, on Wednesday April 4"', Debbie Krueger, Richer Stringer and t met with David Sullivan of IRCC. We reviewed the draft lease agreement. IRCC is eager to start classes in Sebastian; however, they had concerns with the draft lease proposal. Their issue concerns committing to a full lease agreement and total space on the second floor, when they are unsure if enrollment numbers will support such a financial outlay. After making changing the lease agreement to a use agreement and reducing rental costs from $50 to $35 per class per occurrence, IRCC seemed more amiable to the terms. A second meeting with Dave Sullivan on Monday, April 9~' also revealed that IRCC (1) wanted to delay scheduling computer class because such a large financial obligation was required for computer equipment when enrollment numbers are unknown (IRCC will conduct computer class at Sebastian Elementary for Fall 2007); (2) confirmed the City would assume janitorial duties; (3) needed to withdraw providing free training lass for City employees; (4) would provide furniture for all four class rooms; and, (5) wanted to defer lease payment until after each semester (Fall, Spring, Summer). ~~ We are hopeful that an agreement can be drafted that leaves both the City and IRCC financially whole. We are planning to have a draft use agreement ready for your review in May or June, which will be in plenty of time for IRCC to start a Fall 2007 class offering. There is a story behind that. In short, Debbie Krueger was at one time the Assistance Finance Director and was considered for-the Finance Director position when Shai Francis was hired (I think that was around 2004). Debbie's background is actually finance. When she was in the Finance Department, her assignments were project coordination and she tracked many project budgets and coordinated grants (specifically she coordinated procurement of the Old City Hall Historic Grant from the Department of State). To try to reduce the amount of personnel and other associated costs, Debbie brought with her some of her grant management assignments to her new position in HR. While in Finance, Debbie also helped with the budget, payroll, accounts receivable/payable and many of the other finance tasks. The bottom line is, Debbie has other skills she can offer the City for which I have tried to capitalize. One of those is project management. While this was actually the first lease I believe she negotiated (beside finishing off the bulk of the CWA negotiations with me last spring/summer), her dealings never were out of the attention of myself or the review of the City Attorney. The other question that probably should be asked is why would one hire Debbie and have her change fields from finance to HR. On that matter, Debbie has always had a good rapport with City personnel (CWA, PBA and management). I was also a little concerned that she was getting bored with her old position and that she would leave the City. So when Jim Sexton left, I afforded her Jim's old position. It was a change of pace for her and provided a little more money. Debbie is pretty talented and should we ever have to mix positions or merge departments (say through mandated tax reform) I thought it wise to place her somewhere until the right time presented itself to "shuffle the deck". To be honest, I have regarded that personnel move as one of my better ones and it is to say the least out-of-the box. I would find it very difficult to believe that IRCC are not in a position to fully cover our overheads. If residents of our community can pay $200 per course for online courses surely there is the capability for IRCC to pay more than thirty five dollars per class. They have the money it's just a question if they are willing to part with it. In regards to the one year lease, the City of Sebastian must negotiate whatever terms we want now, because once IRCC is in the building there will not be the political will to oust them for any reason, short of non- payment. Regretfully this entire matter could have been handled a lot differently. Especially if everyone was on the same page. Once we get the numbers in place, the ball will really be in IRCC's court. The Fire Dept. contacted me to ask the status of the permit, and the question was asked on the type of tennant that would be occupying the second floor. Basicly, the building was reviewed under the Historic Provisions of the Florida Building Code and the National Fire Prevention Codes for the second floor. This gives a lot of latitude in allowing the building to keep its historical nature and provides for minimum life safety requirements as long as the building is being occupied for the same use that it was originally intended for ie; a school. However, in speaking with the Fire Dept. a second time, we are in agreement that higher education such as college programs are basicly considered a business type occupancy and less hazardous than an educational type occupancy. So, a .business type tennant would also be okay to lease to. The real concern is that the building should not be used for large assembly such as; public meeting halls, banquet halls etc. this would clearly be a change of occupancy to a more hazardous use and would negate the historic allowances under the code and would require additional life safety measures such as an automatic sprinkler system. This would not include small assemblies for staff meetings or business meetings normally conducted in a business setting. I understand there are some provisions for allowing one time assembly events should the need arise. I hope this clarifies my point and lets you all know what types of tennants that we should be looking for when leaseing out these spaces. A city is not restricted by general law in leasing its property so long as it is meeting the overall requirement that its actions serve a "public purpose". Typically, the choice of a method for developing leases is a discetionary decision based upon the circumstances. The majority of leases, whether with private for-profit companies or non- profits, are not secured through competitive processes -- they are, instead, negotiated directly. As a rule, direct negotiation results in a better deal for the City when it leases land (or sells it, for that matter) because land transactions don't lend themselves well to "auctions" in most cases. Although virtually all of our airport land leases have been directly negotiated, airport property has a couple of variants. First is the overall FAA restriction that the Airport Property be used for "aviation purposes" which, under FAA policy directives, means that a use which does not directly further aviation must be for market value (and, thus, the full value for the land - in money -- will be used to further aviation; this is why the airport is an enterprise fund). Second, the Airport Admiri building was built with an economic development grant from FDOT, which had an underlying purpose of creating economic opportunities for the airport and had its own various restrictions. For these reasons, use of Airport land cannot be "given away" to non-profit agencies or, for that matter, even to the City itself (we pay the Airport Enterprise Fund for all of our uses of Airport land). There is a more fundamental difference, however, between the Airport space offering and the IRCC/Old Schoolhouse deal, in that the airport admin building space was being offered to private, for-profit entities, whereas the proposed lease with IRCC would be with a fellow governmental agency (in fact, an agency of the state of Florida). Throughout the law, the restrictions on dealings with a governmental agency are much looser, if not nonexistent. From the standpoint of "public purpose" doctrine, any use of city land by anon-profit agency, such as the two existing leases for the Old Schoolhouse, is presumed to be in the public interest if approved by Council, whereas use of government land by a private for-profit business is not given this presumption. [Rich Stringer] PS: Acronyms are problematic. Typically, leases are done through a Request for Proposal (RFP) process. In that procedure, you lay out your goal (or present your problem) and ask the Proposers to submit how they would address the situation. The Request for Qualifications (RFQ) is pretty much a bastardized procedure developed by consultants and passed into law by their lobbyists in which the government describes its project and accepts only the submittal of qualifications of interested consultants, and then chooses the firm to do the project without consideration of their price. NO ONE in the private sector uses this. A Call for Bids entails fully-detailing a project or needed commodity, without the possibility of variants (theoretically, at least) and then choosing purely on the basis of the lowest price.
