SUB LEASE SEBASTIAN AERO SERVICES, INC. agrees to sub lease certain areas of physical property to: Sebastian Auto, Inc. and provide aircraft maintenance, fuel, oil and parts to: Sebastian Auto, Inc. for any and all company a/c under the following terms and conditions. (1) Sebastian Aero Services, inc. agrees to lease office space in the most westerly part of the Sebastian Aero Services, Inc. office building for $750/month and allow the area on the west side, the perimeter road on the north and west side, and the paved driveway on the south side for on in consideration of $150.00 per moth, the first six months being paid in advance. All rent payment, under Florida State law, is subject to Florida Sales Tax. (2) The initial term of the lease shall be for a period of six months commencing on January 15, 2005 and terminating on July 15, 2005. Rent paid in advance shall be expressly non-refundable. (3) After six months, the lease shall be re-negotiated and maybe extended, modified or terminated by either of the parties to the initial lease. (4) Sebastian Aero Services, Inc. agrees to allow the leased, raw land to be used for parking in a defined and orderly fashion and to allow the use of its rest rooms by the clients of: Sebastian Auto, Inc. 300 West Airport Dr., Sebastian 32958. (5) Sebastian Auto, Inc. agrees to purchase fuel, oil, maintenance, and aircraft parts exclusively from Sebastian Aero Services, Inc. for use in any and all of their company a/c. Any violation of this agreement shall be grounds for termination of the entire lease at the discretion of Sebastian Aero Services, Inc. Fuel will be provided for purchase at reduced rate (to be determined). Fuel and oil prices will fluctuate. Maintenance will be provided at $55.00 per hour for scheduled maintenance and $65.00 per hour for non-scheduled maintenance. Parts will be furnished a cost equal to 75% of retail plus freight. (6) Sebastian Aero Services, Inc. shall be given the opportunity to provide any supplemental aircraft and/or pilots above the normal company aircraft or on staff pilots. Any violation shall be grounds for termination of said lease. ~w K~Ro ~ (7) Sebastian Auto, Inc. agrees not to encroach in any way on the business of Sebastian f4trte-Services, Inc. Sebastian Auto, Inc. is to engage in car rental activities only. Encroachment shall be determined solely by Sebastian Aero Services, Inc. and shall be grounds for immediate termination of said lease. Should Sebastian Auto, Inc. wish to rent any of their company aircraft it shall be done through and administered by Sebastian Aero Services, Inc., as not to become a conflict of interest. Terms and conditions to be mutually agreed upon. (8) Either of the parties to this lease may terminate said lease after five months by giving 30 days notice to the other party. (9) Sebastian Auto, Inc. shall provide insurance adequate to meet city requirements and indemnify and hold harmless Sebastian Aero Services, Inc. on said property. Sebastian Auto, Inc. shall provide a copy of said policies prior to commencement of operations.
