A RESOLUTION OF THE CITY OF SEBASTIAN, INDIAN RIVER COUNTY, FLORIDA,
PERTAINING TO THE SEBASTIAN MUNICIPAL AIRPORT; AUTHORIZING THE TRANSFER OF
LEASEHOLD ASSETS BETWEEN NATIONAIR INSURANCE AND RUD AERO; PROVIDING FOR
THE REPEAL OF RESOLUTIONS IN CONFLICT AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Sebastian owns certain real property at the Sebastian Municipal Airport; and
WHEREAS, NationAir Insurance is a bona fide leaseholder at the Sebastian Municipal Airport; and
WHEREAS, NationAir Insurance and Rud Aero have signed a"Letter of Intent" requesting the transfer
of the leasehold interest from NationAir Insurance to Rud Aero.
NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF SEBASTIAN,
as follows:
SECTION 1. Consent. The City of Sebastian hereby consents to the assignment of that certain Lease
and authorizes the City Manager to execute a Consent Order effecting the subject assignment from NationAir
Aviation Insurance to Rud Aero.
SECTION 2. USE OF LEASED PREMISES: Tenant agrees that the leased premises shall be used by
the Tenant for the purpose of the operation of an Aeronautical School.
SECTION 3. Conflicts. All resolutions, parts of resolutions, consent orders, ar other documents in
conflict are hereby repealed.
SECTION 3. Effective Date. This resolution shall take effect immediately upon its adoption.
A motion to adopt the foregoing Resolution was made by Council Member xill . The motion
was seconded by Council Member McPartlan and, upon being put to a vote, the vote was as follows:

The Mayor thereupon declared this Resolution duly passed and adopted this 13th day of February 2013.

It is Rud Aero's intent to assume Nationair's lease on office space iocated at Sebastian
Municipal Airport, 200 Airport Drive East as soon as such assignment is approved by the
Council and Nationair is able to vacate the premises. Our intent is to operate an FAR Part 14l
fli;ht schflol and FAA computer test center.

located at Sebastian Municipal Airport, 200 Airport Drive East, to Rud Aero as soon as such
assignment is ap�roved by the Counci! and v+re are able tc� vacate the premises, This would
release NationAir of all reiated lia�ility far any and all Iease terrns upt�n the lease assignrnent
effective date.
Pending the approwal by the Counci! and the timing thereof, we expect ta be out af the
premises no later than February 1, 2013 and propose this date as the iease assignment date.
We expect the relatecf refund of prepaid rent will be ha�died appropriatety should this
assignenent be ap�roved.
