Attached is a final Closing Statement. The only change was made on Line 515 (Seller's side). We are not sure if the tangible
personal property tax will be assessed this year, and the tangible personal property tax is not part of the escrow being sent to the
Indian River Tax Collector shown on Line 514. So,we decided to escrow the prorated amount for 2010 based on the 2009 tax
amount. If we find out that the tangible personal property tax was assessed for 2010, we will send the money to the City to use
towards the bill. If it is not assessed for 2010, we will refund the money to the Seller. Let me know if you have any questions.
If possible, please have six copies of the Closing Statement signed by an authorized representative of the City and send them to us
by FedEx—we will then have them signed by the Seller tomorrow and forward a fully-executed copy to you after closing. Also,
please advise when the funds have been wired ($233,068.00). Thanks!!

Jean -
On our other property acquisiton with this program (which closes tomorroow) FCT signs as the Acquirer, the City signs as the Buyer.
If FCT(Kristen) is fine with the paperwork as you sent it, then it is okay with us, I had though she needed a signature line for FCT
since they are contributing a portion of the funds.

Kristen Coons advised me that the City of Sebastian would be signing as the Buyer on the Settlement Statement(not the FCT). It
appears that the attached Grant Award Calculation Statement is your internal document signed by the FCT. Can I delete them from
the HUD Addendum. Also, I think we need to delete from the HUD Addendum the amount being paid by each party since that is
not a part of the Buy/Sell transaction.

ownership claim by the State of Florida by right of sovereignty to any portion of the lands insured hereunder,
including submerged,filled and artificially exposed lands,and lands accreted to such lands.
4. Subject to rights of tenants under unrecorded leases,if any.
5. All matters contained on the Plat of Middleton's Subdivision of City of Sebastian,as recorded in Plat Book 2,Page
56,Public Records of Indian River County,Florida.
6. Riparian and littoral rights are not insured.
7. Rights of the United States of America and/or the State of Florida to any portion of said land which has been created
by artificial means or has accreted to any such portion as so created.

control over navigable waters in the interest of navigation and commerce.
9. The rights,if any,of the public to use as a public beach or recreation area any part of the land lying between the

Standard Exceptions
•
The owner policywill be subject to the mortgage,if any,noted under item two of Section I of Schedule B hereof.
All policies will be subject to the following exceptions: (1) taxes for the year of the effective date of this
Commitment and taxes or special assessments which are not shown as existing liens by the public records;(2)
rights or claims of parties in possession not shown by the public records;(3)encroachments,overlaps,boundary
line disputes,and any other matters which would be disclosed by an accurate survey and inspection of the
premises;(4)easements,or claims of easements,not shown by the public records;(5)any lien,or right to a lien,
for services,labor,or material heretofore or hereafter furnished,imposed by law and not shown by the public
records.

Conditions and Stipulations
1., The term "mortgage," when used herein, shall include deed of trust, trust deed, or other security
instrument.
2. If the proposed Insured has or acquires actual knowledge of any defect, lien, encumbrance,adverse
claim or other matter affecting the estate or interest or mortgage thereon covered by this Commitment
other than those shown in Schedule B hereof, and shall fail to disclose such knowledge to the
Company in writing,the Company shall be relieved from liability for any loss or damage resulting from
any act of reliance hereon to the extent the Company is prejudiced by failure to so disclose such
knowledge.If the proposed Insured shall disclose such knowledge to the Company,or if the Company
otherwise acquires actual knowledge of any such defect, lien, encumbrance, adverse claim or other
matter, the Company at its option may amend Schedule B of this Commitment accordingly,but such
amendment shall not relieve the Company from liability previously incurred pursuant to paragraph
3 of these Conditions and Stipulations.
3. Liability of the Company under this Commitment shall be only to the named proposed Insured and such
parties included under the definition of Insured in the form of policy or policies committed for and only
for actual loss incurred in reliance hereon in undertaking in good faith(a)to complywith the requirements
hereof,or(b)to eliminate exceptions shown in Schedule B,or(c)to acquire or create the estate or interest
or mortgage thereon covered by this Commitment.In no eventshall such liability exceed the amount stated
in Schedule Afor the policy or policies committed for and such liability is subject to the insuring provisions,
the Exclusions from Coverage and the Conditions and Stipulations of the form of policy or policies
committed for in favor of the proposed Insured which are hereby incorporated by reference and are made
a part of this Commitment except as expressly modified herein.

We received your letter and check this morning. Your letter states that we must"hold the state warrant in escrow until..." We assume you
mean that we must hold the funds in escrow. We have to deposit this check immediately to have our bank clear the funds in our account so that
