Proposal City Utility Franchise Acquisition Dear Ms. O'Halloran: Hartman & Associates, Inc. (HAI) is pleased to submit our qualifications and experience to serve the City of Sebastian by providing professional services associated with the City utility franchise acquisition and acquisition of General Development Utilities, Inc. (GDU), and interlocal negotiations necessary to cost-effectively and appropriately integrate the City customer base into an overall efficient and economic utility system. This letter formally _ represents our firm's interest in serving the City of Sebastian on this very important project. HAI has served the City in the preparation of the briefing document and has provided professional services associated with the interlocal negotiations between the City of Sebastian and Indian River County. Together, we have made tremendous progress in this undertaking as a result of the fine cooperation and coordination between our firm, the City of Sebastian's staff, and Gray, Harris, Robinson, Kirschenbaum & Peeples, P.A., as well as the City Attorney. Mr. Charles Vitunac, the Indian River County Attorney stated he would recommend to the Board of County Commissioners to execute the GDU franchise transfer back to the City of Sebastian and following that action, the City can pursue the investigation of the potential acquisition of GDU. Our firm is uniquely qualified in utility franchise matters and is the sole engineering firm .. having been involved in two (2) GDU franchise agreement situations, the City of Palm Bay and the City of North Port. In both cities we have prevailed against stiff opposition relative ., the to the matters confronting the City. Moreover, with the assistance of Gray, Harris, Robinson, Kirschenbaum & Peeples, our team has been able to turn GDU around in a manner so as to have meaningful and appropriate negotiations relative to orderly and appropriate utility transfers to public ownership. In the state of Florida, our professional staff has been involved in over sixty (60) utility acquisition projects and we believe that we have conducted more utility acquisition projects than any other team in the state of Florida. We know the GDU facilities and have actually worked on the Sebastian Highlands sewer system for GDU in 1987. We have been involved in utility transactions with Indian River County on two (2) occasions and understand the _ franchising concepts and utility management practices. We have not and are not presently serving Indian River County and therefore do not have any conflicts of interest relative to the County. Additionally, we have not and will not serve land developer interests in the City of Sebastian and pledge solely to serve the City as an independent and unbiased consultant to the benefit of the citizens of the City of Sebastian. Our professional staff has been involved in over one hundred (100) rate and charge studies throughout the state of Florida and have been involved in over thirty (30) revenue bond issues and are recognized by Moody's Investor Services and Standard & Poor's Corporation (rating agencies), as well as AMBAC Indemnity Corporation, FGIC and MBIA Corporation (bond insurance companies) as experts in the field of utility acquisition and utility finance. We have a long track record with the St. Johns River Water Management District (SJRWMD) and are well respected by the staff as experts in the area of hydrogeology and water resources. Finally, we also have an excellent working relationship with the Florida Department of Environmental Regulation (FDER) and have been retained on several occasions to solve difficult environmental problems in the central Florida district. Of course our offices are quite close to the FDER offices and the SJRWMD offices, both located in Orlando. Contained in this proposal you will find our business experience and qualifications in Section 1; our Standard Form 254, specifically for utility acquisitions, water, wastewater, hydrogeological and management consulting services in Section 2; our Standard Form 255 in SECTION 3; our project team in Section 4; our experience in interlocal utility agreements in Section 5; our experience in utility acquisitions and franchise agreements in Section 6; the various required forms confirming our various registrations, $1 million errors and omissions insurance, $1 million professional liability and $2 million general liability insurance coverage and other aspects about our firm in Section 7; in Section 8 we present our client list, our American Academy of Environmental Engineers Certificate, and copies of some of the books and letters of reference and special recognition our firm has received; and finally, in Section 9 we present our comprehensive listing of services for the City to review. We operate a forty (40) man consulting engineering firm with complete resources. Our present utilization provides for the allocation of the key employees, Mr. Gerald C. Hartman, P.E. and Mr. Harold E. Schmidt, Jr., P.E. Moreover, our workload is at such a level that these key employees can be readily supplemented by our field services crew headed by Mr. .. Mark Luke, P.L.S. Our special subconsultants to our firm, Mr. Harold E. Schmidt, Sr., P.E. (previously president of GDU), Mr. Morris M. Hochberg, P.E., a specialist in value engineering, will ensure the most cost-effective facilities for the City of Sebastian. Drake, P.G. and Mr. W. Bruce Lafrenz, P.G. along with their support staff. The financial studies will be conducted principally under the charge of Mr. Gerald C. Hartman with assistance by Mr. Richard Copeland, M.B.A. and Mr. Charles M. Bliss, E.I. Both individuals have extensive experience in rate making, rate cases, and used and useful determination of facilities in Florida. Finally, our team has unique capabilities in utility management in the engineering arena. This group is headed by Mr. James E. Christopher, P.E., who previously was the utility engineer for Brevard County and has ., designed two (2) of the top ten wastewater treatment plants in the state of Florida. Mr. Hartman has the distinction also in this matter regarding the Easterly Regional Facility for Orange County in wastewater treatment. We believe that the above team with support staff as delineated in our project team section in relationship to our current workload will more than adequately serve the City of Sebastian in these endeavors. As President, and Chairman of the Board of the firm, Mr. Hartman has personally committed to be the principal in charge of the assignment and Mr. Harold E. For the Utilities Commission, City of New Smyrna Beach, Mr. Dufresne developed and implemented the initial testing plan for the new S.R. 44 wellfield. In this project he supervised construction of the six test wells and one test/production well, collected background and drawdown data for the 72 -hour constant rate discharge test, and analyzed the test data. He also setup a regional groundwater flow model to simulate possible impacts to the surficial and Floridan aquifers during proposed pumpage. Dufresne (continued) In working with the Water Department for the City of Tampa, Mr. Dufresne designed and created different versions of the PLASM groundwater flow model to meet the specific needs of the Water Department. He also provided modeling and computer graphics training and support. He characterized and evaluated the hydrogeology for various sites investigating their suitability for effluent disposal (1.9 MGD) for Deltona Utilities, and performed the necessary groundwater flow modeling associated with this project. It is important to retain a firm who has extensive experience in the utility management arena associated with the interlocal agreements, especially on this assignment. It is anticipated, that ., besides transferring back the General Development Utilities (GDU) Franchise Agreement to the City, there will be a City - County Wholesale Agreement, Territorial Agreement, and Water and Sewer Interconnection Agreement, and Water and Sewer Emergency Services -� Agreement. Such agreements can be provided into one document or several documents. Nonetheless, they provide for the proper cooperation and coordination between the entities to ensure continuity of service and reliability of service. Such agreements benefit both Indian River County, as well as the City of Sebastian. It is envisioned that in the future that the City of Sebastian will wholesale water to the Rosalind and other north county areas outside the City limits. Presently the water supply facilities in these areas are poor and there are many small reverse osmosis facilities that are fairly expensive to maintain and operate verses the more cost-effective regional City of Sebastian water supply. On the following pages the City can review a selected listing of interlocal agreements which Hartman & Associates, Inc. (HAI) professional staff have been experienced in. In addition to this listing Mr. Harold Schmidt, Jr., P.E. your project manager, has been involved in several flow diversion facilities designs and flow diversion facilities agreements. Most notable is the flow diversion facility for the Seminole County Consumers wastewater system. A similar flow .. diversion facility was also constructed as a part of the North Orlando Regional Transmission System serving Iron Bridge and diverting flows from this transmission facility on a metered basis to other facilities. Flow diversion facilities have been constructed typically when large transmission mains are built through and existing purveyors service area or adjacent to existing purveyors service area. Of course, this is the case with the large 20 and 24 inch forcemain system which the County has constructed adjacent to the GDU system, as well as passing through the City of Sebastian's city limits.
