The firm has represented a variety of public and private sewer, water, and electric utilities in all manner of utility proceedings. What follows below is a representative sample of this work: (1) City of Palm Bay, Florida (1989 to Present). Our firm currently represents the City of Palm Bay in its acquisition of the Port Malabar Water and Sewer System owned by General Development Utilities, Inc. Like the City of North Port, the City of Palm Bay holds a Utility Franchise Agreement which contains the right on behalf of the City to acquire through arbitration proceedings the water and sewer system owned by GDU. We initiated litigation in the late summer of 1989 to enforce the City's Franchise Agreement, and successfully defeated General Development Utilities in an October hearing before a Brevard County Circuit Court judge. The Circuit Court decision was later per curiam affirmed by the Fifth District Court of Appeal in the case of GDU vs. City of Palm Bay. This decision involved the enforcement of a 1959 Municipal Franchise Agreement entered into pursuant to Chapter 167, Florida Statutes. (2) City of North Port Florida (1990 to Present). Our firm currently represents the City of North Pert in its acquisition of the North Port Water and Sewer System owned by General Development Utilities, Inc. Like the City of Palm Bay, the City of North Port holds a Utility Franchise Agreement which contains the right on behalf of the City to acquire through arbitration proceedings the water and sewer system owned by General Development Utilities. We initiated litigation in the Fall of 1990 to enforce the City's Franchise Agreement and have successfully defeated General Development Utilities in a February hearing before a Sarasota County Circuit Court judge. While we anticipate that General Development Utilities will also appeal this decision to the Second District Court of Appeal, we have every reason to believe we will be successful in the North Port case as we were in the Palm Bay case. (3) Orange County Commission (1978-1984). Our firm represented Orange County in sewer and water system acquisitions, rate cases, environmental permitting proceedings, condemnation proceedings, development and successful defense in 1981 of the first capacity sale ordinance adopted in Florida, negotiation of hundreds of service, territorial, developer, interlocal, and acquisition contracts, and representation before the Governor and Cabinet, the Florida Department of Environmental Regulation, the St. Johns River Water Management District, the South Florida Water Management District, the Florida Public Service Commission, and other regulatory agencies in all types of administrative proceedings. (4) City of Lake Mary. Florida (1986 to presence. Our firm represents the City of Lake Mary in all its sewer and water matters, including rate cases, environmental permitting proceedings, negotiation of service, developer, interlocal, territorial, and acquisition contracts, and representation before other local governments, the Florida Department of Environmental Regulation, the Florida Public Service Commission, the St. Johns River Water Management District, and other regulatory agencies in all types of administrative proceedings. Contracts negotiated include unique reuse agreement between Lake Mary and the City of Sanford where Sanford delivers reclaimed water to Lake Mary for use on golf courses and other areas. (5) City of Sanibel Florida (1988 to present). Our firm served as special counsel to the City of Sanibel in the acquisition of the Sanibel sewerage system. We have also advised the City on a variety of matters relating to the permitting and operation of the sewerage system. (6) Southern States Utilities Services Inc. LIyBQ so p2Zggentl. Our firm represents Southern States Utilities, Inc. in sewer and water matters including rate cases, environmental permitting proceedings, condemnation proceedings, negotiation of service, developer, territorial, and acquisition contracts in representation before local governments, the Florida Department of Environmental Regulation, the St. Johns River water Management District, the Florida Public Service Commission, and other regulatory agencies in all types of administrative proceedings. This utility management company now operates over 150 systems statewide, constituting the largest privately owned sewer and water company in the southeastern United States. (7) Prima Vista Utility Company, Inc. (1985-1988). Our firm represented Prima Vista Utility Company, Inc., a sewer utility, in all its matters including rate cases, environmental permitting proceedings, condemnation proceedings, negotiation of service, representation before local governments, the Florida Department of Environmental Regulation, the St. Johns River Water Management District, the Florida Public Service Commission, and other regulatory agencies in all types of administrative proceedings. Our firm handled the sale of the entire sewer system to the City of Ocoee, Florida in December, 1987. The 1.5 million gallon per day sewerage system was sold for approximately $4,500,000.00. (8) The Topeka Grouo (1988 to present). Our firm has represented the Topeka Group, a subsidiary of Minnesota Power and Light, as Florida counsel in the acquisition of ten water and sewer systems operated by a variety utility companies in Florida. We have advised Topeka in a variety of matters regarding future permitting, operations and expansions of these systems. The stock acquisition price of the ten systems in 1985 was $35,000,000.00. We have also successfully defended against the condemnation of two of these systems in Volusia County and St. Johns County against hostile takeover actions by local governments. These systems are located throughout the state of Florida, and were acquired as a part of a stock option agreement previously executed in 1985. (9) Deltona Utilities, Inc. _j 988 to presentl. Our firm now represents Deltona Utilities, Inc., previously acquired by the Topeka Group and now managed by Southern States Utilities Services, which owns ten water and sewer systems statewide. Deltona owns systems in St. Johns, Volusia, Hernando, Collier, Hillsborough, Citrus and Washington Counties. We represent Deltona inmost of its environmental, land use, permitting, and contract work, and are currently working on a series of developer and interlocal agreements for the company. (10) Other Utility Acquisitions. In addition to the matters and acquisitions listed above, our firm has also been involved in acquisitions of a variety of other water and sewer systems around the state, including the Terra Mar System, Hacienda Del Rio System, Country Village System, John Knox Village System, Dr. Phillip's Water System, St. Augustine Shores System, West Orange Industrial System, Seminole Utilities (Winter Springs) System, Sanibel Sewer System, M & M Utilities, Prima Vista Utilities and others. Environmental and Land Use Law. The firm's experience as Orange County Attorney has generated a sophisticated and wide ranging practice in the fields of environmental regulation and land use planning. The terse was resolved in short order with the property owner recovering $2,000,000.00. Our fee in the case was approximately $300,000.00.1 .AN "I.NSIGNI.FICANT" An elderly widow came into our office on a Friday afternoon asking for CASE our help. The Expressway Authority had offered her $250.00 for a small part of her five acre tract. What they did not tell her, and what we later discovered, was that the "small" part of her property which was being taken signuficantly interfered with access to the remainder of her property. Eighteen months later, she recovered $150,250.00 and we happily collected a fee of $50,000.2 , THE "BIG" CASE In the fall of 1984, Orange County began focusing on a large tract of land in east Orange County as the most logical site for the expansion of its existing landfill. The initial offer of $4,817,000.00 was made in September of 1985. In June of 1990, a jury rendered the largest eminent domain verdict in the history of Florida. The total award was $22,146,223.68.3 We were able to obtain this result by effective utilization of our condemnation team and with a minimum number of hours, approximately thirty. The referral fee in this case would have been $100,000.00. a The referral fee on this "insignificant" case would have been $12,500.00. The "betterment" was $17,329,223.63.
