FORM OF AGREEMENT

Dear Mr. Eckis:
Pursuant to your correspondence of October 7, 1991, we now offer a form
of agreement for your consideration. This form would, of course, replace
a form offered in 1984 and not then acted on by the City government.
If you would, please handle this document for the signatures of the
appropriate City officials, returning both copies for my handling with
the officers of the Railway. You would, of course, be returned one of
the fully executed documents.
The state of maintenance of the crossing is quite deteriorated. May I
have your authority to progress the planned work, billing the City as
was noted in my estimate of cost dated August 19, 1991?
